This Agreement Made and Entered at Santa Paula Between Fresh Express & Logistics (Prime

This agreement made and entered at Santa Paula between Fresh Express & Logistics (Prime Carrier) and ______(Subhauler).

Agreement as follows:

  1. SUBHAULER owns the vehicle(s) used and agrees to maintain and keep vehicle(s) in good order and pay all expenses. This includes; wages of drivers, insurance against public liability, property, damage, fire, collision, loss of cargo, benefits and worker’s compensation. For worker’s compensation, the drivers of said vehicle(s) should at no time be employees or permanent subhaulers of the PRIME CARRIER.
  2. PRIME CARRIER is not responsible for safety checks on SUBHAULER’S vehicles. It is solely the responsibility of the SUBHAULER.
  3. SUBHAULER has a right to accept or not accept loads without permission from PRIME CARRIER. Once SUBHAULER has accepted a load but decides to reject it a minimum of 3 hours later, will then be charged a $150 service failure fee.
  4. SUBHAULER is compensated by the load and is allowed to select routes and set hours. Contract can be broken within 30 days by either party. PRIME CARRIER is not responsible for any employee hired by subhauler.
  5. SUBAHULER will operate his/her vehicle(s) under his/her own permits/authority.
  6. SUBHAULER shall be conclusively deemed to be in exclusive control of said vehicle(s) and equipment. The information provided to the SUBHAULER by the PRIME CARRIER will only be informational not instructional, except to inform SUBHAULER of customer’s instructions which SUBHAULER will use his/her best efforts to comply with.
  7. Any claim against the shipment because of damages, shortages, or delay in transit will be for the account of the SUBHAULER. PRIME CARRIER has the right to hold the deductible portion of any property damage liability, cargo and claims against SUBHAULER.
  8. PRIME CARRIER will perform billing and collection services and pay over to SUBHAULER the amount agreed upon.
  9. SUBHAULER’s compensation will be paid 10 days ONCE we have received signed bill of ladings, trip sheets (if applicable), lumper receipts, invoice of SUBHAULER and any other documents needed.
  10. SUBHAULER shall bear all responsibility for compliance with all Federal and/or State, DOT and ARB regulations. If you are a California based subhauler, we require you to be registered with the ARBER system.
  11. SUBHAULER’s contract will be terminated immediately if subhauler attempts to reach out to PRIME CARRIER’s customers to earn their business and will be subjected to a fee.
