SUPERINTENDENT’S CONTRACT

ThisCONTRACTismadebyandbetweentheBoardofEducationofKeyaPahaCountySchools, KeyaPahaCountySchoolDistrict52-0100,referred toherein as"theBoard,"andCharles Curnynreferredtohereinas"theSuperintendent."

WITNESSETH:ThatinaccordancewithactiontakenbytheBoardasrecordedintheminutes of theBoardmeetingheldonthe9dayofMay2016,theBoardagreestoemploy theSuperintendent andtheSuperintendentagreestoacceptsuchemploymentsubjecttothefollowingtermsand conditions:

Section1.TermofContract.TheSuperintendentshallbeemployed foraperiodofone(1)

year,beginningonthe1stdayofJuly2016 andexpiringonthe30thdayofJune 2017 consisting of at least 122 working days.

Section2.Salary.

a.Salary.TheannualsalaryforthefirstContractYearshallbefifty-three thousand dollars

($53,000.00)and$400/day/10days in addition to the scheduled 122 daysformeetings. Thesalaryforeachsubsequentcontractyearshallbedeterminedbymutualagreement of thepartiesonorbefore (March15)oftheyearpriortothecontractyearforwhichthe salaryisbeingdetermined.Ifduringanyyear,thepartiesdonotmutuallyagreeonasalary forthenextcontractyear,suchsalaryshallremain thesameasthesalaryforthethen existingcontractyear.TheBoardmaynotreducetheSuperintendent'sannualcompensation,but mayincreaseitwithoutsuchincreaseconstitutinganamendmenttothiscontractthat would requirenoticeorahearing.

b. PaymentofSalaryand Adjustments. TheBoardshallpaytheannualsalaryintwelve (12) equalinstallmentsonorbeforethe15th ofeachmonth.Salarypayments aresubjectto stateandfederalwithholdingrequiredbylaw,includingwithoutlimitation,retirement contributions,FICA,FITA,Medicare,andstateorfederalunemploymentcontributions.

Section3.ProfessionalStatus.TheSuperintendentherebyaffirmsthat sheisnotunder

Contractwithanotherschoolboardorboardofeducationfor more than a half time positionandthatthroughoutthetermofthisContractshewillholdavalid andappropriatecertificatetoactasasuperintendentofschoolsintheStateofNebraska,which certificateshallberegistered intheDistrict’s officeasrequired bylaw.

Section4.Superintendent'sDuties.SubjecttotheapprovaloftheBoard,theSuperintendent shallberesponsiblefororganizing,reorganizingandarrangingtheadministrativeand supervisorystaffofthedistrictinamannerwhichbestservestheschoolsoftheDistrict. The administrationofinstructionandbusinessaffairsshallbevestedintheSuperintendentand

administeredbyherwiththeassistanceofherstaff. The Superintendentshallberesponsiblefor selecting,placingandtransferringpersonnel. Sheshallberesponsibleforinitiatingallpersonnel matters whichrequire actionbytheBoard,includingmakingrecommendationstotheBoard concerningtheterminationofdischargeofanypersonnel.TheSuperintendentagreestodevote hertime,skill,laborandattentiontoher dutiesasSuperintendentofSchoolsthroughoutthe

termofthisContract;provided,howeverbyagreementwiththeBoard,shemayundertake

consultativework,speakingengagements,writing,lecturingorother professionaldutiesand obligations.

Section5.Board-SuperintendentRelationship.The Boardshallhaveprimary responsibilityfor formulatingandadoptingBoardpolicy.TheSuperintendentshallbethechiefadministrative officerfortheDistrict andshallhaveprimaryresponsibilityforimplementingBoardpolicy. The parties agree,individuallyandcollectively,nottointerferewith orusurpthedutiesor responsibilitiesoftheother party. TheBoardmembers,individuallyandcollectively,will promptlyreferallcriticism,complaintsandsuggestionscalledtoitsattentiontothe Superintendentforaction,studyand/or recommendation,asappropriate.

Section6.Discharge. ThroughoutthetermofthisContract,theSuperintendentmaybe dischargedifshemateriallybreachesanyprovisionofthisContactorperforms anyactthat substantiallyinhibitsherabilitytodischargeherduties,includingbutnotlimitedto(a) incompetence,(b)immorality,(c)intemperance,(d)cruelty,(e)convictionofafelony,(f)neglect ofduty,(g)generalneglectofthebusinessoftheDistrict,(h)unprofessionalconduct,and(i) physicalormentalincapacity. Any consideration of discharge will be pursuant to statutory procedures.

Section7. Disability.IftheSuperintendentisunabletoperformherdutiesbyreasonofillness, accidentorotherdisabilitybeyondhercontrol,andsuchdisability shallcontinue formorethattwo (2)months,orifsuch disability ispermanent,irreparable,orofsuchanatureastomake performanceofhisdutiesimpossible,theBoardmay, initsdiscretion,terminatethisContact, whereupontherespectiverights,dutiesandobligationsofthepartieshereunder shallterminate,withtheexceptionofanybenefits tobepaidtotheSuperintendentunderany insurancecoveragefurnished bytheDistrict. Any consideration of discharge will be pursuant to statutory procedures

Section8. PhysicalExamination. TheSuperintendent agreesthat,attherequestoftheBoard, shewillhaveacomprehensivephysicaland/ormentalexaminationperformedbyalicensed physicianorphysiciansoftheBoard'schoosingduringtheterm ofthisContract. The Superintendent agrees that the physician be permitted to provide the board with a judgment whether she can perform the essential functions of her position. Thecost ofsuchphysicalexaminationsandphysician'sreports, which are not paid by the Superintendent’s insurance coverage,shallbepaidbytheDistrict.

Section9.FringeBenefits.

a. PersonalLeave. The Superintendentmaybeawardeduptoten(10)daysofpaidpersonal leaveforeachContract Year.PersonalleavedaysmaybeusedattheSuperintendent's sole discretion,providedthatshemakesreasonableeffortsnottousethemwhensuchusewould interferewithherabilitytoattendtheBoard'smeetings. Unusedpersonalleavemaybe carriedoverfromContractYeartoContractYear.IftheSuperintendentcarriedforwardany personalleavedaystoanyContractYear,thenumberofpersonalleavedaysheshallbe awardedinsuchContractYearshallbethelesserof (a)ten(10)daysand (b)thenumberof days whichwillbringtheSuperintendent'saccumulatedunusedpersonalleavedays to twenty(20).InnocaseshalltheSuperintendentaccumulatemorethantwenty(20)daysof unusedpersonalleave.TheSuperintendentshallkeepacurrentrecordofherpersonalleave, which she shall provide,totheBoardatitsJuly regularBoardmeetingeachyearanduponthe Board'srequest.

b. SickLeave.TheSuperintendentshallhaveten{5)daysofpaidsickleaveforeachContract Year.SickleavedaysmaybeusedbytheSuperintendentondays, whichtheSuperintendent isunabletoperformherdutiesbecauseshe is sick.Unusedsickleavemaybecarriedover fromContract YeartoContractYear.IftheSuperintendentcarriesforwardanysickleave daystoanyContractYear,thenumberofsickleavedayssheshall be awarded in such

ContractYear shallbethelesser of{a)five{5)daysand{b)thenumberofdayswhichwillbringtheSuperintendent'saccumulatedunusedsick leavedaystofifteen{15).Innocase shall theSuperintendent accumulatemorethanfifteen{15)daysofunusedsickleave.The Superintendentshallmaintain,andkeepcurrent,arecordofhissick leavewhichthe SuperintendentshallmakeavailabletotheBoardattheJulyBoardmeetingofeachyear duringtheterm ofthisContractandupontheBoard'srequest.

c. Health/Dental/VisionInsurance.TheBoardshallprovide totheSuperintendenta single healthinsurance policy thatisequivalentorsuperiortoBC/BS ofNebraska.Keya Paha County Schools shall provide the insurance policy with payment for the amount of the policy provided by the Board on or before the fifth day of each month.

d. Transportation. TheBoardshallreimburse theSuperintendentformileagetotheextent suchreimbursementisallowedbyBoardpolicy.

e. ProfessionalMeetings. The Superintendentshallbepermittedtoattendprofessional meetingsatthelocal,state,andnationallevel. TheSuperintendentshallonlyattend professionalmeetingsifsuchattendancewillnotconflictwiththeSuperintendent's performanceofhisjobduties. TheBoardshallpaythefollowingexpensesincurredbythe Superintendent inconnectionwithherattendance atprofessionalconferences:travel, meals,lodgingandregistrationfees.

f.MembershipFees.DuringthetermofthisContract,theBoardshallpaythe Superintendent'smembership feesforthefollowingorganizations: NebraskaCouncilof SchoolAdministrators, AmericanAssociationofSchoolSuperintendents, NebraskaAssociationforSchoolCurriculum andDevelopment,andSuperintendentsandSupervisors Council. UponapprovaloftheBoard,theBoardmaypaytheSuperintendent'smembership feesforother organizations.

g. Retirement. TheNebraskaSchoolEmployeesRetirementActappliestothe

Superintendent’s employment hereunder.

h. LegalActions.Ifanylegalaction,including butnotlimitedtoaprofessionalpractice complaint,isthreatenedorfiledagainsttheSuperintendent asaresultofthe Superintendent'sgoodfaithperformanceofhisdutiesfortheBoard,theBoardshallpaythe expensesofdefendingsuchlegalactiontothemaximumextentpermittedbylaw. Notwithstandinganythinghereintothecontrary,thissectionshallnotapplytolegalactions, including,butnotlimitedtoprofessionalpracticecomplaint,initiatedbytheBoardagainst theSuperintendent.

Section10.NoPenaltyforReleaseor Resignation.Thereshallbenopenaltyforreleaseor resignationbytheSuperintendentfromthisContract;provided,noresignationshallbecome effectivebefore theexpirationdateofthisContractunlessitisacceptedbytheBoardwhich shallfixthedateatwhichtheresignationshalltakeeffect.

Section11. CompensationUponTermination. UponlawfulterminationofthisContractfor any reason,thecompensationtobepaidhereunder shallbeanamount whichbearsthesame ratiototheannualsalaryspecifiedasthenumberofmonths orfractionthereof tothedateof suchterminationbearstothetwelvemonths intheannualsalaryperiodinwhichtermination occurs.Anyportionof theannualsalarypaidbutnotearnedpriortothedateof terminationof thiscontract shallberefundedbytheSuperintendent.

Section12. GoverningLaws.Thepartiesshallbegovernedbyall applicable stateandfederal laws,rulesandregulationsinperformanceoftheir respectivedutiesandobligationsunderthis Contract.

Section13.AmendmentstobeinWriting. Thiscontractmaybemodifiedoramendedonlyby awritingdulyauthorizedandexecutedbytheSuperintendent andtheBoard.

Section14. Severability.IfanyportionofthisContractshallbedeclaredinvalidor unenforceablebyacourtofcompetentjurisdiction,such declarationshallnotaffectthevalidity orenforceabilityoftheremainingprovisionsofthisContract.
