Definitions of selected terms:

Conflict management / The ability to identify and handle conflicts sensibly, fairly and efficiently.
Contribution / The ability to constructively contribute to board discussions and communicate effectively with management and other directors.
Crisis
Management / The ability to constructively manage crisis, provide leadership around solutions and contribute to communication strategies with stakeholders.
Director Duties / Director dutiesare a series of statutory, common law and equitable obligations owed primarily by members of the board of directors to the organisation. Primary inclusions are Leadership, Ethics and Integrity, Contribution, Negotiation and Crisis Management (which are each defined separately).
Ethics and
Integrity / Understanding of one’s role as a director and continue to self educate oneself on legal responsibility; ability to maintain board confidentiality; and declare any conflicts.
Interpersonal
Skills / The skills used by a person to properly interact with others. In the business domain, the term generally refers to an employee’s ability to get along with others while getting the job done. Interpersonal skills include everything from communication and listening skills to attitude and deportment. e.g. self confidence; positive attitude; communications skills; self awareness; team playing; critical thinking; problem solving; flexibility; managing time, stress, and competing priorities; ability to accept constructive feedback, strong work ethic.
Leadership / Ability to make decisions and take necessary actions in the best interest of the organisation, and represent the organisation favourably. Analyse issues and contribute at board level to solutions.
Negotiation / Possess excellent negotiation skills, with the ability to drive stakeholder support for board decisions.
