TENDER FOR PRINTING OF STUDY MATERIAL ON TURN KEY BASIS

The Institute of Company Secretaries of India is a statutory body under an Act of Parliament. It is functioning under the overall administrative jurisdiction of Ministry of Corporate Affairs, Government of India, with its headquarters located at “ICSI House” 22 Institutional Area Lodi Road, New Delhi-110 003.

Sealed tenders are invited by the SecretaryCEO, The Institute of Company Secretaries of India (“ICSI”), ICSI HOUSE, 22, Institutional area, Lodi Road, New Delhi from experienced printers/agencies for outsourcing of printing of Study Material for CS Foundation,CS Executive and Professional Programs respectively including the study material on CD.

Tender cost shall be of Rs.500/-. The tenderer is also required to deposit an Earnest money of Rs.20,000/- (Rupees Twenty Thousand Only) by way of demand draft drawn in favour of TheInstitute of Company Secretaries of India, payable at New Delhi. The tender not accompanied with Earnest Money shall be summarily rejected. The Earnest Money of unsuccessful tenderers will be returned without any interest/Bank commission/collection charges after the acceptance of the tender / award of the contract. The interested parties may obtain the tender document from the Institute’s address given below by 22ndFebruary 2010by 11.00 AM on making the payment of Rs. 500/- by cash or demand draft. In case the party downloads the tender document, the cost of tender document may be submitted alongwith the quote, failing which the tender will be rejected.

Sealed tenders addressed to Shri N K Jain, SecretaryCEO, The Institute of Company Secretaries of India may be sent at the Institute’s address as mentioned herein below along with Earnest Money,duly mentioning on top left hand corner of the sealed envelope “Tender for printing of study material” must reach office of the SecretaryCEO, The Institute of Company Secretaries of India, Lodi Road, New Delhi either by Registered Post /Speed Post or by dropping in the quotation box placed at 3rdfloor not later than 3:00PM on 22nd February 2010.

The tender will be opened on Tuesday, the 23rd February 2010 at 11.00 AM in the Committee Room of the Institute. Tenderers or their authorized representatives, not more than one person may be present at the time of opening of quotations, if they so desire.

THE TERMS AND CONDITIONS :

  1. The Institute shall not be liable for any postal delays what so ever and tender received after the stipulated time/date are liable to be rejected summarily without giving any reason Similarly, incomplete quotations and/or without Earnest Money, dummy copy of study material and un-signed will be rejected summarily.
  1. Cuttings and over-writing(s) should be avoided. The cutting and over-writing must be duly initialed otherwise the quotation is liable to be rejected.
  1. The experienced contractors/agencies having sufficient turnover may quote their rates for printing of the study material of CS Foundation, Executive and Professional Programs of Company Secretaryship Course. Rates are to be quoted on the assumption that every year approximately 25,000, 35,000 and 8000 students are registered for CS Foundation, Executive and Professional Programs respectively. (While submitting the quotations, indicate the rate inclusive of all statutory, levies, taxes and cartage etc. No component of cost would be paid unless the same is included specifically in the quotations.)
  1. Tender should be submitted in two separate sealed covers. First cover containing, "TECHNICAL BID", should provide only technical specification of the company, literature, pamphlets etc. printed by the Company. This bid should contain complete technical specifications of the equipments and other infrastructure of the company details of which should be provided in Annexure-‘A’ Second cover containing, "COMMERCIAL BID" should provide only Price, as per the Bill of Quantity. The rates must be quoted in unit price as per Annexure ‘B’. Both the covers should first be sealed separately, and then both the covers should be kept in a single sealed bigger envelope. This envelope should be addressed to Shri N. K. Jain, SecretaryCEO, The Institute of Company Secretaries of India, 22, Institutional Area, Lodi Road, New Delhi, The Envelope should bear the inscription "Tender for printing of study material”.

  1. The Institute would provide the negatives of the B/W pages and positive of cover.
  1. Rates for printing of study material may be quoted as per the specifications given in Annexure B :-

The text paper to be used by the printer would be of 60 GSM of Century Paper or ‘A’ Grade Mill confirming to the ISI 1848/1991 specifications with latest amendments authenticated by Government approved laboratory of repute such as Saharanpur campus of Central Pulp Research Institute, Saharanpur, etc. The tentative specifications are reproduced below :

Cover would be printed in four colour with lamination on outer side.

  1. The rates to be quoted should be inclusive of designing of cover (if required in case of correction etc.)/ processing/plate making / paper / cover paper / printing / binding / lamination etc.

In case of revision of study material, the Institute would provide CRC’s to the printer who would prepare Negatives / Positives. Rates may be quoted by the printer for preparing such Negatives / Positives. In case of correction work, rates may be quoted by the printer for change of folio number etc. (correction of one or two lines).

  1. Study material found defective/not in accordance with specifications will have to be replaced or lifted back as decided by the Institute at printer’s risk, cost and responsibility. In case the printer fails to replace the defective copy(ies) / material within the time frame fixed by the Institute, the Institute reserves the right to cancel the contract and forfeit the EMD or charge penalty as decided by the Institute.
  1. Printed dummy copies of the study material as per finish size specifying the exact quality (Mill of paper alongwith grammage and size of the paper used is to be enclosed, duly signed by the printer, with the quotation letter).
  1. Payment terms would be 30 days from the date of receipt of the bill in the Institute along with the receipted challan in original containing full details/specifications of the study material supplied. The payment would be released through banking channels.
  1. The contract would initially be for one year which may be extended further on the same terms and conditions as mutually agreed.
  1. For the successful bidder, Earnest Money deposited will be kept as Security Deposit. Non-supply of printed material on due date or printing of sub-standard material shall entail forfeiture of Security Deposit
  2. The printer shall be responsible for replenishing the study material whenever there is a short supply & part supply.
  1. The Printer shall supply 5% of print order or 350 copies (whichever is lower) in a year to ICSI on complimentary basis for its reference and record. All the study materials are required to be delivered at our Main Stores located at C-37, Sector-62,NOIDA.

  1. Separate rates should also be given for the title sheets & wrappers for each programme as per samples enclosed. The rates should be given for a complete set of CS Foundation Programme / CS Executive Programme / CS Professional Programmealong with the CD in each book as given in Annexure-B.
  1. The printer would also seek instructions from the Institute with regard to the changes to be incorporated in the revised and updated edition of the study material. This is to be adhered to as and when any study material is to be reprinted by the printer.
  1. The Printer will purchase the paper of its own. Any increase in the cost of paper (upto 50 paise per kilogram) will be borne by the Printer. The Institute may however consider payment of increase in cost of paper beyond 50 paise per kilogram on production of sufficient proof of increase in the cost of paper and satisfaction of the Institute.
  1. The Printer should prepare sets of Study Materials alongwith the CD andset of Title Sheets & Wrappers for each programme and make a bundle before sending to the Institute. The CD should run on buyer’s system and should have web based protection key and should not be copied or edited by anybody
  1. The printers are required to submit a copy of their latest balance sheet together with available machinery / infrastructure.
  1. The printing of the study material is to be handled by the printer on turn key basis. The Institute shall only be providing the manuscripts in the form of Negatives. The printer has to procure the paper at his own cost as per the specifications mentioned in Clause 3. Editorial rights are vested with the Institute. No advance payment would be released by the Institute.

  1. The quantity of the study material to be printed will be intimated to the printer by way of print order.
  1. The Institute reserves the right to accept or reject any or all quotations without assigning any reason at any stage. The decision of the Institute will be final and binding to all concerned.
  1. The successful bidder would be required to execute Bank Guarantee of Rs. 1,50,000/- (Rupees one lac fifty thousand only) and also execute an agreement with the Institute containing the detailed terms and conditions on a non-judicial stamp paper of Rs. 100/-.
  1. The Institute reserves the right to cancel/modify/amend the terms and conditions for outsourcing of printing of study material without assigning any reason thereof.
  1. All disputes, differences, claims and demands arising under or pursuant to or touching the contract shall be referred to the arbitrator to be appointed by the SecretaryCEO of the Institute of Company Secretaries of India, New Delhi. The award of the sole arbitrator shall be final and binding on both the parties under provisions of the Arbitration and Reconciliation Act, 1996 or any statutory modifications on re-enactment thereof as in force. Place of such arbitration proceedings shall be at Delhi.
