Memorandum of Understanding

and

Experimental Aircraft Association, Inc.

This Memorandum of Understanding (“MOU”) is entered into by and between The Soaring Society of America, Inc.(“SSA”), a Delaware corporation with principal offices at 5425 W. Jack Gomez Blvd.,Hobbs, NM 88240, and Experimental Aircraft Association, Inc. “(EAA”), a Wisconsin nonstock corporation with principal offices at 3000 Poberezny Road, Oshkosh, WI 54902, as of ______, 2015 (the “Effective Date”).

SSAhas a mission to foster and promote all phases of gliding and soaring,and EAA has a mission to grow participation in aviation. SSA and EAA are both classified under IRC Section 501(c)(3) by the U.S. Internal Revenue Service.

  1. PURPOSE: The intent of thisMOU is to formalize a relationship between two of the nation’s premier aviation associations for the purpose of collaborating on programs that nurture and support their respective missions.
  1. MUTUAL COOPERATION: SSA and EAA agree to form a joint working group mutually appointed by their respective Board Chairmen. The working group will be tasked with the responsibility of exploring and identifying collaborative ways to initiate or increase participation. This will include setting of mutual goals, program development, promotion, and operational review.
  1. POTENTIAL AREAS OF COLLABORATION: The working group’s efforts will include, without limitation, the following:
  2. Supporting mutual membership growth goals, including exploringpossible development and promotion of a joint membership offering.
  3. Pursuing opportunities to collaborate on advocacy issues that impact accessibility and affordability, lending support and activating membership as appropriate.
  4. EAA agreeing to provide periodic integration of soaring related content in Sport Aviation magazine and its other print and electronic publications, for the purpose of introducing and encouraging participation in all phases of gliding and soaring.
  5. SSA agreeing to provide periodic integration of EAA related content in Soaring magazine,for the purpose of introducing and encouraging participation in general aviation.
  6. Pursuing dedicated web pages and links to each other’s main websites.
  7. EAA exploring meaningful integration of soaring at the EAA® AirVenture® Oshkosh™ event, including the identification of a dedicated display area and flight demonstrations as mutually deemed appropriate.
  8. Promoting youth participation in gliding and soaring and general aviation.
  9. Capitalizing on opportunities to promote SSA and EAA to the general public.
  10. Pursuing opportunities to better coordinate competitive activities with International Aerobatic Club, Inc. (“IAC”).
  1. FUNDING:A primary task of the joint working group will be to develop an operational plan that details joint and individual funding responsibility for each organization and individual program participants.All funding and other commitments will require approval by each organization under its governing documents.
  1. TERM AND CANCELLATION: This MOU shall remain in effect for two (2) years from the Effective Date, subject to either party’s right to cancel upon thirty (30) days’ written notice to the other party at the address stated above.
  1. RELATIONSHIP OF PARTIES: SSA and EAA understand and agree that they are and intend to be independent contractors, and nothing in this MOU or otherwise will cause them to have a relationship of principal and agent, joint venturers, members of a joint enterprise, partners or legal representative. Neither party will have any authority to represent the other nor make any commitment for the other.

This MOU accurately describes the parties’ mutual intent, as acknowledged below.
