TERM:
[YOUR NAME] agrees to consign for sale the above artwork(s) to the Consignee for the Loan Period as above. Should the artwork(s) detailed above not be sold and/or the "Consignment Amount" as defined above not be paid to [YOUR NAME] as set forth in this Consignment Agreement the Consignee is to return the above artwork(s) to [YOUR NAME] on or before the expiry of this Agreement.
EARLY RETURN OF CONSIGNED ARTWORKS
The consigned artwork(s) may be withdrawn by [YOUR NAME] from consignment before the end of any term thereof, on reasonable notice to the Consignee, but such early withdrawal shall not waive nor release the Consignee of any of their obligations hereunder and the artwork(s) shall be returned to [YOUR NAME], as if the early withdrawal date were the end of the term.
CONSIGNMENT AMOUNT
The selling price is stated above as the consignment amount. Commission to the consignee will be at 50% of the consignment amount. All transactions are to take place in [YOUR CURRENCY (e.g. GBP STERLING)]. No discounts are to be made without prior discussion.
INSURANCE:
All risks wall-to-wall insurance coverage on the above artwork(s) from the leaving of [YOUR NAME] physical possession until its return will be provided under the Consignee's own policy and at its own expense. Such coverage shall provide that the artwork(s) will be insured at a minimum of the Consignment Amount. The Consignee undertakes to supply, if requested, an Insurance Certificate naming [YOUR NAME] as co-assured but without obligation for payment of premium. Insurance broker to provide [YOUR NAME] with an undertaking to give prior notification of at least fourteen days of cancellation or non-renewal of insurance.
SHIPPING:
All packing and shipping costs for the above artwork(s) from and returning to [YOUR NAME] shall be at the expense of the Consignee.
COPYRIGHTS:
Ownership of all copyrights are reserved to the Artist and are administered by [YOUR NAME] and the Consignee will make no reproduction or other use of the copyrighted Artwork(s) which will or might impair such copyrights, without the prior consent of [YOUR NAME] and the Consignee will assign to the Artist all copyrights of any authorised reproductions.
INFORMATION AND CREDIT LINE:
Information about the Consigned Artwork(s) which is used for catalogues, labels or for any other purpose shall conform to data furnished by YOUR NAME and shall always include a credit line to [YOUR NAME.]
[YOUR NAME] WARRANTY:
[YOUR NAME] hereby warrants to the Consignee that it has the full right to sell and transfer title to the above artwork(s) and has good and marketable title to the artwork(s) and that the artwork(s) is now and, at the time of transfer of title, will be free and clear of any and all liens, mortgages, security interests or other encumbrances held by any person.
CONSIGNEE WARRANTY:
The Consignee warrants to return the artwork(s) (then unsold) to [YOUR NAME] on/or before the expiry date of this Agreement in the same condition as when they left the physical possession of [YOUR NAME]. In the event of the artwork(s) being lost or materially damaged, [YOUR NAME] shall be compensated as if such artwork(s) were sold and title shall be transferred to the Consignee upon payment in full to [YOUR NAME] of the Consignment Amount. If the artwork(s) are damaged but not materially, [YOUR NAME] shall be compensated for any repair and diminution on value.
TITLE:
Title to the artwork(s) shall pass to the Consignee from [YOUR NAME] upon payment by the Consignee and receipt by Bigger Ltd in full of the relevant Consignment Amount pursuant to this Consignment Agreement, at which time Bigger Ltd agrees to effectuate the transfer of ownership. Title to and a security interest in each artwork(s) is reserved by [YOUR NAME] until the sale of such artwork(s) is completed by payment in full to Bigger Ltd of the Consignment Amount.
CONFIDENTIALITY:
Except as may be required by law or as necessary to carry out the terms of the Agreement, but subject to maintaining such information as confidential, the Consignee agrees not to disclose at any time to any person or entity, whether before or after the transfer of the Artwork(s) to the Buyer, any of the terms and/or subject matter of this Agreement, any and all negotiations with respect thereto, the identity or location of [YOUR NAME] and/or its agents, representatives or affiliates, and/or the location of the Artwork(s).
This Consignment Agreement and all matters relating to it shall be governed by and construed in accordance with the laws of England.
