BY-LAWS

SECTION 3 – INTERPRETATION AND DEFINITIONS

SECTION 4 – STRUCTURE OF LOCAL ON THE PROVINCIAL LEVEL

The local shall have the following provincial officers, who shall be officially elected and sworn into office at a biennial general membership meeting, which will be held in October of every other year commencing in 1974.

Vacancies in Provincial Officers - Should any vacancy occur among the provincial officers for any reason, then the Provincial Executive Board shall have the authority to fill such vacancy for the balance of the term. / NEW
Vacancies in Provincial Officers - Should any vacancy occur among the provincial officers for any reason, then the Provincial Executive Board shall have the authority to fill such vacancy on a temporary basis and a by-election must be conducted as soon as possible.

SECTION 5 – DUTIES OF PROVINCIAL OFFICERS

ADD
All signing Officers of Local 963 shall be bonded through the master bond held by CUPE National. Should the Secretary-Treasurer not qualify for bonding, he/she will have to be removed from office. Any Officer who cannot qualify for the bond shall be disqualified from having signing authority but may continue to hold office.
All Officers must give all properties, assets, funds and all records of the Local Union to their successors at the end of their term of office.

President - The president shall preside at all meetings of the local union; sign all orders on the treasury when ordered by the local union; appoint all committees not otherwise ordered, and transact such other business as may of right pertain t his office and which may be necessary for the proper functioning of the local union. Any president who cannot qualify for a bond, shall immediately be disqualified from his office and the local union shall proceed with the election of another president or the Provincial Executive Board may appoint a president to fill the unexpired term of office. / NEW

Recording Secretary - The Recording Secretary shall:
• Keep correct, full and impartial minutes of the proceedings of all regular or special membership and Executive Board meetings. These records must also include a copy of the full financial report (Executive Board meetings) and the written financial report (membership meetings) presented by the Secretary-Treasurer. The record will also include Trustees’ reports.
• Record all amendments and/or additions in the bylaws, and make certain that these are sent to the National President for approval prior to implementing.
• Answer correspondence and fulfil other administrative duties as directed by the Executive Board.
• Keep a record of all correspondence received and sent out.
• Prepare and distribute all notices to members.
• Have all records ready on reasonable notice for the Trustees or auditors.
• Preside over membership and Executive Board meetings in the absence of both the President and Vice-President.
• Be empowered, with the approval of the membership, to employ administrative assistance to be paid for out of the Local Union’s funds.
• Performs other duties required by the Local Union, its bylaws or the National Constitution.

Secretary-Treasurer - The secretary-treasurer shall keep all financial accounts of the local union and shall maintain correct and proper accounts of all its members. He shall receive all initiation fees, dues, assessments and fines from members of the local union shall deposit same in the name of the local union in such bank or Credit Union as the union may direct. He shall make all disbursements for the local union as provided in Section 4, Article IV, Appendix "B" of the National Constitution.
The secretary-treasurer shall be properly bonded with a faithful performance of duty bond, such bond shall not be for less than $2,000 and shall be approved by the National Secretary-Treasurer of the Canadian Union of Public Employees, in accordance with Article XII, Section 5, of the Constitution.
The secretary-treasurer shall make a financial report to the local union executive semi-annually and to the local union biennially. It shall be the duty of the secretary-treasurer to keep on file all receipts for money sent to Canadian Union headquarters during the year. The secretary-treasurer shall submit the financial books of the local, two months prior to the Biennial General Membership Meeting, for a complete audit with recommendation to an independent auditing firm. The recommendation will be dealt with by the Provincial Executive Board.
The secretary-treasurer shall submit his books and records half yearly to the trustees for audit and shall furnish the trustees with a letter from the bank where the funds of the local union are deposited, attesting to the amount to the credit of the local union at such bank.
The secretary-treasurer shall forward to the National Secretary-Treasurer of the Canadian Union, on the official monthly report forms provided, not later than the 15th day of each month, all financial obligation owing to the Canadian Union. He shall forward one dollar ($1) of each initiation fee on all members admitted, (except for those named on the list forwarded with the application for charter), along with the per capita tax on all dues received by the local union. The report should also set out the number of those initiated, reinstated, suspended and expelled, and the number of members on whom per capita is being paid.
At the end of his term of office, the secretary-treasurer shall turn over to his successor, all properties and assets, including funds, books and records belonging tot he local union. Any secretary-treasurer who cannot qualify for a bond, shall immediately be disqualified from his office and the local union shall proceed with the election of another secretary-treasurer or the Provincial Executive Board may appoint a secretary-treasurer to fill the unexpired term of office.
The Secretary-Treasurer shall keep a correct, full and impartial record of the proceedings of all meetings of the local and Provincial Executive Board. He shall read same at the next appropriate meeting for approval. He shall refer all correspondence to the Provincial Executive Board and read such as requested. He shall receive and issue all correspondence of the local, except that of monetary nature. / NEW
Secretary-Treasurer
The Secretary-Treasurer shall:
·  Sign all cheques and ensure that the Local Union’s funds are used only as authorized or directed by the CUPE Constitution, Local Union by-laws, or vote of the membership. In consultation with the Executive Board, designate a signing officer during prolonged absences.
·  Be responsible for maintaining, organizing, safeguarding and keeping on file all supporting documents, authorizations, invoices and/or expense claims for every disbursement made, receipts for all money sent to CUPE National, as well as records and support documents for all income received by the Local Union.
·  Make a written financial report to each regular membership meeting, detailing all income and expenditures for the period.
·  Make all books available for inspection by the Trustees and/or auditors on reasonable notice. Ensure that the books are audited at least once each calendar year and within a reasonable time, respond in writing to any recommendations and concerned raised by the Trustees.

Trustees - The trustees shall audit the books of the secretary-treasurer and shall exercise supervision over the property of the local union.
The trustees shall examine the books and records of the secretary-treasurer and inspect or examine all properties, bonds and all other assets of the local at least half yearly or every six months and shall report to the next regular meeting of the local union following the end of each half year on the condition of the funds and accounts, the number of members in good standing, the number initiated, expelled or suspended, admitted or withdrawn, together with such other information they may deem necessary to the efficient and honest administration of the local union. They shall transmit a copy of such report to the National Secretary-Treasurer of the Canadian Union.
Where a local union hires the services of a qualified accountant or accountants, the auditing of the local union's books shall be the responsibility of such auditing firm. In such cases, trustees shall be responsible for seeing that all expenditures have been properly approved by the local union in accordance with the by-laws, that the funds of the local have been used for union purposes and the financial transactions of the executive. Accountant and trustees reports shall be sent to the National Secretary-Treasurer every six (6) months. / Trustees
The Trustees shall:
·  Act as an auditing committee on behalf of the members and audit the books and accounts of the Secretary-Treasurer, the Recording Secretary, and the committees as least once every calendar year.
·  Make a written report of their findings to the first membership meeting following the completion of each audit.
·  Submit in writing to the President and Secretary-Treasurer any recommendations and/or concerns they feel should be reviewed in order to ensure that the Local Union’s funds, records and accounts are being maintained by the Secretary-Treasurer in an organized, correct and proper manner.
·  Inspect at least once a year, any stocks, bonds, securities, office furniture and equipment, and titles or deeds to property that may at any time be owned by the Local Union, and report their findings to the membership.
·  Send to National Secretary-Treasurer, with a copy to the assigned Servicing Representative, the following documents:
