Occupy Madison Inc. Board of Directors Meeting

Directors present: Allen Barkoff, Betty Ybarra Brenda Konkel, Bruce Wallbaum, Carol Weidel, Chris Derrick, Keith Valiquette, Luca Clemente, Noah Phillips, Ronnie Barbett, Russ Albers, Steve Burns, and Trina Clemente

1. Call to Order

Allen called the meeting to order at 6:35. He explained the meeting procedure

2. Guests Welcomed

Guests were welcomed and invited to join Occupy Madison at the General Membership Meeting on October 26, 2pm at Wil-Mar.

3. Approval of Minutes

a. September 4, 2013 Special BOD Meeting

Amendments

“Wallbaum” is the correct spelling of Bruce’s last name.

The typed minutes should have noted that the minutes of August 28 were approved.

These minutes were approved as amended.

b. September 9, 2013 BOD Meeting

Amendment: Bruce “Wallbaum” is the correct spelling.

The minutes were approved as amended.

4. Officers Reports

Bruce reported that $19,000 has been spent since we acquired the fiscal agent.

Recent contributions include

$100 / Boombox the Wasteland
$400 / Willy Street Fair
$400 / After Willy Street Fair enthusiasm
$900 / Total of 2 events

There is currently a balance of $8,000

5. Work Groups

Shop Report

Bruce and Steve are work on house design plans. This will be documented in a manual.

Process Group

Allen reported that several documents are ready for Board approval (new business, later in meeting).

6. Unfinished Business

Bruce reported that Bucky’s Toilet has been paid.

Carol wrote and set Thank-you notes to recent donors.

Fundraiser

Brenda reported that there will no fundraiser in October. However, there can be one with the backing of Tobi Silgman. Tobi has raised $2,000 so far.

7. New Business

Documents needing approval

a) Vision and Mission Statement

Amendments: replace “and/or” with simply “and”; replace “more humane” with “humane”. Carol, Bruce moved to approve document as amended. Approved on a voice vote.

b) How to Get a Tiny House

Amendments: Strike 2a sentence fragment “either by yourself … Inc.”

Allen, Keith moved to approve as amended. Approved on a voice vote.

c) Occupy Madison, Inc. Conduct Policy

Amendments:

In second sentence, after “Violation of these policies may result in”, insert “consequences up to, and including,”.

Add “d” to “place”and strike “Being placed on the hold list would result in”; the new sentence will read “For those people not yet the steward(s) of a Tiny House, violation of these policies may result in your being placed on a hold list, delaying your receipt of a Tiny House.”

Under 4. Strike “Being under the influence… trailer” and add the sentence fragment “,particularly on church property or in the surrounding neighborhood” to the end of 3. The last sentence in 3 will read “Violence, abusive language or anti-social behavior will not be tolerated, particularly or church property or in the surrounding neighborhood.” The old 4 is gone and 5 – 12 are renumbered 4 – 11.

The new 6 will read “Brandishing objects that can be used as weapons will not be tolerated. Firearms are prohibited.”

A new 12 will read, “Abide by the rules of the host property.”

The second sentence in the last paragraph will read, “I also understand that if I fail to abide by them, there may be consequences up to, and including, stewardship of my Tiny Home reverting back to Occupy Madison, Inc… shop”

There will be a place for 2 signatures: “steward/Trailer occupant”, and “witness”.

Noah, Allen moved to approve as amended. Approved on a voice vote.

d) Occupy Madison, Inc. Questionnaire

Amendment: Add “(optional)” to the questions about income.

Allen, Ronnie moved to approve as amended. Approved on a voice vote.

e) Occupy Madison, Inc. Appeal Form

Approved on a voice vote.

8. Selection of Shop Manager Work Group

Allen will convene this group.

9. Reschedule General Membership Meeting

There was consensus to move the meeting to November 23 (from 30).

10. Web Site

Brenda said the web site has documents posted at occupymadisoninc.com and she asked that we look at it.

11. Signing Up for Shop Houses

This process is on hold for now.

12. Announcement

Brenda and allies on the City Council successfully passed that the Madison Ordinance change to allow Tiny Homes on church property. Brenda described the changes. (thank you Brenda!)

13. Board of Directors

Linda Ketchum is interested in serving on the Board. The bylaws permit community members to be part of the board.

14. 100,000 House Program

Bruce described this national program to build 100,000 home for people without homes. Currently, there is no entity in Wisconsin that is part of this.

15. Special Board Meeting

Scheduled for Friday, October 18 at 2:30 at the Social Justice Center.

16. Adjournment

Carol moved to adjourn. The meeting adjourned at 9:30
