Asamemberofthe CLCCommittee (the“committee”) oftheNACEwho participatesinthedevelopment,modificationandrefinementofwritten,electronicandothermaterialsinfurtheranceoftheNACE’spurposesandmission(collectively,the“IntellectualProperty”),forgoodandvaluableconsideration,Iherebycompletely,exclusively andirrevocablyassignandagreetoassigntoNACEinperpetuityownershipofallofthe copyrights(andallrightssubsumedthereunder)andotherintellectualpropertyrightsinandtoallofmy contributionstotheIntellectualProperty(the“Contributions”),boththoseContributionsthathave beenmadeinthepastandthosethatwillbemade inthefuture.

ConfidentialityStatement

Asamemberof thecommittee,Irecognizethat Ioweafiduciary dutyofcare toNACE. Thisincludesaduty ofconfidentiality. Allinformationanddocumentationthat Ireceivefrom NACEand others inconnectionwithmyserviceonthecommitteewillbe treatedwithstrictconfidentiality.Neitherthecontentsnortheexistenceofthisinformationordocumentationwill besharedwithanyoneotherthantheCLCcommitteemembers,officers,directors,employees,andattorneysoftheNACE.Iwilldirectanyquestionsregardingmyconfidentialityobligationstotheexecutivedirector.

Conflicts ofInterestPolicy

Asamemberof theCommittee,IrecognizethatIoweafiduciary dutyofloyalty toNACE.Thisdutyrequiresmetoavoidconflictsofinterestandto actatalltimesinits bestinterests.Thepurposeoftheconflictsofinterestpolicy(setforthbelow)istohelpinformthecommitteeaboutwhatconstitutes aconflictofinterest, assistthecommitteeinidentifyinganddisclosingactualandpotentialconflicts,andhelpensuretheavoidanceofconflictsofinterestwherenecessary.Thispolicymay beenforcedagainstindividualcommitteemembersasdescribedbelow:

1.Committeemembershaveafiduciary dutytoconductthemselveswithoutconflicttotheinterestsofNACE.Intheircapacity ascommitteemembers,theymustsubordinatepersonal,individualbusiness,third-party,andotherintereststothewelfareandbestinterestsofNACE.

2.Aconflictofinterestisatransactionor relationshipwhichpresentsormaypresentaconflictbetweenacommitteemember’sobligationsto NACEandthecommitteemember’spersonal,businessorotherinterests.

3.Allconflictsofinterestarenotnecessarily prohibitedorharmfultoNACE.However, fulldisclosureofallactualandpotentialconflicts,andadeterminationbythedisinterestedcommittee(orNACEExecutiveCommittee)members–withtheinterestedcommitteemember(s)recusedfromparticipatingindebatesandvotingonthematter–arerequired.

4.Allactualandpotentialconflictsof interestsshallbedisclosedby committeememberstotheNACEExecutiveCommitteethroughtheannualdisclosureformand/orwhenevera

conflictarises.ThedisinterestedmembersoftheNACEExecutiveCommitteeshallmakeadeterminationastowhether aconflictexists andwhatsubsequent actionisappropriate(ifany).TheNACEExecutiveCommitteeshallinformthecommitteeofsuchdeterminationandaction.Thecommitteeshallretain the righttomodifyorreversesuchdeterminationandaction,andshallretaintheultimateenforcementauthoritywithrespecttotheinterpretationandapplicationofthispolicy.

5.Onanannual basis,allcommitteemembers shall beprovidedwithacopyofthispolicyandrequiredtocompleteandsigntheacknowledgmentanddisclosureformbelow.Allcompletedformsshallbe providedto andreviewed byCLCChair,aswellasallother conflictinformation,ifany,providedby Committeemembers.

ACKNOWLEDGMENTANDCONFLICTOFINTERESTDISCLOSUREFORM

IhavereadtheCopyrightAssignment,ConfidentialityStatement,andConflictsofInterestPolicysetforthaboveandagreetocomplyfullywiththeir termsandconditionsat alltimesduring myserviceasaNACECommitteememberand thereafterasmay apply. Iunderstandthatfailuretodo soshallbecauseformysuspensionorremovalfromthecommitteeandresultinmyexclusion fromexecutivesessionsofthe committee.Ifatanytimefollowingthe submissionofthisformIbecomeawareofanyactualorpotentialconflictsofinterest,oriftheinformationprovidedbelowbecomesinaccurateorincomplete,Iwillpromptly notifytheNACE ExecutiveDirectorinwriting.

Youandyouremployeracknowledgeandagreethatyourselectionforserviceonthecommitteeandtheopportunitiesmadeavailabletoyouandyouremployerby servingontheCommitteeconstitutegoodandvaluableconsiderationforenteringintothisagreement,thereceiptandsufficiencyofwhichyou

andyouremployerherebyacknowledge.Yourepresentthatyouhavetheauthority tobindyouremployertothisagreement.
