Agreement

USA Volleyball Responsibilities:

USA Volleyball agrees to provide, at no cost to Exhibitor, a booth space of no greater than 10’x20’ to include one (1) or two (2) draped 6’x30” tables (dependent on booth size), two (2) chairs, and pipe and drape for the area. The location of the booth space will be at the discretion of USA Volleyball. Inclusion in any of USA Volleyball’s National Championship events is not guaranteed and is on a first come/first served basis. The number of vendors/exhibitors is at the discretion of the tournament director and is dependent on available space in the convention center.Any additional items/requirements for the Exhibitor booth will be the responsibility of the vendor and should be ordered through USA Volleyball and/or the contracted decorator/supplier for the event. Such items include but are not limited to electrical drops, internet drops, furniture other than listed above, carpeting, etc.

Non-Compete/Exclusivity Product Restrictions:

Due to the nature of our contracts with our Sponsors (Mizuno, Sport Court, Molten, Sport Imports, EM2, Liberty Mutual Insurance, Hilton HHonors, Advanced Event Systems, Core Sports Performance Institute, Data Project, United Airlines, Volleyball Recruits), we are unable to allow companies/organizations in comparable categories of trade to participate in our expo. For these reasons, we are very selective in the company(s)/organization(s) we allow to exhibit. Items such as, but not limited to: athletic apparel, t-shirts, hoodies, kneepads, volleyballs, sporting equipment, insurance, hotels, and airlines/flights are excluded. As a result, we require a detailed description of your product(s) before being accepted into booth space. Exhibitor Responsibilities:

  1. Exhibitor agrees to pay USA Volleyball the agreed upon amount dependent on number of days and events attended (see price break-downs above). Payment shall be received by USA Volleyball no later than thirty (30) days before the first date of Service.
  2. To furnish all tools, labor, and supplies in such quantities and of the proper quality to professionally exhibit on site.
  3. To comply, at its own expense, with the provisions of all state, local, and federal laws, regulations, ordinances, requirements, and codes which are applicable to exhibiting and selling (if applicable) on site.
  4. To provide USA Volleyball a certificate of proof of liability insurance.
  5. To provide USA Volleyball proof of required certifications of employees in relation to certain services provided (e.g. massage therapists, athletic trainers, etc.).
  6. Exhibitor is responsible for all travel, hotel, meals and all other related expenses for their staff as well as booth/exhibit expenses not covered by USA Volleyball.

Provisions:

Termination: This Agreement shall terminate automatically on July7, 2014. If, at any time, one party’s performance or conduct under this Agreement is found by the other party to be in breach of this Agreement, this Agreement may be terminated immediately by the non-breaching party with written notice. If damages are caused to the non-breaching party as a result of the breach of this Agreement, the breaching party shall be liable for damages including, but not limited to, any costs, attorney’s fees, special, indirect, incidental, or consequential damages, including loss ofrevenue.

INDEMNIFICATION: Exhibitor agrees to indemnify, defend and hold harmless USA Volleyball, its subsidiary and affiliated organizations, and their respective officers, directors, agents, volunteers and employees from and against any and all third-party expenses, liabilities, damages, claims, suits, actions, judgments and costs (including reasonable outside attorney’s fees) arising from or relating to (i) USAV’s material breach of its representations, warranties and obligations under this Agreement; (ii) the acts or omissions of USAV, its employees, volunteers, contractors and agents; (iii) damages, to all property, including loss of use, relating to or arising from the Event; and (iv) any and all claims for personal injury, death or damage to property by participants, staff, media, sponsors, volunteers and Event attendees, including but not limited to, spectators, vendors and contractors or any other third parties. The foregoing agreement to indemnify USA Volleyball and hold USA Volleyball harmless shall not be applicable to the extent that any such expenses, liabilities, damages, claims, suits, actions or judgments and costs are caused by USA Volleyball. This provision shall survive the termination or expiration of this Agreement.

SEVERABILITY: In case any one or more of the provisions contained in this Agreement shall, for any reason, be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision thereof, such provision shall be changed to the extent reasonably necessary to make the provision legal, valid and enforceable, and if such provision cannot be so changed, this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein and otherwise as may be required to carry out the purposes of the Agreement.

ENTIRE AGREEMENT: This Agreement constitutes the entire understanding between the parties and cannot be altered or modified except by an agreement in writing signed by both parties. Upon its execution, this Agreement will supersede all prior statements or agreements, both written and oral.

GOVERNING LAW: It is mutually agreed that this Agreement shall be governed by and construed in accordance with the substantive laws of the United States of America and with the laws of the State of Colorado without regard to conflict of law principles. The parties expressly consent to exclusive personal jurisdiction and venue in either the federal or state courts located in Colorado Springs, CO.
