In accordance with NRS 333.350(1), a contract may be awarded for separate items, portions or groups of items in the best interest of the State, as required.

Prospective vendors are advisedto review Nevada’s ethical standards requirements, including but not limited to, NRS 281A and the Governor’s Proclamation, which can be found on the Purchasing Division’s website (http://purchasing.nv.gov).

1. PROJECT OVERVIEW

The State of Nevada, Purchasing Division, on behalf of the Nevada Division of Forestry, is seeking bids from vendors for Pure Live Seed. The results of this solicitation will be a 2 year, open term contract, with extension options if in the best interest of the State. This may be a multiple award contract.

2. ACRONYMS/DEFINITIONS

For the purposes of this Invitation to Bid, the following acronyms/definitions will be used:

AOSA Association of Official Seed Analysis.

Awarded Vendor/ The organization or individual that is awarded and has an approved contract or purchase

Contractor order with the State of Nevada for the goods identified in this Invitation to Bid.

Bidder/Vendor Organization or individual submitting a bid in response to this Invitation to Bid.

Division Department of Conservation and Natural Resources, Division of Forestry.

FOB Destination Free on Board to the destination. Requires the seller to, at its own expense and risk, transport the goods to the destination and there tender delivery of them in the manner provided in NRS 104.2503. See NRS 104.2319(1)(b); UCC 2-319(1).

Goods As defined in NRS 104.2105, and as specifically identified in this Invitation to Bid.

ITB Invitation to Bid. A written statement which sets forth the requirements and specifications of a contract to be awarded by competitive selection. See NRS 333.020(4).

Lowest Responsible Person or firm (company/organization) that conforms in all material respects to the

Proprietary Any trade secret or confidential business information that is contained in a bid Information submitted on a particular contract. See NRS 333.020(5)(a); NRS 333.333.

Public Record All books and public records of a governmental entity, the contents of which are not otherwise declared by law to be confidential must be open to inspection by any person and may be fully copied or an abstract or memorandum may be prepared from those public books and public records. Purchase Order Buyer-generated document that authorizes a purchase transaction. It sets forth the descriptions, quantities, prices, discounts, payment terms, date of performance or shipment, other associated terms and conditions, and identifies a specific seller. When accepted by the seller, it becomes a contract binding on both parties; also called order.

Subcontractor Third party, not directly employed by the vendor, who will provide goods and/or services identified in this ITB. This does not include third parties who provide support or incidental services to the vendor.

Shall/Must/Will Indicates a mandatory requirement. Failure to meet a mandatory requirement may result in the rejection of a bid as non-responsive.

Should/May Indicates something that is recommended but not mandatory. If the vendor fails to provide recommended information, the State may, at its sole option, either ask the vendor to provide the information or evaluate the bid without the information.

Unless otherwise specified in this ITB, reference to a specific manufacturer or a specific product or model in the bid specifications does not restrict bidders to that manufacturer, product or model. This method is used to indicate the functional requirements (e.g., type, design, characteristics, quality) of the article desired. Bids may be considered on other manufacturer’s products or other models determined by the Purchasing Division to be the functional equivalent of the product or model referenced.

Seed must be Bid as “ALL” OR “NONE”; and Items 3.1 through 3.30 must be Bid in PLS#’s.

Additional Requirement

3.30 Prices bid shall be maximum and the State of Nevada shall be protected against any increase in price during the contract period. However, should there be a reduction in the price or prices during the period of the contract, it is agreed that the State of Nevada shall receive any price decrease which may occur during the contract period. In the event of any price reductions, the vendor shall advise the State of Nevada, Purchasing Division in writing. If during the contract period the vendor establishes a lower price to any political subdivision or single state, it is agreed that price is to be given to the State of Nevada.

3.31 The products listed on this bid will be ordered throughout the term of this contract on an “as needed” basis by Forestry.

Shipping charges may be added to seed orders less than 500 PLS pounds, and any orders over 500 PLS pounds will be shipped FOB Destination.

3.32 Price increases WILL NOT be honored during the first two (2) years of the contract. Any vendor awarded a contract as a result of this bid, who feels a price increases from their supplier, that they cannot honor a price, must notify the State of Nevada, Purchasing Division in writing, requesting their contract be cancelled. The State of Nevada will then obtain the product from the next lowest, responsible vendor.

3.33 Prices bid shall be firm for an initial contract period of two (2) years. At the end of the initial contract period and each contract extension period thereafter, if it is deemed necessary by the contractor, contractor may submit a request to increase prices by an amount not to exceed the increase in the Consumer Price Index (CPI)) as published by the U.S. Department of Labor, Bureau of Labor Statistics, Pacific Cities, West, “C” for the previous calendar year. For the purpose of extending the contract from year to year, extensions will be allowable if any price increase requests do not exceed the CPI for the previous calendar year, and such extension is agreed to by the contractor and in the best interest of the State of Nevada.

3.34 Quantities specified herein are estimates of usage; therefore, the State of Nevada SHALL NOT be obligated in any way whatsoever implied or otherwise to a definite quantity during the entire period of the contract and any contract extensions.

3.35 In addition to the item(s) specifically listed herein, purchasing entities of the State of Nevada will

be allowed to order from the successful vendor's regular product line for delivery F.O.B. destination to any point within the State of Nevada. Bidders shall state the discount percentage from their product line's list price for other items. This discount percentage may be considered during the award of this contract. A copy of the bidder's catalog(s) if available or a list of product

lines, if applicable, should be submitted with the bid.

3.36 The Nevada Division of Forestry Seed Bank, pursuant to NRS 528.057(2) (a) the seed shall be approved by the State Forester Fire Warden.

3.37 The Nevada Division of Forestry Seed Bank will be responsible for the purchasing of all Certified Pure Live Seed, for the State of Nevada. For purchases over $5,000.00, the using agency will submit any seed order to the Division of Forestry Seed Bank, who will direct their request through Nevada State Purchasing on their behalf.

3.38 Awarded vendor(s) shall be solely responsible for complying with all laws, including but not limited to, codes, statutes, regulations and ordinances of the City, County, State and Federal Governments.

3.39 Vendor certifies by signature on this bid that neither it nor its principals is presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in any Federal department or agency sponsored program.

3.40 Vendor certifies by signature on this bid that vendor shall not employ or contract with any firm or organization that is unfit or unskilled in the work to be performed.

3.41 Awarded vendor(s) shall send a copy of ALL official test results from the lab on each lot offered; (or) BEFORE delivery on new crop, NOT just the bag tag.

3.42 Seed and bagging shall conform to ALL State and Federal Standards and Laws.

3.43 Seed purchased as “Certified” shall conform to all requirements and standards for Certified Seed of the state in which the seed was bagged and tagged. Seed shall be certified only by the legally authorized seed certifying agency in each state (i.e. Crop Improvement Association). Each bag of seed shall bear the official tag attached in the approved manner under the supervision of the certifying agency. The date of the latest certified germination tests with the results shall be included on the analysis tag of each bag. Germination tests shall be no more than six months old at date of delivery. All costs of seed certification shall be included in the bidder’s unit price. Classes of certified seed which will be recognized under the contract are as follows:
