“Microsoft FY14 Q3 Reseller Channel Office PromotionReseller Sales Incentive” Terms & Conditions:

1-  The Microsoft Distributor Reseller FY14 H1 Q3 Reseller Channel Office Promotion Sales (Incentive (the “Program”) is valid from 26th 3rd 17th of February March4th3rd of March 2014 to 28th of March 2014 (the “Program Period”).

2-  This Program is offered to all the Microsoft OEM Resellers (being a person or entity that purchases Microsoft products from Authorised Microsoft Distributors and resells said products to end customers, the “Participants”) located in the Republic of South Africa (the “Territory”).

3-  Employees of Microsoft Corporation, their affiliated companies, advertising agencies, gift suppliers or other representatives, or members of the respective immediate families of such employees and anyone with whom such employees are domiciled are ineligible to participate in the Program.

4-  Eligibility Requirements : The Participants are eligible to a reward if they meet the following cumulative requirements (the “Eligibility Requirements”):

Ø  Participants will have tomust purchase Office Home & Student 2013, Office Home Premium 2013, Office 365 University, Office 2013 Home & Business and Office Professional 2013 products (“Eligible Products”)

Ø  Only products purchased from the Microsoft Office FPP AuthorisedAuthorized Distribution channel (as per those parties listed in Annexure “A”) will qualify under this Program (“Authorized Distribution Channel”).

Ø  Participants are limited to having a maximum of twenty-five (25) Office Home & Business count towards the Tiers listed below. There is no restriction on Office Home & Student 2013, Office 365 Home Premium, Office 365 University and Office Professional 2013.

Ø  All Sub-Distribution Channel Partners (as per Annexure “B”) are specifically excluded from participating in the Program, ("Sub-Distribution Channel Partners").

Ø  All purchases between Affiliates companies are excluded

Ø  All purchases between AuthorisedAuthorized Office Distributors are excluded

Ø  All purchases by Microsoft Managed Retail Channel, namely Incredible Connection, Game, Dion Wired, Makro, The JD Group, Edcon, CNA, and Hi-Fi Corporation are excluded.

Ø  All purchases of eligible products that are pre-installed on computer hardware as software, are excluded.

5-  Rewards : If the Participants meet the Eligibility Requirements, they will be entitled to the following rewards based on units of Eligible Products purchased :

·  3 - 4 units of Eligible Products purchased R350

·  5 - 9 units of Eligible Products purchased R750

·  10 - 19 units of Eligible Products purchased R1,500

·  20 – 29 units of Eligible Products purchased R3,000

·  30 - 50 units of Eligible Products purchased R4,500

·  50 + units of Eligible Products purchased R6,000

Ø  Rewards under the Promotion will be fulfilled by electronic funds transfer.

6-  The rewards are non-refundable, non-transferable and non-cashable. The rewards will be distributed to eligible participants through vouchers to the rand value of the specific Tier reached.

7-  By entering into the program, Participants allow Microsoft to run an audit of their sales report if requested. The audit will be in the form of sales out report and any other documents that Microsoft deems important for the audit process to be conducted.

8-  The winning Participants will receive their rewards by 25th of April 2014 at the latest.If a winning Participant is not able to collect his/her reward from the Microsoft authorized agency within 30 (thirty) days of being notified, the reward shall be deemed forfeited.

9-  Purchase cancellation and/or failure to provide Microsoft with any of the documents considered as proof of delivery at any time will invalidate the Participant’s reward under this Program.

10-  Microsoft shall have the sole right, at its own discretion, to change the terms of the Program by extending or shortening the Program Period, reduce or double-up the rewards communicated above, add other promotional items as part of the rewards, alter any of the terms and conditions or otherwise stop or cancel the Program without any requirement for advance notice to the Participants. For the avoidance of doubt Microsoft intends driving direct end customer sales through this program. Any behavior on the part of the Participants that fails to drive this behavior may in Microsoft’s sole discretion, be excluded from the Program rewards.

11-  All Participants, by entering the Program agree to be bound by these rules and agree that Microsoft may retain process and export their personal information within Microsoft Corporation and/or any of its subsidiaries.

12-  This Program will not be valid in combination with any other offer from Microsoft.

13-  The Participant is solely responsible for any applicable tax payment or tax withholding related to receipt of a reward. If employed by anyone other than Microsoft, the Participant shall promptly notify its employer of its eligibility to receive a reward and ensure that its employer abides by applicable tax legislation. Failure to act in accordance with aforementioned shall cause the reward to be forfeit. Participants receiving rewards hereby indemnify and hold Microsoft harmless in respect of any taxation payment arising from receipt of a reward.
