DISTRIBUTOR SALES AGREEMENT

This Distributor Agreement (herein after referred to as the “Agreement”) is entered into on the date indicated below by and between YOUR COMPANY NAME (“distributor”), and African American Roots Inc. (“AARI”), a Florida, Corporation (hereinafter collectively referred to as the “Parties”) for the purpose of entering into a contractual relationship with regard to the sale of Custom Designed Wedding Products. (Hereinafter the “Sale”).

AFRICAN AMERICAN ROOTS, INC., ("AARRI") hereby engages ______ ("distributor") to act on its’ behalf as a Distributor in accordance with the following general terms:

The Parties hereto, do covenant, agree and certify as follows:

“AARI” has agreed to work with “DISTRIBUTOR” and other persons and entities to obtain customers for the Sale, and distribution of its Custom Designed Wedding products. (Additional products may be made available and may require a different discount rate.) All such products will be added to this contract via amendment.

The Distributor has agreed to work with other persons and entities to obtain customers for the sale of Custom Designed Wedding products provided by AARI.

“Sale” shall refer to the following: an order that has been processed and shipped by and between AARI. and a Customer registered under DISTRIBUTOR (All custom orders must be accompanied by no less than a fifty – percent (50) deposit by the distributor for the registered customer.)

DISCOUNT RATE TO DISTRIBUTOR: TWENTYFIVE (25%).

“PRINCIPAL PLACES OF BUSINESS” shall be the last known principal places of business of the Parties. “TERM” shall refer to the term of the Venture, which shall commence as of the date hereof and shall continue for the duration of the existence of the contractual agreement(s) or benefits from the Sale.

1.  THE DISTRIBUTOR

In consideration of the nature of custom orders, it may be necessary to communicate directly with customers in order to discuss design elements. Distributor arranges the introductions via telephone or e-mail; African American Roots Inc. agrees to maintain the Distributor/ Manufacturer relationship. The customer will remain a customer of distributor and African American Roots shall act ONLY as manufacturer.

TIME FRAMES

Distributor will provide African American Roots Inc. with copies of all documents involving due dates, wedding colors and special requests relating to the Sale (where applicable) upon reasonable notice. African American Roots Inc. will provide the Distributor with copies of all information involving the Sale upon reasonable notice.

Distributor or its designee will disburse funds in the following order to initiate product manufacture.

When description or design are finalized and deposit are received. (50% of total order with the balance due at completion) upon completion distributor will receive our product completion notification.

Shipping or delivery of products will be done within forty-eight (48) hours of receipt of balance due. If distributor so chooses to have the product drop shipped a $5.00 handling charge will be added to the total amount of the order for packaging and shipping.

2.  RESOLUTION OF DISPUTES

All disputes arising out of this Agreement between the Parties that are not resolvable by good faith negotiations such matter will be referred to a single arbitrator appointed under, and acting in accordance with, the Arbitrations Act. The determination of such arbitrator will be final and binding upon the parties.

3.  MUTUAL CONFIDENTIALITY

Each party understands and acknowledges that such Confidential Information as will be disclosed to it has been developed or obtained by the other party by the investment of significant time, effort and expense, and that such Confidential Information provides the Providing Party with a significant competitive advantage in its business. The Receiving Party agrees that it shall not use any such Confidential Information for any purpose, other than that described above, from the date, it receives same without the prior written consent of the Providing Party. Without restricting the generality of the foregoing, the Receiving Party shall not use such Confidential Information to the detriment of the Providing Party in any way.

4.  AUTHORIZATION

This Agreement constitutes the entire agreement of the Parties and may not be altered, unless agreed upon in writing signed and acknowledged by the Parties. This Agreement is binding upon the heirs; court appointed representatives, assigns, and successors of the parties. Facsimile signature is considered as valid as original signatures.

5.  GOVERNING LAW

This agreement shall be read with all changes of gender or number as required by the context and shall be governed by the laws of Florida.

6.  ACCEPTANCE OF AGREEMENT

The undersigned have read and agreed to the foregoing terms and conditions and hereby acknowledges receipt of an accepted copy of this agreement.
