as represented by the Department of Environment and Parks
(herein called the "Government")

WHEREAS the late , deceased, of

entered into a Leasehold Agreement with the Government

WHEREAS the Indemnitor is the sole beneficiary of the Estate of
as provided for under the Last Will and Testament of dated

WHEREAS the Indemnitor is desirous of taking advantage of the terms of the said leasehold Agreement by having the said leasehold Agreement assigned to by the

NOW THEREFORE in consideration of the Government agreeing to comply with the said request on the part of the Indemnitor to assume responsibility for and obtain the benefits of the hereinbefore described lease, the undersigned hereby agrees with the Government that the undersigned and the heirs, executors, administrators and assigns of the undersigned will from time to time and at all times save harmless and keep indemnified the Government, its successors and assigns and its and their lands and tenements, goods and chattels, from and against all claims and demands upon or in respect of the said assets, also from and against all actions, suits and other proceedings whatsoever which at any time or times hereafter shall or may be brought or prosecuted against the Government, its successors and assigns, upon or in respect of the said Leasehold Agreement or with respect to the Government having consented to and registered in the records of the Department of Environment and Parks the assignment of the Leasehold Agreement in favour of , also from and against all costs, damages, interest and expenses which it or they or any of them may bear or incur for or by reason of any such claim as aforesaid being made upon or in respect of the said Leasehold Agreement or in respect of the consenting to and registration of the above mentioned assignment.
UPON DELIVERY to the Government of this Agreement by any bearer thereof, the same shall forthwith be operative and binding upon the undersigned absolutely and unconditionally and further shall be binding upon the heirs, executors, administrators, successor and assigns of the undersigned.
