WHEREAStheLessorisabsolutelyseizedandpossessedoforotherwisewellandsufficientlyentitledtothepieceoflandsituatedat.....andmoreparticularlydescribedintheSchedulehereunderwritten.

ANDWHEREAStheLesseehasapproachedtheLessorwitharequesttograntalongleaseofthesaidlandwithaviewtoconstructabuildingorotherstructurethereoneitherforlettingoutthesameoranypartthereoforforcarryingonbusinessthereinandwhichtheLessorhasagreedtodoonthefollowingtermsandconditionsagreedtobetweentheparties.

NOWITISAGREEDBYANDBETWEENTHEPARTIESHERETOASFOLLOWS:

1. TheLessoragreestodemisetotheLesseeandtheLesseeagreestotakeonleasethesaidpieceoflandsituatedat.....andmoreparticularlydescribedintheSchedulehereunderwrittenforaperiodof99yearscommencingfromthedateofthedeedofleasetobeexecutedashereinaftermentionedattheyearlyrentofRs.

.....to be paid inadvance fromthe commencementofthe lease withoutanydeductions.

2. Therentshallbeexclusiveofthetaxes,assessments,duesanddutiespayableinrespectofthesaidlandandthebuildingorbuildingstobeconstructedthereon,totheGovernmentortheMunicipalCorporationoranyotherlocalauthorityorpublicbodyandwhichtaxesetc.willbepayablebytheLesseeasandwhentheybecomedueandpayable.

3. TheLessorshallmakeoutamarketabletitletothesaidpieceoflandfreefromallencumbrancesandclaimsorreasonabledoubts.

4. TheLessorshallproduceorcausetobeproducedtotheLesseeorhisAdvocatealldocumentsoftitleinhispossessionorpowerforinvestigationofthetitletothesaidland.

5. TheLesseeorhisAdvocateshallsendrequisitionsontitle,ifanytotheLessororhisAdvocatewithinfourweeksfromthedateofproductionofthetitledeedsforinspectionasaforesaidfailingwhichtheLesseeshallbedeemedtohaveacceptedthetitleoftheLessor.

6. OntheLessormakingoutamarketabletitleasaforesaidortheLesseeacceptingthetitle,butnototherwise,theLessorshallgrantaleaseofthesaidpieceoflandbyexecutingaDeedofleaseinduplicateforthesaidperiodandatthesaidrent.

7. TheDeedofLeasewillcontainusualcovenantstobegivenbytheLesseeandLessorandotherusualtermsandconditionsprovidedthattherewillbenorestrictionontheLessee'srighttoassigntheleaseandtheDeedofLeasewillalso

containaconditionthatonthedeterminationoftheLeasebyeffluxoftimeorotherwise,theLesseewillsurrenderthelandtothelessoralongwiththebuildingorbuildingsstandingthereonwithoutanycompensation.ThedraftoftheDeedofLeasewillbepreparedbytheLessee'sAdvocateandapprovedbytheLessor'sadvocate.

8. Thetransactionwillbecompletedwithinaperiodofthreemonthsfromthedatehereof.

9. TheLessorshallgivecompletevacantpossessionofthelandtotheLesseeonthedateofcompletionanduntilthenhewillnotallowanybodytocommitencroachmentortrespassthereon.

10. AllthetaxesandotheroutgoingInrespectofthesaidlanduptothedateofcompletionoftheleasewillbepaidbytheLessor.

11. ThecostsbywayofstampdutyandregistrationchargesinrespectoftheDeedofLeasewillbeborneandpaidbythepartiesheretoinequalshares.EachpartywillbearandpayallothercostsincurredbyhimIncludinghisAdvocate'sfees.

12.TheLessordeclaresthatthesaidlandisnotsubjecttoanyreservationorany

Intendedacquisitionorrequisitionandtherearenobuildingrestrictionsontheland.

13.TheLesseewillbeatlibertytoconstructabuildingorbuildingsthereonwithall

requisiteandpropersewers,drainsandotherconveniencesandthebuildingorbuildingswillbeconstructedasperplansthatwillbesanctionedbythemunicipalcorporationand/orotherlocalauthorityorpublicbodyasmayberequiredandhewillconformtoallrulesandregulationsinthatbehalf.

14. Nothinginthisagreementshallbeconstruedasapresentdemiseofthesaidlandoranypartthereof.

15. IfanypermissionorNoObjectionCertificateIsrequiredtobeobtainedfromanyauthorityforgrantingaleaseofthesaidlandasaforesaidtheLessorshallobtainthesameathisowncostsasaconditionprecedenttotheexecutionoftheDeedofLease.

16. IftheLessorfailstocompletethetransactionashereinprovided,theLesseewillhavetheoptioneithertocancelthisagreementbyfifteendays'priornoticetotheLessortothateffectortosueforspecificperformanceandordamages.IftheLesseefailstocompletethetransaction,ontheLessormakingoutamarketabletitle,theLessorwillhavetheoptiontocancelthisagreementbyfifteendays'priornoticetotheLesseetothateffectortosueforspecificperformanceand/ordamages.

INWITNESSWHEREOFthepartieshaveputtheirrespectivehandsthedayandyearfirsthereinabovewritten.
