Amendment to the Financing Agreement
Excellency:
We refer to the Financing Agreement between International Development Association (the “Association”) and Grenada (the “Recipient”) dated March 19, 2009, with respect to the above-captioned Project (the “Agreement”). Capitalized terms used in this amendment letter (the “Amendment Letter”) and not defined herein have the meaning ascribed to them in the Agreement.
In accordance with the letter received from your ministry, dated October 4, 2010, wherein a request is made to amend the Agreement, we are pleased to inform you that the Association agrees to your request. Accordingly, the Association proposes to amend the Agreement as follows:
1. Section III of Schedule 2 to the Agreement is hereby amended as follows:
a. Section III. A. 1 is amended to read as follows:
“1. Goods, Works and Non-consultant Services. All goods, works and Non-consultant Services required for the Project and to be financed out of the proceeds of the Financing shall be procured in accordance with the requirements set forth or referred to in Section I of the Procurement Guidelines, and with the provisions of this Section.”
b. Section III. B is hereby amended to read as follows:
“B. Particular Methods of Procurement of Goods, Works and Non-consultant Services
1. International Competitive Bidding. Except as otherwise provided in paragraph 2 below, goods, works and Non-consultant Services shall be procured under contracts awarded on the basis of International Competitive Bidding.
2. Other Methods of Procurement of Goods, Works and Non-consultant Services. The following table specifies the methods of procurement, other than International Competitive Bidding, which may be used for goods, works and Non-consultant Services. The Procurement Plan shall specify the circumstances under which such methods may be used:

2. The table set forth in Section IV.A.2 of Schedule 2 to the Agreement is hereby amended to read as set forth in the Annex to this Amendment Letter.
3. The Appendix to the Agreement is amended by: (i) inserting a new paragraph 10; (ii) renumbering paragraph 10 as paragraph 11; and (iii) renumbered the subsequent paragraphs as paragraphs 12 through 22, paragraph 10 shall read as follows:
“10. Non-consultant Services” means reasonable expenditures for services which will be bid and contracted on the basis of performance of measurable physical outputs, such as the logistical service expenses for capacity building events, printing of training materials and media campaigns.”
Please confirm your agreement with the foregoing amendment by signing and dating this letter in the spaces provided below. This Amendment Letter shall be executed in two counterparts, each of which shall be an original. The provisions of this Amendment Letter shall become effective as of the date of countersignature, upon receipt by the Association of one fully executed original of this Amendment Letter. All other provisions of the Agreement, except as amended through this letter shall remain in full force and effect.
