BOARD OF DIRECTORS MEETING

JANUARY 27, 2015 – 6:00 P.M. - Poolside

MEETING MINUTES

Call to Order – Jerry Deutsch, President, called the meeting to order at 6:05 p.m.

Determination of a Quorum – All seven board members were present for the meeting so a quorum was obtained – Jerry Deutsch (President), Wayne Dees (Vice President), Dick Weber (Treasurer), Ann Hayman (Secretary), Steve Cox (Director), Mitch Ritchie (Director) and Steve Johnston (Director).

Kay Stratton and David Foret with IMS were also present.

Confirmation of Proper Meeting Notice - Mr. Deutsch stated that proper notice was posted on the dumpster bulletin boards 48 hours in advance of the meeting.

Review and Approval of Previous Meeting Minutes –Steve Johnstonmade a motion to waive reading the prior meeting minutes andapprove as written. Ann Hayman seconded the motion and the motion was unanimously approved.

Treasurer’s Report – Mr. Weber, Treasurer,presented the Treasurer’s Report based on December 2014 financials. Balance Sheet – Assets and Liabilities down approximately $813 withOperating cashis down $6.37K from November.

Income Statement (YTD) – YTD Income is $235,233 or $1234 over budget (due to late fees); administrative expenses were $3943 below budget;property maintenance was $1612below budget; utilities were $6654 above budget; resulting in year-to-date net loss of $4867 (loss decreased from prior month).

Jerry Deutsch made a motion to approve the Treasurer’s Report as provided, Ann Hayman seconded the motion and it was unanimously approved.

Mr. Weber also announced that he is listing his unit for sale.

IMS Management Report – Kay Stratton and David Foret gave the IMS Management Report, with direction and guidance from Jerry Deutsch. The following items were discussed as part of the management report:

OLD BUSINESS:

  1. Accounts Receivable/Foreclosures – see Legal Update for details (attached behind minutes). There are 5 units on the Legal Update: two in bank foreclosure – 108 and 409; Unit 108 is being addressed by Mitch Ritchie for reimbursement of expenses incurred in pursuit of title by the Association; 409 is being rented out by the associationfor $650/mo. and 108 was rented out in December for $625.mo. 405 is making regular payments to catch up and 608 owes the association for an emergency plumbing repair (which matter is being worked with Mitch Ritchie). See attached Legal Update report.
  2. 201/204 – both owned by same owner – only 201 rented out. Association sent notice to renters requesting payment be sent directly to IMS until further notice. We will send any credit balance due directly to owner. Owner approves this arrangement. 204 is in bank foreclosure – a case management conference is scheduled for 2/3/2015. Jerry Deutsch asked IMS to continue the payment arrangement with Mrs. Iselin until further notice – i.e., collect the rent from 201 and send excess funds to Mrs. Iselin.
  1. Buildings – Pressure Washing & Stucco Repairs:

Pressure Wash bids – Jerry Deutsch made a motion to go ahead with pressure washing buildings 200, 300 and 600 with the price per building not to exceed $1000. Steve Johnston seconded the motion and it was unanimously approved. Jerry Brown expressed a concern that if the buildings are pressure washed now, they will need it again prior to painting.

IMS sent out detailed scopes of work to repair/paint buildings 200, 300 and 600 to a total of 12 contractors with no satisfactory quotes received back. Different reasons were given including other commitments. Integrity Builders says they will provide a quote though to repair/paint stucco on the buildings 200, 300 and 600.

  1. Light Pole Repair:

This is one pole at the end of complex near Bldg. 600. David Foret with IMS installed 2 new light fixtures. The Board thanked David for his contribution.

  1. Dock Painting:

When the weather improves, Steve Cox has agreed to work with Jerry Deutsch to paint the dock.

  1. Sub-Metering Proposals:

IMS has contacted three sub-metering companies – Oates (OEI), Guardian and NES. IMS prepared an analysis to compare the two proposals received – OEI and NES – and emailed it to the board members prior to the meeting. There was general discussion and lots of questions. It was decided that IMS would invite Dave Garwood with OEI to the February board meeting to review and discuss his proposal. Questions from board members may be submitted in advance.

  1. Planning for Electric Car Powering:

Discussion on this item was suspended for a future meeting. Steve Johnston is the lead on this topic.

NEW BUSINESS:

  1. Association versus Owner Responsibility for Plumbing Leaks:

Over the last year or so and several times recently, there have been internal leaks associated with plumbing failures. Specifically, plumbing leaks in one unit causing issues in the unit below.

The issue for consideration is whether or not plumbing leak repairs, water restoration services and internal repairs (such as drywall) required as a result of the plumbing leak are the responsibility of the association or owner – or are there determining factors to be considered in assigning responsibility? Should the association act immediately to repair plumbing leaks and then determine responsibility? Is owner negligence a determining factor?

Steve Johnston and Mitch Ritchie did some initial research and provided two articles which were distributed to the board prior to the meeting.

There was discussion but it was determined that Mitch Ritchie, association counsel, should research the matter and lead the board in developing a policy for implementation by IMS.

  1. Electric panel at pool repair:

Henderson Pools determined that the pool electrical panel needed repair (valve burned out)– IMS obtained 3 bids. American Electric was selected to perform the repair. It was later discovered that the vacuum pump needs panel replacement too. IMS will investigate the initial scope of work provided to American Electric and consult with Jerry on next steps.

  1. Lift Station repair: Completed by B. T. Pumps.
  1. Dock Electricity:

Jerry Deutsch announced that Jerry Brown did 99% of the labor to remedy the problems – junction boxes under water and underground, sockets corroded and deteriorated, etc. $790 was spent on supplies and in addition to labor, Jerry Brown also donated about $500 in additional needed wire. New wire was pulled from the box down the dock and married with the junction boxes above the water line. There are no underground connections now. All the work was done according to code. Receptacles were replaced and two new ones were added. The estimated value of this job is $5-6K. Jerry Deutsch thanked Jerry Brown for his community service on behalf of the entire board. The board thanked Jerry Deutsch for coordinating and working on the important project too.

  1. Pool Cover:

Suspended for a later meeting. IMS will check with Henderson on whether a pool cover will save on cleaning.

  1. Noise, etc. Complaint:

The owner of 106 – Anita Barrington – attended the meeting. IMS sent the board her complaint received via email regarding several issues with 104. The issues included excessive noise from the back of the unit where an outside area has been paved and used recreationally by the owners in 104, feeding ducks, outside garbage bin, smoking smells, and finally approval for the patio itself.

There was discussion on this matter right up to the point where board members had to leave and the quorum was lost. The matter will be included on the February 2015 board meeting agenda to determine resolution.
