RECRUITING SERVICE AGREEMENT

Part A:

Part B: Chengtong Human Resource Company Ltd.

According to the negotiation, the two parties come to the following agreement on Party B’ service.

Article 1. Content of service

Party B provides appropriated candidates for Party A in accordance with the following requirement.

Article 2. Term of service

This agreement is valid for 2 months ,from the date when Party A start recruitment service subject to this agreemnt.

Article 3. Rights and obligations for Party A

  1. Party A should provide duplicate copy of its business license, authentic specific recruitment requirement and enterprise introduction in time .
  2. Party A should guarantee the validity of provided recruitmentinformation. Party A should not provide misleading recruitment information as well as untrue undertaking .Party A should carry out promised salary level.
  3. If Party A decides to hire any of the candidates recommended by Party B, Party A must inform Party B in written form within two working days hereinafter and pay the service fee according to this agreement..
  4. Party A should not hire secretly any of the candidates recommended by Party B otherwise Party A should assume the liquidated penalty equivalent to 2 times of service fee and undertake all the legal liability hereinto
  5. If Party A rehire any of the has-been-rejected candidates recommended by Party B within one year after recommended by Party B, Party A should still pay the service fee thereafter.
  6. Party A should provide Job Description in written form to Party B within one working day after this agreement has been signed.
  7. PartyAonly need provide recruiting information such as Job Descriptionetc, search CVs, notice & interview candidates and other recruitment relative service is provide by Party B. Party B shall supply candidates in proportion of 1:3 (one title,three candidates)if possible and arrange interview according to the specific recruitment circumstance.
  8. As long as Party A decides to hire any candidate recommended by Party B, Party A shall pay off the total service fee, whereas, if the candidate refuses to work for Party A or resignwithin one monthafter employed by Party A only for any personal reason, Party B shall go on recommending candidates for Party A and shall not charge additional service fee from Party A.
  9. Party A should not alter the requirementsof candidates such as job description and salary standard etc during the service term of this agreement. If Party A has the necessity to change information above, it shall pay 30% of the service fee in addition.
  10. Part A should provide the feedback of the interview on candidates recommended by Party B to Part B within five workingdaysafter it received the candidates recommended by Party B.
  11. Party A is entitled to terminate this agreement where Party B fail to recommend candidates within agreed period.

Article 4. Rights and obligations for Party B

  1. Party B should provide recruitment service by abiding by relative regulations rigorously.
  2. Party Bhas the obligation to wage basic interview and any other examination process needed for recruitment.Party B shall provide appropriated CVs of candidates for Party A within ten working days after it received Party A’s written documents on recruitment requirements.PartyB should make proper arrangement for the Party A to interview the candidates according to Party A’s demand. Where the candidates fail to pass the interview of Party A, Party B shall recommended candidates and rearrange interview within ten working days after receivedthewritten notice of failure of the interview made by Party A.
  3. Party B has the right to check Party A’s qualifications. If the result is not consistent with Party B’s introduction, Party B has the right to stop the recruitment service.thereof.
  4. .Party A shall pay 30% of the total service fee stipulated in this agreement, the amount of which is regarded as the initiationfund of the recruitment service. The remain service fee should be paid off in one lump sum by Party A within 5 days after the Party A decides to employ candidates related.

If the candidates all fail to pass the examination during the term of this agreement, and Party A decide not to employ Party B to supply recruitment service,Party A need not pay the remnant service fee,whereas,the initiationfund which has been paid to Party B should not be refunded to Party A.

  1. Where Party A fails to give written notice to Party B about the candidate requirements in agreed time period, fail to pay initiation fundin time,Party B will stop supplying recruitment service. Where Party A fails to pay the remnant service fee in time, it shall have the obligation to pay Party B the overdue fee, all damage derived therefrom, and, at the same time, the late fee equivalent to "0.2% of the total amount of overdu fee * number of days as delayed for the payment of overdue fee ".
  2. Where the candidates recommended by Party B employed by party B fail start work for Party A or terminate laborrelation with Party A for the Party A’s reason, Party A still should pay of all the service fee.
    Article 5. Confidential Rules

1.The two parties have the obligation to keep the contract and other party’s business information as a secret.

2. Party A could not launch any background investigation of candidates without Party B’s written consent. Party B should not disclose Party A’s business secrets and recruitment information to any third party for business use.

Article 6. Service Fee

1. Party A should pay for Party B service fee the amount of __ __

5. If Party A terminates this agreement for its own reason, it shall pay 30% of the total fee to Party B as penalty for breach.

Article 7. Force majeure clause

Due to the unpredictable force majeure events, such as war, earthquake, strike or tempest which will lead one party can not carry out the obligations, one party should inform the other party in time. The other party can partly or entirely avoid the responsibilities according to the facts.

Article 8. If there is any need to modify this agreement,the both party must sign written legal documents on the modified item so that the modification is valid.

Article 9 .If Party A and B have disputes during the process of signing the agreement, the two parties can negotiate to solute, if it does not work, it should be selected one from the following method.:

1. The party shall submit the dispute to Beijing Arbitration Commission, or;

2.Submit the dispute to people’s court with jurisdiction.

Article 10. This agreement will come in to force when it is signed by both parties, it is written in English and Chinese languages in two/four original copies. Each party shall keep one/two original copy of each version. In case of any discrepancies between the Chinese version and the English version, the Chinese version shall prevail.
