Academic Software Use Agreement

Dr.PeterPark,aninvestigatorofChildren’sHospitalBoston,hascreatedMeerkatsoftwarethatprovidesamethodtoanalyze structural variationsfromwhole-genomesequencingdata(“Software”).

UsingtheSoftwareindicatesyouragreementtobeboundbythetermsofthisSoftwareUseAgreement(“Agreement”).Absentyouragreementtothetermsbelow,you(the “EndUser”)havenorightstoholdorusetheSoftwarewhatsoever.

CHBagreestogranthereunderthelimitednon-exclusivelicensetoEndUserfortheuseoftheSoftwareinperformanceofEndUser’sinternal,non-profitresearchatEndUser’sinstitutiononthefollowingtermsandconditions:

1.NOREDISTRIBUTION.SoftwareremainsthepropertyCHBandEndUsershallnotpublish,distribute,orotherwisetransferormakeavailabletheSoftwaretoanyotherparty.

2.NOCOMMERCIALUSE.TheEndUsershallnotuseSoftwareforcommercialpurposesandanysuchusehereunderthislicenseisexplicitlyprohibited.Thisincludes,butisnotlimitedto,useofSoftwareinfeeforservicecorelaboratoriesortoprovideservicesto,orcommercialsponsoredresearchforthirdpartiesforafee.IfEndUserwishtouseSoftwareforanycommercialpurposes,EndUserwillneedtoexecuteaseparatelicensingagreementwiththeCHB.RequestsfortheuseofSoftwareforcommercialpurposes,pleasecontact:

3.OWNERSHIPANDCOPYRIGHTNOTICE.CHBownsallintellectualpropertyintheSoftware.EndUsershallgainnoownershiptotheSoftware.EndUsershallnotremoveordeleteandshallretainintheSoftwareandanymodificationstoSoftware,thecopyright,trademark,orothernoticespertainingtoSoftwareasprovided withtheSoftware.

4.FEEDBACK.InordertoimprovetheSoftware,commentsfromEndUsersmaybeuseful.EndUseragreestoprovideDr.PeterParkwithfeedbackontheEndUser’suseoftheSoftwaree.g.anybugsintheSoftware,theuserexperienceetc.Dr.PeterParkandCHBarepermittedtousesuchinformationprovidedbyEndUserinmakingchangesandimprovementstotheSoftwarewithoutcompensationoranaccountingtoEndUser.

5.NONASSERT.EndUseracknowledgesthatDr.PeterParkandCHBmaydevelopmodificationstoSoftwarethatmaybebasedonthefeedbackprovidedbyEndUserunderSection4.Dr.PeterParkandCHBshallnotbeconstrainedinanywaybyEndUserregardingCHB'suseofsuchinformation.EndUseracknowledgestherightofDr.PeterParkandCHBtoprepare,publishandorusemodificationstotheSoftwarethatmaybesubstantiallysimilarorfunctionallyequivalenttoEndUser’smodifications,and/orimprovementsifany.IntheeventthatEndUserobtainspatentprotectionforanymodificationorimprovementtoSoftware,EndUseragreesnottoallegeorenjoininfringementofEndUser’spatentagainstDr.PeterPark,CHB,oranyofitsresearchers,medicalorresearchstaff,officers,directorsandemployees.

6.PUBLICATIONATTRIBUTION.EndUserhastherighttopublish,present,orshare,resultsfromtheuseoftheSoftware.IfutilizationoftheSoftwareresultsinoutcomeswhichwillbepublished,EndUsershallacknowledgeDr.PeterParkastheprovideroftheSoftware,shallspecifytheversionofSoftwareusedandcitethefollowingreference:

7.NOCLINICALUSE.TheSoftwareisforacademicresearchuseonlyanditisnotapprovedforclinical,diagnosticortreatmentpurposes.EndUsershallnotusetheSoftwareforclinical,diagnosticortreatmentpurposesandanysuchusesareexpresslyprohibited.

8.NOWARRANTIES.TheSoftwareisexperimentalinnatureandismadeavailable"ASIS,"withoutobligationbyCHBtoprovideaccompanyingservicesorsupport.AnyriskassociatedwithuseoftheSoftwareisatthesoleriskofInstitutionandEndUser.CHBandDr.PeterParkmakenowarranties,expressedorimplied,regardingthequalityofanyproductproducedunderthisAgreement.Undernocircumstances,shallCHBorDr.PeterParkbeliableforincidental,special,indirect,directorconsequentialdamagesorlossofprofits,interruptionofbusiness,orrelatedexpenseswhichmayarisefromtheuseoftheSoftware,includingbutnotlimitedtothoseresultingfromdefectsinSoftwareand/ordocumentation,orlossorinaccuracyofdataofanykind.

CHBANDDR.PETERPARKEACHEXPRESSLYDISCLAIMANYANDALLWARRANTIESCONCERNINGSOFTWARE,INCLUDINGANYWARRANTIESOFMERCHANTABILITYAND/ORFITNESSFORANYPARTICULARPURPOSE,ANDWARRANTIESOFPERFORMANCE,OR WARRANTYOFNON-INFRINGEMENT,ANDANYWARRANTYTHATMIGHTOTHERWISEARISEFORMCOURSEOFDEALINGORUSAGEOFTRADE.NOWARRANTYISEITHEREXPRESSORIMPLIEDWITHRESPECTTOTHEUSEOFTHESOFTWARE.

9.INDEMNIFICATION.Totheextentpermittedbylaw,EndUsershallindemnify,defendandholdharmlessCHB,itscorporateaffiliates,currentorfuturedirectors,trustees,officers,faculty,medicalandprofessionalstaff,employees,studentsandagentsandtheirrespectivesuccessors,heirsandassigns(the"Indemnitees"),againstanyliability,damage,lossorexpense(includingreasonableattorney'sfeesandexpensesoflitigation)incurredbyorimposedupontheIndemniteesoranyoneoftheminconnectionwithanyclaims,suits,actions,demandsorjudgmentsarisingfromEndUser’s useoftheSoftwareexcepttotheextentcausedbythegrossnegligenceorwillfulmisconductofCHB,itscorporateaffiliates,currentorfuturedirectors,trustees,officers,faculty,medicalandprofessionalstaff,employees,studentsandagentsandtheirrespectivesuccessors,heirsandassigns.

ThisSection9indemnificationclauseshallsurviveexpirationorterminationofthisAgreement.

10.GoverningLaw.ThisAgreementshallbeconstruedandgovernedbythelawsoftheCommonwealthofMassachusettsregardlessofotherwiseapplicablechoiceoflawstandards.

11.Non-UseofName.OtherthanpermittedunderSections3and6,theEndUser shallnotusethenameofCHBoranycorporateaffiliateinanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovaloftheauthorizedrepresentativeofCHB.
