Notice of Annual General Meeting 2001-2002

The Hong Kong Translation Society Annual General Meeting (AGM) will be held on 18 May 2002 (Saturday) at 12:30 p.m. at the Tower Club, Tower II Silvercord, 30 Canton Road, Tsimshatsui, Kowloon. A buffet lunch will be served at a cost of HK$160, which is payable at the meeting. The agenda of the AGM is as follows:

  1. To confirm the minutes of the last Annual General Meeting held on 9 June 2001.
  2. To receive an annual report on the activities of the Society in 2001-2002.
  3. To receive the audited accounts of the Society for the year ended 31 Dec 2001.
  4. To consider, if thought fit, to pass the special resolution of amendment to Clause 3(d) of the Memorandum. For details of the original clause and the amendment proposed, please see the attached in the next page.
  5. Any other business.

On the same occasion there will be a guest talk by André Levy on “Translating Literary Chinese: English Easier Than French?” (in English).

André Levy was born in Tianjin, and left China when he was eleven years old. He got degrees at the School of Oriental Languages and the Sorbonne in Paris before joining the French National Center for Scientific Research. In 1958, he was recruited by the French Center for Far-Eastern Studies and then spent ten years in Vietnam, Japan and Hong Kong. From 1969 to 1994, he was the director of the Center for Oriental Languages and Literature at Bordeaux University. From 1981 to 1984 he was the director of the Center at the University in Paris. He obtained his D.Litt. in 1974 with his thesis on seventeenth-century colloquial Chinese short stories. The greater part of his research and translations, consisting of a dozen books and some fifty articles, is concerned with traditional Chinese fiction. His recent publications include: Fleur en Fiole d'Or,Jin Ping Mei (1985), La Pérégrination vers l'Ouest (Journey to the West, 1991), Pu Songling, Chroniques de l'étrange (Strange Tales by Pu Songling, 1996), Cent poèmes d'amour de la Chine ancienne (1997), and Amour et rancune:les spectacles curieux duplaisir (1997).

All members are invited to take part in the AGM. Please be reminded that only Ordinary Members, Life Members, and Fellows have the right to vote. Agenda Item 4:

Clause 3 (d) of the Memorandum of Association

In March 2001, the IRD raised queries about the above clause, noting that:

This clause is amended such that the Society is empowered to carry on business, and to deal in financial futures, commodities futures, bullion futures or other derivative, to carry on business as dealers in investments.

While a charity may invest and deal with moneys of the Society not immediately required in furtherance of its charitable objects, the carrying on business may not be appropriate for a charity.

Special Resolution:

It is proposed that clause 3 (d) as it presently stands in the Memorandum of Association be deleted and the original version (below) be restored:

To invest and deal with the moneys of the Society not immediately required upon such securities and in such manner as may from time to time be determined.

This will make it possible for the Translation Society to continue to have its tax-exempt status.
