Bids must be accompanied by a proposal guarantee in the form of a certified check, bid bond, or a cashier’s check at the option of the bidder, payable to Passaic County Community College in the sum of not less than ten percent (10%) of the amount of the proposal, except that the amount need not exceed $20,000.00.

The college reserves the right to accept any and all bids for the whole, or any part of the materials and services, and to waive bid any informalities as may be in the best interest of the College.

Bidders are required to comply with the requirements of N.J.S.A. 10:5-31 et.seq. N.J.A,C. 17:27 et.seq. and must be registered with the Division of Contract Compliance and EEO, State House, Trenton, New Jersey 08625. The Contractor is required to comply with P.L., 2004, C57, for New Jersey Business Registration Requirements.

Pursuant to public advertisement, we the undersigned hereby declare that we have carefully examined the attached proposal, specifications and instructions.

The undersigned does hereby agree to furnish, deliver, and install, as applicable, at Passaic County Community College for the price indicated below. INSTRUCTIONS TO BIDDERS

Sealed proposals shall be received in accordance with Public Advertisement and as required by law, a copy of said notice being attached here to and made a part of these specifications.

1.  BIDS FORWARDED THROUGH THE MAIL

Bids may be forwarded by mail or by delivery service. The College accepts no responsibility for ensuring delivery by mail or delivery service provider. It is the bidder’s responsibility to see that bids are presented to the College on the hour and at place designated.

2.  PROPOSAL FORM

Each bid is to be submitted on the proposal form attached in a sealed envelope bearing the name and address of the bidder, addressed to the Office of Purchasing, Passaic County Community College, One College Boulevard, Paterson, NJ 07505, with the caption: “Sealed Bid”, clearly indicating bid number, title, due date and time. Proposals on forms other than herewith provided will be rejected. Failure to submit all information and required forms may result in the bid being rejected.

3.  NECESSARY BID ENCLOSURES

4.  WITHDRAWAL

Bids may be withdrawn by the bidder prior to but not after the time fixed for the opening of the bid.

5.  ASSIGNMENT, TRANSFER, CONVEY, SUBLET OR DISPOSAL OF CONTRACT

The bidder shall not assign, transfer, convey, sublet or otherwise dispose of this contract or any part thereof to anyone without the written consent of Passaic County Community College.

6.  PREFERENCE FOR DOMESTIC PRODUCTS

The college may give preference to products manufactured in the United States when available.

7.  OBLIGATION OF BIDDER

At the time of the opening of bids, each bidder will be presumed to be thoroughly familiar with the specifications, supply and equipment lists and contract documents, including all addenda, and if applicable, to have inspected the site. The failure or omission of any bidder to examine any form, instrument or document shall in no way relieve any bidder from any requirements with respect to his bid.

If a bidder withdraws a bid after award, and the college incurs additional cost as a result (including but not limited to the differential in cost in purchasing the products or services from another bidder), the initially awarded bidder shall be responsible to the college for such additional cost. The college may offset such costs against any invoices payable to the bidder.

8.  REJECTING BIDS

The college may reject any and all bids or portions thereof and to waive informalities or irregularities in any bid and to make awards in the best interest of the College.

9.  EFFECTIVE TIME PERIOD OF BID

All bids shall remain in effect and may not be withdrawn for a period of sixty (60) days from date the bids are opened.

10.  PARTIAL BID AWARDS

All bidders are to indicate unit prices for individual items, where appropriate, total bid prices for all such individual items, and total bid price for the entire group. The college may award contracts on the basis of individual items or the entire group.

11.  CONDITIONAL BIDS

Conditional bids will only be considered as optional alternate bids.

12.  PURCHASING ADDITIONAL QUANTITIES

All quantities noted in the specifications are estimated quantities. The college may purchase additional quantities at the bid price at any time up to ninety (90) days after the final delivery date specified.

13.  QUALIFICATION OF BIDDERS

The college may make such investigations as it deems necessary to determine ability of the bidder to perform the terms of the contract and the bidders shall furnish the college all reasonable information for this purpose as the college may request. The college may reject any bid if its investigation of the bidder reveals that, in the sole opinion of the college, the bidder is not qualified to carry out the obligations of the contract and complete it as outlined above.

14.  OBJECTIONS

Objections to, or questions regarding these specifications or the manner in which these bids are to be submitted shall be made in writing to the college at least seven (7) days prior to the day by which all bids are due; a failure to do so shall constitute a waiver of any objection with respect there to. Any questions regarding the bid or specifications received by the college shall be responded to as appropriate, and a copy of the response shall be forwarded to all known bidders. Only written answers to inquiries shall be binding. All such written answers or supplemental instructions will considered addenda to the specifications and become a part of any resultant contract.

15.  MEASUREMENT AND FITTING OF PARTS

The successful bidder, without extra charge, shall make such alterations as necessary to make adjustable parts fit to fixed parts, leaving all complete and in proper shape when finished. Fillers are to be supplied and installed where needed to provide a continuous and finished appearance. It shall be the duty of the successful bidder to verify all dimensions given on the drawings and to report any errors or inconsistencies.

16.  MANUFACTURERS’ TRADE NAMES AND CATALOG REFERENCES

A.  When a catalogue reference follows the description of an item, such catalogue reference is intended as a means of more fully describing the item in the shortest possible space, and it is to be regarded as part of the general description of the item and to establish minimum requirements for quality, design and utility.

B.  The college may consider products of manufacturers which are equal in quality, design and utility to the items specified, unless the description limits or excludes substitutes.

C.  In any instance, where the proposed product or equipment differs from the items specified, such differences must be explained by way of detailed specification and descriptions submitted as part of the form of bid.

D.  Failure to clearly note substitutions or alternates shall be taken to mean that the bidder intends to furnish the specified item(s).

E.  Where brand names are typically noted but not indicated in the specifications, the bidder must specify brand names.

F.  The college shall be the sole determiner as to whether an alternate or substitute is “equivalent” and its determination shall be final.

17.  SAMPLES

A.  The College may request a representative sample(s) of the item quoted upon prior to the award.

B.  Samples, when requested, must be submitted as a condition of submitting a bid.

C.  Samples shall be delivered free of charge to the college and, if applicable shall be removed by the bidder at his expense.

D.  If bidders desire the return of samples after evaluation, bidder must so note in writing. Return shipping shall be at bidder’s cost.

E.  The College will not be responsible for any samples damaged or destroyed by examinations.

18.  INSURANCE

The successful bidder shall, upon request of the college, be required to submit proof of insurance including copies of policies for examination, if so request by the college. Minimum overages shall be $1,000,000.00 in general liability, workman’s compensation and automobile liability respectively. Policies must provide for not less than ten (10) days’ notice to the college in the event of cancellation.

19.  PREVAILING WAGES

The Contractor and any subcontractor involved on the project shall be required to be registered and pay prevailing wages within the area of the project in compliance with New Jersey Prevailing Wage Act – N.J.S.A. 34:11-56:25 et seq., P.L. 1963, C.150.

20.  TAXES

The College is established under the authority of the State of New Jersey and is entitled to exemption from State, Federal and Local taxes, including New Jersey Sales Tax.

21.  BID SECURITY

As a guarantee of the fulfillment of the terms of the bid, each must be accompanied by the deposit of a certified check, cashier’s check, or suitable bid bond, payable to Passaic County Community College, in the sum amounting to ten (10%) percent of the total amount of the bid, but not in excess of $20,000.00. Such checks or bonds will be returned to all except the three lowest bidders, as soon as practical after the formal opening of the bids, The remaining checks or bonds will be returned to the three lowest bidders within 72 hours after the College has received a performance bond, if required, and has awarded the order to the successful bidders. If no order has been awarded, checks and bonds shall be returned within thirty (30) days after opening of bids, as long as the bidder has not been notified of the acceptance of his bid. Acceptance or forfeiture by the College of the ten (10%) percent deposit shall not be deemed to limit the remedies available to the College upon default, and it may recover full charges in addition thereto in accordance with law.

22.  SURETY CONSENT/PERFORMANCE BOND

A.  Each bidder shall be required to submit, with the bid, a certificate from a surety company stating that they will provide the bidder with a performance bond in the specific amount and form. A requirement of such would be stated in the legal advertisement.

B.  Upon award of bid, the successful bidder will be requested to post, within ten (10) days, security in the form of a Performance Bond, in full amount of the contract award. Upon acceptance of the Performance Bond, the bid security will be returned.

23.  FAILURE TO SIGN CONTRACT OR FURNISH PERFORMANCE BOND

Should the successful bidder fail to sign the contract or furnish performance bond as required by law, such action shall be sufficient cause to annul award. It is understood that the Proposal Guarantee shall be forfeited to Passaic County Community College as liquidated damage and not as a penalty.

24.  ACCEPTANCE OF BID

A.  Notification of award of the bid will be given as soon after the opening of bids as practicable, but in all cases within sixty (60) days of the bid opening.

B.  Awards shall be made in the best interests of the college, price and all other relevant factors considered.

C.  The specifications, together with all other bid documents related thereto, plus the purchase order issued by the College as authorized by the College Board of Trustees, to the successful bidder, shall constructively constitute the contractual agreement between the College and the successful bidder.

25.  DELIVERY AND INSTALLATION

A.  Bidders must acquaint themselves with conditions to be found at the delivery/installation site(s) and shall be responsible for all costs for delivering and installing the equipment in the locations required.

B.  The college generally accepts deliveries during normal business hours (Monday through Friday). During summer months and holiday periods, hours may vary. Delivery and/or installation outside of normal business hours must be agreed to by the college. All items are to be shipped freight prepaid FOB Destination.
