NON DISCLOSURE AGREEMENTWITH( COMPANY NAME )

This Agreement is made by and between, TrustsPAYwhose registered office is situated at 4th floor, Wanjun Trade Building, BaoxingRoad,Bao'an District, Shenzhen City, China (TrustsPAY), owning and operating the payment processing solutions brand, TrustsPAY(“TrustsPAY”), and (COMPANY NAME), a company duly incorporated and having its registered office at (COMPANY ADDRESS HERE ).

Whereas, TrustsPAYwill transmit to (COMPANY NAME) the business objectives, the data, information, documents, materials and other proprietary information, (“INFORMATION” ) pertaining to the systems, of the TrustsPAYand its associated group of companies, such as information shall be limited to (COMPANY NAME). The INFORMATION also includes copyrighted works and trade secrets which may be delivered by the TrustsPAYto (COMPANY NAME), pursuant to this agreement.

Whereas, (COMPANY NAME) may use the aforementioned INFORMATION for the purpose of developing software systems to interface with the e-Commerce system at the TrustsPAY.(COMPANY NAME ) agrees not to divulge, transmit, copy, reproduce the aforementioned INFORMATION in whole, or in part, or to allow such action by others for any purpose.

(COMPANY NAME) agrees not to communicate or not to allow to communicate to any person not legally entitled thereto any information relating to the affairs of the TrustsPAYand of its associated group of companies or to the affairs of any person having any dealing with TrustsPAYnor will ( COMPANY NAME ) allow any such person to inspect or have access to any books or documents belonging to or in the possession of TrustsPAYand relating to the business of TrustsPAY or to the business of any person having any dealing with TrustsPAY.

(COMPANY NAME) will use at least the same degree of care to avoid disclosure of the INFORMATION as it employs with respect to its own confidential proprietary information.

All tangible forms of INFORMATION such as written documentation, delivered pursuant to this Agreement, shall be and remain the property of TrustsPAYand all such tangible INFORMATION shall be promptly returned upon written request, or destroyed at the request of the TrustsPAY.

This agreement, written in English language only, contains the entire agreement and understanding with respect to the subject matter hereof, and supersedes all previous agreements and understandings in relation hereto.

This agreement shall enter into force when it is executed by the second signing party.

Any failure to comply with this non-disclosure notice shall entitleTrustsPAY to claim all costs and damages incurred as a result of this breach.
