The below describes an agreement between the company commonly known as Ubean.comLLC, Ubean.com, Ubean.Coffee, SimplyAmazingCoffee.com and the anticipated new Independent Distributor sometimes referred to as Me, I or My. This offer is only available in the United States at this time.
I ______wish to apply for membership in the Ubean Organic Coffee Independent Distributorship program. I understand that this will allow me to purchase Ubean brand coffee at wholesale prices for resale to make a profit. No amount of profit has been promised to me and I understand that the money I do or do not make will be due to my own efforts.
The company (Ubean.com LLC) if I am accepted agrees to provide me coffee in a timely fashion for my monthly required shipment as well as for additional orders I might place. I understand that the minimum monthly shipment is nine 12oz. bags of Ubean organic coffee and I will set this up on an automatic monthly shipment with RPA transfer of funds if I am indeed accepted as an independent distributor. I further understand that there is a monthly fee of $39.98 to be an independent distributor of Ubean.com branded coffees and I have enclosed the RPA form and voided check to start this process. If I am accepted into the program, I will be charged on my acceptance date and notified via certified mail.
Ubean.com agrees to maintain and improve the current company website Ubean.com so that my clients may view information and interact with the company. The company further agrees that it will not sell coffee from this website so it will not be in direct competition with me.
I am aware that I may cancel my membership at any time as long as it is in writing via certified mail to the address listed on my RPA form. I am also aware that if I cancel my membership I may not reapply for membership for a period of 36 months. If I am applying for membership prior to July 4th 2017 I understand that the company agrees to grandfather my monthly membership fee and NEVER raise it as long as I am a member in good standing. If I am applying for membership after this date I understand that the company can raise my monthly membership fee after 12 months.
Coffee Prices: Like most things coffee prices fluctuate and the company agrees that prices may change every ninety days. I understand this will affect my 9 bag monthly minimum and the company agrees they will attempt to notify me via email at least 10 days prior to that change. I also understand that price changes will be reflected in the retail price of the coffee and posted on the company website. These price changes will also keep my profit per bag the same as the retail price will be updated first.
Retail Selling Price: I agree that I will not advertise or allow to be advertised a price lower than the price listed at the bottom of the page on Ubean.com. This means that if I sell to a store at a discounted price it is with the agreement that they (the store) do not resell for less than the price listed on the Ubean.com website.
Ubean Promotions: I understand that the company will give away coffee samples to increase awareness of the brand and will also donate coffee to charity events from time to time. These giveaways will be promoted by the company and may or may not include my being advised of such information. If I am asked to participate in a promotion I may decline and I may or may not be compensated for such involvement depending on the degree of work, planning and time involved. Participating in a promotion will be at my sole discretion and is not a condition of the Independent Distributor Status. In no manner does any involvement by me mean that I am an employee of Ubean.com LLC
Acceptance as aUbean.com LLC Independent Distributor. If I am accepted into the program I will be notified via certified mail and my membership welcome package and additional documents will be sent to me in this manner. I will then have no more than 15 days to get the additional documents returned to Ubean.com LLC
Money Back Guarantee* I have been advised that there is a conditional money back guarantee on my monthly membership fees. The details are as follows: If I try to build my Ubean Organic Coffee business and for some reason I just cannot make a go of it I will write to the company in my 13th month at the street address on my RPA form and request to start the refund process (must be sent via registered mail). This will include cancelling my membership and closing my Ubean Independent Distributorship. I understand if I do this I may not become an Independent Distributor again for 36 months and the refunds may be made in the manner they were received by Ubean.com LLC.
Disputes: While the Company will attempt to resolve any reasonable dispute, if a dispute arises that cannot be mutually agreed on, all parties involved agree to binding arbitration by a third party. Location will be in or nearby Novi Michigan.
Logo and Trademarks:Ubean.com Simply Amazing Coffee is a Federally Registered Trademark and use of such may be requested by active (in good standing) independent distributors only. If you need a copy of the logo for business cards or promotions please email us at the dealer only email address in your welcome packet if you are approved.
Taxes: I understand that I am responsible for filing and paying my own taxes and that I should seek the help of a tax professional to make sure I am getting all the tax benefits of business ownership offered in the USA
