Article I: Name

This organization shall be known as the (NAME OF MUNICIPLITY) Republican Committee, hereinafter referred to as “the Committee” and shall be the official organization for the Republicans in (NAME OF MUNICIPALITY). The Committee shall be organized at the biennial organizational caucus in accordance with the Rules of the Maine Republican Party and shall be governed by the duly elected members of the Committee.

Article II: Purpose

The Committee shall be responsible for supporting and strengthening the Republican Party and shall take steps to:

1. Encourage all persons to register to vote and to enroll in the Republican Party and to vote in all elections;

1. Support all Republican candidates in a general election;

1. To assist in recruitment of Republican candidates for public office in all municipal, County and State Legislative races;

1. Issue such publicity and arrange such events and meetings as may be deemed necessary or advisable by the (NAME OF MUNICIPALITY) Republican Committee;

1. Provide for the dissemination to the public of information in support of the Party, its principles, its candidates for office and its incumbents in office;

1. Cooperate with the State and County committees; and

1. Do such other acts and activities as may be necessary in support of the Republican Party.

Article III: Members

All Republicans in (NAME OF MUNICIPALITY) shall be members of the Committee.

OR

Members of the Committee shall be determined as follows:

A.All enrolled Republicans in (NAME OF MUNICIPALITY) shall be eligible to become voting members of the Committee.

B.A.enrolled Republican in (NAME OF MUNICIPALITY) shall become a voting member upon nomination from another voting member and by a majority vote of the Committee.

C.To maintain status as a voting member of the Committee a member must attend one regularly scheduled meeting per quarter, unless excused by vote of the Executive Committee.

D.The duties of the members shall include, but not limited to, assistance and support to Republican candidates and any other initiatives supported by the Maine Republican Committee, County Committee and members of this Committee.

E.Other members of the Committee shall include any elected official to Federal, State or local office who is an enrolled Republican in this municipality.

Article IV: Officers

The officers of the Committee shall consist of a Chairman, Vice Chairman, Secretary, and Treasurer, and such other officers as the Committee may from time to time deem necessary. The Chairman, Vice Chairman, Secretary and Treasurer and any other officers as necessary shall be elected at a regular scheduled for (TIME AND DATE).

In the event of a vacancy in the office of Chairman, the Vice Chairman shall act as interim Chairman with an election to fill the vacancy to be held within 30 days.

Elections for Committee vacancies, in any officer position, may be held at a regular or special meeting of the Committee so long as the pending election(s) are listed in writing in the Call to the meeting.

The presiding officer shall provide advance notice of and manage the time allotted to the nominating process. Voting for each individual position shall be by secret ballot whenever there is a contested race.

Any officer or member of the Committee may be recalled for malfeasance or nonfeasance in office; for supporting a candidate for public office who is not a member of the Republican Party, except for non-partisan local elections; who publicly opposes the principles of the Republican Party; or who mismanages the finances of the Committee in violation of these Bylaws by two-thirds (2/3) vote of the Committee at a meeting called for such purpose in accordance with these Bylaws.

Article V: Duties of the Officers

The duties of the Officers shall include, but are not limited to, the following:

A.The Chairman shall:

1.Preside at all meetings, both Executive and full;

2.Call meetings, setting the time and place;

3.Appoint any subcommittees as provided herein; and

4.Perform any other duties as prescribed by State GOP Rules

B.The Vice Chairman shall:

1.Preside over the meetings in the absence of the Chairman;

2.Assume, on an interim basis, the position of Chairman when the Chairman is unable to fulfill his responsibilities or in the event of resignation;

3.Perform such other duties as may be requested by the Chairman; and

4.Act as a second signatory on all bank accounts as prescribed in these Bylaws.

C.The Secretary shall:

1.Keep accurate records of the meetings

2.Have custody of all records, files and correspondence;

3.Place appropriate public notices of all meetings;

4.Maintain correspondence and notices with all members; and

5.Notify the Maine Republican Party immediately of any resignations or elections of officers.

D.The Treasurer shall:

1.Receive all monies;

2.Keep an accurate record of all donations, including name, address, amount, occupation and place of business;

3.Disburse funds when bills are supported by proper vouchers and as voted by the Executive Committee;

4.File a written report, including copies of all bank statements, with the Secretary on the general financial condition of the Committee; and

5.Perform any other duties as prescribed by Title 21A and required by the Ethics Commission.

Article VI: Executive Committee

A.There shall be an Executive Committee consisting of the elected officers of the Committee and any appointed Subcommittee Chairs.

B.Meetings of the Executive Committee shall be held upon notification of all members with a minimum of 48 hours’ notice. Such notification may be made in writing, via email or by phone call.

C.A quorum of the Executive Committee shall consist of three (3) members.

D.It shall be the duty of the Executive Committee to approve the disbursement of all funds under $100. Expenditures of $101 and over shall be disbursed upon approval of all Committee voting members present at a regularly scheduled monthly meeting. Expenditures over $300 shall require the signatures of the Vice Chairman and the Treasurer.

E.The Executive Committee shall be subject to the orders of the Committee, and none of its acts shall conflict with the action taken by the Committee.

Article VII: Subcommittees

Subcommittees may be appointed by the Chair of the Committee with Executive Committee approval to form said committee. Any Chair of a Subcommittee shall also be a voting member of the Executive Committee. The Chairman of the Committee shall be an ex-officio member of all subcommittees.

Subcommittees are required to keep minutes of their meetings and report back to the Executive Committee.

Article VIII: Meetings and Quorums

A.Regular Meetings

The Chairman of the Committee shall call at least (PLACE NUMBER HERE) meetings per year. Notice of all meetings to the Committee membership shall be no less than (PLACE NUMBER HERE) days, and more than practical. Notification of all meetings shall be made by email or postal service when email is not available.

B.Quorum

A quorum shall consist of five (5), voting members including the Chairman and one other Officer.

C.Special Meetings

Special meetings may be called by the Chairman, in his absence or refusal to do so, by the Vice Chairman or by the Executive Committee, or shall be called upon the written request of ten members of the Committee. The purpose of the meeting shall be stated in writing and the meeting shall be limited to the stated agenda. At least seven days’ notice shall be given either via email, phone or local media. A quorum must be present for the meeting.

D.Voting

All votes by the members of the Committee and the Executive Committee must be cast in person.

Article IX: County Committee Vacancies

Vacancies on the County Republican Committee shall be filled in accordance with the Bylaws of the County Committee.

Article X: Removal of Voting Members

Removal of any member or members of the Committee may occur when a member publicly endorses a candidate other than the Republican, when a Republican is running for office, in an election. The member who is eligible for removal must be notified in writing by the Committee Chair after the Executive Committee has approved the removal by majority vote.

Article XI: Amendment of By-Laws

Any proposed amendment to these by-laws must be presented to the Chairman and the Committee at least one regularly scheduled meeting prior to the meeting at which the proposed amendment will be voted on.

On the call of the next meeting, the Committee shall be informed of the proposed amendment to these by-laws, by the Secretary, in writing.

These by-laws may be amended at any regular meeting of the Committee by a two-thirds vote of the members present at the meeting, provided there has been notice in accordance with Article XI and provided that there is a quorum.

An amendment to the by-laws goes into effect immediately upon its adoption unless the motion to adopt specifies another time for its becoming effective, or the Committee has set such time by a previously adopted amendment to these by-laws.

Article XII: Roberts Rules of Order

All business of the (NAME OF MUNICIPALITY) Republican Committee and all business of its duly designated sub-committees,when not addressed in these Bylaws, shall be governed byRobert’s Rules of Order, Newly Revised.
