Dear EMPLOYER:
Thank you for your interest in our services. We look forward to help you recruit quality people for your company. Please read and understand the following. Before we can go further, you must agree to the following terms. After that, we ask you to read and fill out the enclosed EMPLOYER’S COMPENSATION AND JOB REQUIREMENT FORM. We shall then review this with you. We compare your request with you to willing candidates we have on file and future candidates. We keep your request on file until you have filled your position. If you filled the position by other means than Clarence Richard Company (C R Co.), we ask that you inform us immediately.
The term “candidate” means anyone referred to you by our company to you or anyone referred to you by our candidate. The terms “refer” and “referred” means the disclosure by C R Co. of the identity of a Candidate through any means including but not limited to oral or written disclosure, by telephone, in person, by fax, mail, e-mail, etc.

FEES: C R Co. fees are payable on a contingency basis. A fee is due only if a candidate enters into any type of business relationship with you, any of your affiliates, or anyone to whom you refer the candidate, within two years of our last communication with you about the candidate. Candidates are referred to you in strict confidence.
C R Co. fees are computed at 18 1/2% of the total estimated gross annual compensation to be earned by the candidate during the candidate’s first twelve months. Total estimated gross annual compensation includes a reasonable estimate of wage, salary, draw, independent contractor or consulting fees, commissions, bonuses, incentives, or any form of income or compensation received by the candidate. The estimate must be mutually agreed upon by you and C R Co. when the business relationship begins. C R Co. fees shall be invoiced when the business relationship between you and the candidate begins. Sales tax will be added to the fee where required by law.
GUARANTEE: C R Co. shall replace the candidate in the event the business relationship between you and the candidate is terminated for any reason within thirty days of the date it started (except when termination is due to lack of work), provided that C R Co. receives payment in full within 30 days of C R Co. invoice, and provided that you notify C R Co. , in writing of all the facts relating to the termination within five business days after it occurs. This guarantee shall be your sole remedy.
PAYMENT TERMS.: C R Co. fees are due upon receipt. In the event that all amounts due are not paid within 30 days from the date of invoice, the agency shall be entitled to interest from the date of invoice at a rate of 12% annum on the unpaid fees in addition to the reimbursement of all the costs and disbursements spent in connection with collecting any agency fees, including but not limited to reasonable attorney fees . You consent to the jurisdiction of the courts of Minnesota and agree that it’s laws shall govern our relationship. Rev5/98
