Onsite Electronic Deposit Operating Agreement
This Onsite Electronic Deposit Operating Agreement (“OED Operating Agreement”) is between the Oregon State Treasury (“Treasury”) for
(“Agency”) and
U.S. Bank National Association (“Contractor”).
This OED Operating Agreement shall be considered to be an amendment to and a part of that Treasury Management Services Agreement (“Master Agreement”) dated 8-15-01 . The purpose of this OED Operating Agreement is to govern that particular arrangement entered into therein whereby Contractor, through the Master Agreement, has agreed to provide certain Onsite Electronic Deposit (“OED”) services to Treasury for Agency.

Notices and Other Written Communication: Unless otherwise noted elsewhere in this OED Operating Agreement or in the Master Agreement, written notice or other communication relative to pricing, policy, or related issues should be directed to Treasury at the address provided in the Master Agreement, Section 21. Written notice or other written communication relative to operational or procedural issues affecting only this OED Operating Agreement should be directed to the address provided below with a copy sent to Treasury.

In the event of a conflict between this Operating Agreement and the Master Agreement, the Master Agreement shall control.
This OED Operating Agreement may be terminated by Treasury or Contractor upon ninety (90) days advance written notice to the other party and to Agency. The termination of this OED Operating Agreement shall not be deemed a termination of the Master Agreement. Unless earlier terminated as provided in this subsection, this OED Operating Agreement shall continue for the term of the Master Agreement. In addition to the foregoing, Treasury may terminate this OED Operating Agreement immediately upon written notice to Contractor, or at such later date as Treasury may designate in such notice if Contractor commits any material breach or default under the terms of this OED Operating Agreement, and such breach or default is not cured within ten (10) business days after delivery of Treasury’s notice, or such longer period as Treasury may specify in the notice.
Each of Treasury and Contractor, by the signature below of its authorized representative, hereby acknowledges having read this OED Operating Agreement, understands it, and agrees to be bound by its terms and conditions.
