The Board of Directors of Cuscapi Would Like to Provide the Following Additional Information

Transactions (Chapter 10 of Listing Requirements): Non Related Party Transactions Cuscapi Berhad (“Cuscapi” or “The Company”) Proposed Acquisition of 90,000 Shares of Common Stocks with a Par Value of One Hundred Philippine Pesos (PHP100) Each in Tills N Labels System Marketing, INC. (“Tills N Labels”) Representing 100% of the Issued and Paid – Up Share Capital of Tills N Labels By Cuscapi Philippines, Inc., A Subsidiary of Cuscapi for a Total Cash Consideration of USD 2,000,000 (“Proposed Acquisition”)

We refer to the announcement dated 23 July 2012 in respect of the Proposed Acquisition ("Announcement"). Unless otherwise defined, the abbreviations used throughout this announcement shall be the same as the previously defined in the Announcement.

The Board of Directors of Cuscapi would like to provide the following additional information:-

1.Information on Tills N Labels

Tills N Labels was incorporated in Philippines under the laws of the Republic of the Philippines on 3 November 2011 as a private company limited by shares. The present authorised share capital of Tills N Labels is Ten Million Philippine Pesos (PHP10,000,000) consisting of One Hundred Thousand (100,000) shares of One Hundred Philippine Pesos (PHP100), of which 90,000 shares have been fully subscribed and paid up.Tills N Labels has not fixed its first financial year end and does not have its first year audited accounts.

2.Basis of arriving and justification for the Purchase Consideration

The Purchase Consideration, was arrived at on a “willing buyer willing seller” basis after taking into consideration, inter-alia, the following:-

(i)The earnings potential of Tills N Labels based on existing secured contracts in the Philippines; and

(ii)the agreement by the Assignors to guarantee that Tills N Labels would achieve the Guaranteed Profit (as defined in Section 2.8 below).

The purchase considerationshall be fully satisfied in cash and there is no deferred basis arrangement for the payment of the purchase consideration.
