Confidentiality, Non-disclosure, and Non-compete Agreement

THIS AGREEMENT and acknowledgement is entered into by and between Midtown Properties, Inc.

(MPI)and ______

(Undersigned Buyer, Agent and/or Brokerage Firm).

Whereas, MPIagrees to furnish the Undersigned access to certain confidential information and materials relating to the affairs ofa business and/or propertysolely for the purposes of marketing and/or sale of the referenced business and property by phone, fax, email, showing, and/or in person presentation.

Undersigned agrees to hold such information confidential, secretandin trust and shall not be used for any other purpose or disclosed to any third party under any circumstances whatsoever.

Undersigned shall restrict and limit access to such confidential information to partners, employees, contractors, clients, as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement.

All information materials provided by MPI to the undersigned continue to be the properties of the owner and MPI.Undersigned shall not release such confidential information/knowledge regarding the property or business to other associates or Buyers within or out side the selling broker’s company nor shall such information to be disclosed to or discussed with residing tenants, or current/past employees.

Undersigned Parties, Including Cooperating/selling broker, Salesperson, Facilitator, and/or Buyer agrees not to submit any offer/proposal to the owner, or solicit offers for the property,solicit listing, through written advertisements or any verbal/oral/electronic ways of communications, or to contact the seller/ownerdirectly or indirectly for any related purpose for a period of 24 months.

Upon execution of this agreementMPIshall furnish to the Undersigned certain confidential information materials, regarding:

Undersigned understands and acknowledges that all information materials provided have not been verified byMPI, and no representations or warranties are made as to the accuracy or completeness of the information materials provided.

Furthermore, Undersigned agrees to use courtesy and consideration for the owner in showing the above property and to follow MPI’s instructions not to notify/indicateto or discuss with any of the tenants/employees about the property.

The Undersigned acknowledges the information disclosed herein is confidential and in the event of any breach, MPI. and the ownershall be entitled to all attorney fees, court costs, including any appeals, owner costs of collection, and injunctive relief as a cumulative and necessary successive or exclusive remedy to a claim for monetary damages.

This agreement shall be binding upon and inure to the benefit of the parties, their successors and assigns.
