Eskom's rights to accept or reject any tender / 6 / Eskommayacceptorrejectanyvariation,deviation,tender,or alternative tender,andmaycancelthetenderprocessandrejectalltendersatanytime priortotheformationofacontract.EskomortheEskomRepresentativewillnot acceptorincuranyliabilitytoatendererforsuchcancellationandrejection,but willgivewrittenreasonsfortheactionuponwrittenrequesttodoso.Eskom reservestherighttoacceptthewholeor anypartof anytender.

AfterthecancellationofthetenderprocessortherejectionofalltendersEskom mayabandontheproposedwork andservices,haveitperformedinanyother manner,orre-issueasimilarinvitationtotenderatanytime.Eskom,its subsidiaries,shareholders,advisors,directors,employees,representative includingtheEskom Representativeshallnotbe liableforanylosses,claimsor damagesofwhatsoevernatureorhowsoeverarisingwhichmaybesustainedby atendereror anyotherpersonasaresultofanyamendment,terminationor suspensionof theprocesssetout inthisInvitationto Tender(andallits schedulesandannexures)orwhichmaybesustainedbyany tendererorany otherpersonarisingoutof orpursuantto itsparticipationinthetenderprocess outlinedinthisInvitationtoTender,oritsexclusionfrom participatinginthe tenderprocessatanypoint.
Eskom’s right to
negotiate / 7 / Eskomreservestherighttoenterintomandatednegotiationswithanyoneor moreselectedtendererin accordancewithEskom’sapprovedprocurement policiesandprocedures.

2. Tenderer’s Obligation
Thetenderershallcomplywiththefollowingobligationswhensubmittinga tender andshall:
Eligibility / 1 / Submitatenderonlyifthetenderercomplieswiththecriteriastatedinthe tenderdataandthe tenderer,oranyofhis principals,is notunderany restrictiontodobusinesswithEskom.
Tender closing time / 2 / Ensurethat Eskomhasreceivedthetenderattheaddressandinthetenderbox orfacsimilenumberor e-mail address specifiedinthetenderdatabyno laterthanthe deadlinefor tendersubmission.Proofofpostingorof courierdeliverywillnotbetakenby Eskomasproofofdelivery.Eskom willnotacceptatendersubmitted telephonicallyor bytelegraph.
3 / Anyreferenceto timewillmeanSouthAfricanStandardTime(SAST),i.e.GMT+2hours.TheclosingtimewillbedeterminedbyusingtheTelkomtime signalasavailableoverthetelephone.Thistimewillbestrictlyadheredto.
3 / AcceptthatifEskomextendsthedeadlinefortendersubmissionforanyreason, therequirementsoftheseStandardConditionsofTenderapplyequallytothe extendeddeadline.
4 / Anytendersnotinthetenderboxasstipulatedinthetenderdataatthedeadlinefortendersubmissionwillbeconsideredlate.
AcceptthatEskom willnotassumeanyresponsibilityforthemisplacementor prematureopeningof the tenderiftheouterpackageis notsealedandmarked asstated.
Withoutlimitation,Eskomtakesnoresponsibilityforanydelaysinanycourieror postalsystemoranydelaysintransitwithinorbetweenEskomoffices.Eskom likewisetakesnoresponsibilityfortendersdeliveredtoalocationotherthanthe tenderboxatthetenderofficestatedinthetenderdata.
Whereit is permissiblefortenderstobereceivedbyfacsimile,Eskomtakesno responsibilityfordifficultiesintransmissioncausedbylineorequipmentfaults. Completedtendersnotreceivedatthedesignatedfacsimilemachinebythe deadlinefortendersubmissionwillbeconsideredlate.Thetimeprintonboththe sendingandreceivingfacsimilemachineswillbedisregarded,astheTelkomtimesignalasavailableoverthetelephonedeterminestheclosingtime,bywhich thecompletedtendermustbereceived.
Eskomemployeesarenotpermittedtodeposita tenderintotheEskomtender boxonbehalfofa tenderer.
Cost of tendering / 5 / AcceptthatEskom willnotcompensatethe tendererforanycostsincurredinthe preparationandsubmissionofatender,orthenegotiationof anycontract, includingthecostsofanytestingnecessarytodemonstratethataspectsofthe tendersatisfytheevaluationcriteria.
Submitting a tender / 6 / Submitatenderforprovidingthe whole or partof theworks,servicesorsupplyidentified inthespecificationprovidedbyEskom as stated in the tender data.
7 / ReturnthetenderreturnablestoEskom,completingwithoutexceptionallthe forms,dataandschedulesincludedtherein.Whereanycertificate,proofof registrationorthelikeis requiredtobesubmittedasatenderreturnable,the tenderermustensurethat Eskomis inpossessionofavalidcertificateorproofof registrationforthedurationofthe validityperiodand,ifthetenderis successful, uptocontractaward.Unlessotherwisestated,tenderersmustsubmitanoriginal oracertifiedcopyofsuchcertificateor proofofregistration.
8 / Submitthetenderas anoriginalhardcopytender,plus one (1) copyandprovidean Englishtranslationfordocumentation submittedina languageotherthanEnglish.Tendersmaynotbewritteninpencil andmustbecompletedinink.
9 / Signtheoriginalhardcopytender,andallcopiesofthetenderwhereindicated. Eskom willholdthesignatorydulyauthorisedandliableonbehalfofthe tenderer.
10 / Sealtheoriginalhardcopytenderandeachcopyofthetenderasseparate packagesmarkingthepackagesas "ORIGINAL"and"COPY".Eachpackage shallstatetheEskomaddressontheoutside,theInvitationto Tendernumber statedinthetenderdata,aswellasthetenderer'snameandcontactaddress.
11 / Sealtheoriginalhardcopyandrequiredcopiestogetherinanouterpackagethat statesontheoutside,onlytheEskomaddressandInvitationtoTendernumber asstatedinthetenderdata.Theouterpackagemustbemarked “CONFIDENTIAL”.
12 / Wherea two-envelopesystemis requiredintermsof thetenderdata,placeand sealthereturnabledocumentslistedinthetenderdatain anenvelopemarked “FinancialProposal”andplacetheremainingreturnabledocumentsinan envelopemarked“TechnicalProposal”.EachenvelopeshallstateEskom’s addressontheoutside,andtheidentificationdetailsstatedin thetenderdata,aswellasthetenderer’snameandcontactdetails.Thetenderermustensure thatbothpartsofthetenderaredeliveredasa singlepackage.
Tender validity / 13 / Holdthetender(s)validforacceptancebyEskomatanytimewithinthevalidity periodafterthedeadlinefortendersubmission.
14 / Extendthe validityperiodforaspecifiedadditionalperiodifEskomrequeststhe tenderertoextendit. Atendereragreeingtotherequestwillnotberequiredor permittedtomodifyatender,excepttotheextentEskommayallowforthe effectsof inflationovertheadditionalperiod.
Check documents / 15 / Checkthetenderdocumentsonreceipt,includingpageswithinthem,andnotify theEskomrepresentativeof anydiscrepancyoromissionsusingtheenclosed fax-backform.
Confidentiality and copyright of documents / 16 / Treatasconfidentialallmattersarisinginconnectionwiththetender.Useand copythedocumentsprovidedbyEskomonlyforthepurposeof preparingand submittinga tenderinresponseto thisInvitationtoTender.
Standardised specifications and other publications / 17 / Obtain,asnecessaryforsubmittinga tender,copiesofthelatestrevisionofstandardisedspecificationsandotherpublications,whicharenotattachedbut whichareincorporatedintotheenquiry documentsbyreference.
Acknowledge receipt / 18 / CompletetheReceiptofInvitationtoTenderandsubmittheAcknowledgement Form,whichis attachedtotheinvitation to tender,andreturnitwithin5(five)days ofreceiptoftheinvitationtotender to the Eskom Representative.
19 / Acknowledgereceiptof Addendato theenquiry documents,whichtheEskom Representativemayissue,andifnecessaryapplyforanextensionto submit the tender in ordertotaketheAddendaintoaccount. All Addenda will be issued to tenderers in the same manner the enquiry documents were issued. If the enquiry documents were issued on the Eskom tender bulletin it is the tenderers responsibility to check the tender bulletin regularly for Addenda issued by the Eskom Representative.
Site visit and / or clarification meeting / 20 / Attenda sitevisitand/orclarificationmeetingat which tenderersmayfamiliarise themselveswiththeproposedwork,servicesorsupply,location,etc.andraise questions.Detailsofthemeeting(s)arestatedinthetenderdata.

24 / ProvideratesandPricesthatarefixedforthedurationofthecontractandnot subjectto contract price adjustmentexceptasprovidedforinthe conditionsofcontract.
25 / StatetheratesandPricesinSouthAfricanRandunlessinstructedotherwiseas anadditionalconditionin thetenderdata.Theselectedconditionsofcontract mayprovideforpartpaymentinothercurrencies.
Alterations to documents / 26 / Notmakeanyalterationsor additionstothetender documents,otherthanfor purposesofcomplyingwithinstructionsissuedbytheEskomRepresentativeorif necessarytocorrecterrorsmadebythe tenderer.Allsuchalterationsshallbe initialedbyallsignatoriestothetender.Correctionsmaynotbemadeusing correctionfluid,correctiontapeorthelike.
Alternative tenders / 27 / Submitalternativetendersstrictlyinaccordancewithalltherequirementsofthe enquirydocuments,onlyifa maintenderis alsosubmitted.Thealternativetender is submittedwiththemaintendertogetherwithaschedulethatcomparesthe requirementsoftheenquirydocumentswiththealternativerequirementsthe tendererproposes.
28 / Acceptthatanalternativetendermaybebasedonlyonthecriteriastatedinthetenderdataandasacceptableto Eskom.
Clarification of tender after submission / 29 / Provide,onrequestfrom theEskomRepresentativeduringtheevaluationof tenders,anyothermaterialthathasa bearingonthetender,thetenderer’s commercialposition(includingnotarisedjointventureagreements),preferencing arrangementsorsamplesofmaterials,considerednecessarybyEskomforthe purposeofafullandfairrisk assessment,andforthepurposesofconducting inspections,testsoranyotheranalysis.Thismayincludeprovidingabreakdown ofratesorPrices.NochangeinthetotalofthePricesorsubstanceofthetender is sought,offered,orpermittedexceptasrequiredbytheEskomRepresentative toconfirmthecorrectionofarithmeticalerrorsdiscoveredintheevaluationof tenders.ThetotalofthePricesstatedbythe tendererascorrectedbytheEskom Representativewiththeconcurrenceof thetenderer,shallbebindinguponthe tenderer
Submit bonds, policies etc. / 30 / IfinstructedbytheEskomRepresentative(beforetheformationofacontract), submitforEskom’sacceptance,thebonds,guarantees,policiesandcertificates of insurancerequiredtobeprovidedbythesuccessfultendererin termsofthe conditionsofcontract.
Sign Form of Agreement / 31 / Undertaketocheckthefinaldraftof thecontractprovidedbytheEskomRepresentative,andsignthecontractdocuments.
Proof of authority to act as agent / 32 / Whereanagentonbehalfofaprincipalsubmitsatender,an authenticatedcopy oftheauthoritytoactasanagentofthetenderermustbesubmittedasatender returnable.
Compliance with Supplier Development and Localisation (SD&L) Requirements / 33 / ComplywithEskom’srequirementsregardingSupplierDevelopmentand Localisation,assetoutinthetenderdata.
Compliance with CIDB / 34 / Eskom,asastateownedentity,requiresalltendererstoberegisteredwiththeConstructionIndustryDevelopmentBoard(“theCIDB”)for all construction related work.
Thisrequirementflowsfrom theConstructionIndustryDevelopmentBoardAct 38of2000(“theCIDBAct”)andtheConstructionIndustryDevelopmentBoard Regulations(“theRegulations”),intermsofwhichacontractoris requiredto registerwiththeCIDBtopartakeinpublicsectorprocurementforconstruction works(asdefinedtherein).
Therequiredgradeandcategoryofregistrationwhichis determinedwith referencetothenatureand valueofthecontract,isdetailedinthetenderdata. EskomrequirestendererstosubmitproofofregistrationorproofofapplicationforregistrationwiththeCIDB,intherequiredcategoryofregistration,asatender returnable.
Intheeventthatatthedeadlinefortendersubmissiononlyproofofapplicationis available,avalidproofofregistrationmustbesubmittedbythetendererwhenit isissued,andinanyeventpriortocontractaward.
TherequirementsoftheCIDBActandtheRegulationsmaychangefrom timeto timeandEskom willberequiredtoapplytheversionof theCIDBActand Regulationsapplicableat thetimeof contractaward.Tenderersshouldkeep themselvesupdatedontheserequirements.FurtherinformationontheCIDBand CIDBregistrationcanbefoundontheCIDBwebsite
Compliance with COIDA, OHS Act & Eskom’s SHEQ Requirements / 35 / ThelawrequiresthattenderersareregisteredwiththeCompensationFund(“theFund”)in termsoftheCompensationforOccupationalInjuriesandDiseasesAct130of1993(“COIDA”)or withalicensedcompensationinsurer.This requirementflowsfrom theOccupationalHealthandSafetyAct85of1993(“the OSHAct”),andRegulation4(1)(g)of theConstructionRegulations2003.
Tenderersarerequiredtoprovideprooftothesatisfactionof Eskomthatsafety, health,environmentalandquality(SHEQ)systems,policiesandcapabilitiesare inplaceatthetimeof tendering,failing which,Eskomreservestherightto declarethetendernon-responsiveduringtenderevaluation.Allcostsand personnelassociatedwithSHEQshouldbereflectedinthetenderforEskom’sassessmentthereof.
Compliance with PPPFA / 36 / Eskom, as a state owned entity, must comply with the provisions of the Preferential Procurement Policy Framework Act, Act No 5 Of 2000 (PPPFA) and its regulations. Eskom will apply a preferential procurement system in accordance with the PPPFA and its regulations.
Broad-Based Black Economic Empowerment (B-BBEE) / 37 / Eskom may disqualify a tender if it is found that the tenderer has misrepresented its B-BBEE status in its tender or has submitted a fraudulent B-BBEE certificate to Eskom.
Provision of Security for
Performance / 38 / Totheextentthattheprovisionofsecurityforperformanceisarequirement,the tenderermustindicatethenamesofaminimumof 2(two)financialinstitutions thatthetendererislikelytoapproachinordertoobtaintherequiredformof security.
3. Eskom’s undertakings
EskomandtheEskom Representative,shall:
Respond to clarification / 1 / Respondtoarequestforclarificationreceivedearlierthantheclosingtimefor clarification of queries. The responseswill be published to all tenderers in the same manner the enquiry documents were issued. If the enquiry documents were issued on the Eskom tender bulletin it is the tenderers responsibility to check the tender bulletin regularly for updated responses to clarifications by the Eskom Representative.
Issue Addenda / 2 / Ifnecessary,issueAddendathatmayamend,amplify,oraddtothetender documents. Ifatendererappliesforanextensionto the deadlinefortendersubmission,inordertotakeAddendaintoaccountin preparinga tender,EskommaygrantsuchanextensionandtheEskom Representativeshallnotifyall tenderersof the extension. The Eskom Representativewill notify tenderers of Addenda and extensions to the deadlinefortendersubmission in the same manner the enquiry documents were issued. If the enquiry documents were issued on the Eskom tender bulletin it is the tenderers responsibility to check the tender bulletin regularly for updates and notifications regarding the enquiry documents.
Return late tenders / 3 / Returntendersreceivedafterthedeadlinefortendersubmissionunopenedtothetenderersubmittinga latetender.Tenderswillbedeemedlateiftheyarenot receivedatthedesignatedfacsimilemachineorinthedesignatedtenderboxat thedateandtimestipulatedasthe deadlinefor tendersubmission
Tender opening / 4 / Openthetendersinthepresenceof the tenderers’representativeswhochoose toattendatthetimeandplacestatedinthetenderdata.Tendersfor whichan acceptablenoticeofwithdrawalhasbeensubmittedwillnotbe opened.
5 / Attenderopening,Eskomwillannouncethenamesofthe tenderers andPrices,unlessotherwisestatedin the tenderdata.
Two-envelope system / 6 / Wherestatedinthetenderdatathatatwo-envelopesystemis tobefollowed, openonlythetechnicalproposalsinthepresenceoftenderer’srepresentatives andannouncethenameof eachtenderer.
7 / Evaluatethequalityofthetechnicalproposalsandadvisetenderersonwho remainsincontentionfortheawardofthecontract.Returnunopenedfinancial proposalstotendererswhosetechnicalproposalsfailedtomeettheminimum criteria.
Non-disclosure / 8 / Unlessrequiredtodoso bylaw,notdisclosetotenderers,ortoanyotherperson notofficiallyconcernedwithsuchprocesses,informationrelatingto theevaluationandcomparisonoftendersandrecommendationsfortheawardof a contract,untilaftertheawardof thecontracttothesuccessfultenderer.
Grounds for rejection / 9 / Considerrejectingatenderifthereis anyeffortbyatenderertoinfluencethe processingoftendersorcontractaward.
Disqualification / 10 / Immediatelydisqualifyatenderer(anditstender)ifit is establishedthatthe tendererofferedan inducementtoanypersonwitha viewtoinfluencingthe placingofacontractarisingfrom thisInvitationtoTender.
Basic Compliance / 11 / Determinebeforedetailedevaluation,whethereachtenderproperlyreceived:
- Meets the requirements of these Conditions of Tender,
- Has been properly signed, and
- Is responsive to the requirements of the tender documents.
12 / Judgearesponsivetenderasonewhichconformstoalltheterms,conditions, andspecificationsofthetenderdocumentswithoutmaterialdeviationor qualification.Amaterialdeviationor qualificationis one which,inEskom's opinionwould:
- Detrimentallyaffectthescope,quality,orperformanceofthe works,servicesor supplyidentifiedinthespecification,
- ChangeEskom'sorthetenderer'srisksandresponsibilitiesunderthecontract, or
- Affect the competitive position of other tenderers presenting responsive tenders,if it were to be rectified.
13 / Atenderer’sfailuretocomplywiththesaidconditionsof tenderwillrenderatendernon-responsive.
Mandatory requirements / 14 / Atenderer’sfailuretomeetstipulatedgatekeepers(pre-requisitesforevaluation)orfailureto provideanycompulsorydocumentationrequiredforpurposes oftenderevaluation andthedeterminationofcompetitiverankingwillalsorenderthetender/offernon-responsive.
Copies of Tenders / 15 / Itmustfurtherbenotedthata tenderer’sfailuretoprovideone copy oftheoriginaltenderandin thestipulatedformat,willalsodisqualifythetendererfromfurtherevaluation.Tendererswillnotbepermittedtoprovidetherequired copy aftertender/enquiryclosing,andEskom willnotberesponsibleforthe makingofcopiesforthepurposesofevaluation,inanefforttoavoidtherisksof tendertampering.
Non-responsive tenders / 16 / Rejectanon-responsivetender,andnotallowittobesubsequentlymade responsivebycorrectionorwithdrawalofthenon-conformingdeviationor reservation.
Arithmetical errors / 17 / Checkresponsivetendersforarithmeticalerrors,correctingthem asfollows: Wherethereisadiscrepancybetweentheamountsin figuresandinwords,the amountinwordsshallgovern.
Ifabillofquantitiesappliesandthereis a discrepancybetweentherateandthelineitem total,resultingfrommultiplyingtheratebythequantity,therateas quotedshallgovern.Wherethereis anobviouslygrossmisplacementof the decimalpointintherate,thelineitem totalasquotedshallgovern,andtherate willbecorrected.
WherethereisanerrorinthetotalofthePrices,eitherasaresultof other correctionsrequiredbythis checkingprocessorinthetenderer'sadditionof prices,thetotalofthePrices,ifany,willbecorrected.
Thecorrectedpricewillbecommunicatedtothetenderer.Thetenderermaywithdrawthetender,butmaynotchangethetenderedprice.
18 / RejectatenderifthetendererdoesnotacceptthecorrectedtotalofthePrices(if any).
Evaluating the tender / 19 / Evaluateresponsivetendersinaccordancewiththeprocedureandcriteriastated inthetenderdata.Unlessrequiredto doso bylaw,theevaluatedtenderprice willbedisclosedonlytotherelevantEskomadjudicatingauthorityandwillnotbe disclosedtotenderersoranyotherpersonuntilaftertheawardof thecontractto thesuccessfultenderer.
Clarification of a tender / 20 / Obtainfrom a tendererclarificationofanymatterinthetenderwhichmaynotbe clearorcouldgiveriseto ambiguityin acontractarisingfrom thistenderifthe matterwerenottobe clarified.
Acceptance of tender / 21 / NotifyEskom'sacceptancetothesuccessfultendererbeforetheexpiryofthe validityperiod,oragreedadditionalperiod.
Notice to unsuccessfultenderers / 22 / AfterthesuccessfultendererhasacknowledgedEskom’snoticeof acceptance, notifyothertenderersinaccordancewithEskom’scurrentproceduresthattheir tendershavenotbeenaccepted.
Prepare contract documents / 23 / RevisethecontractdocumentsissuedbyEskomaspartof thetender documentstotakeaccountof:
- Addendaissuedduringthetenderperiod,
- Inclusionofsomeof thetenderreturnables,and
- OtherrevisionsagreedbetweenEskomandthesuccessfultenderer,beforetheissueof Eskom’snoticeofacceptance(ofthetender).
- Thescheduleof deviationsattachedtotheFormof Agreement,ifany.
Sign Form of Agreement / 24 / Arrangefor authorisedsignatoriesofbothpartiestocompleteandsignthe originalandonecopyoftheFormof Agreement.
