CONSTITUTION
of
THE MCDONNELL DOUGLAS ASTRONAUTICS RADIO CLUB
PREAMBLE
We, the undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Amateur Radio, do hereby constitute ourselves as the McDonnell Douglas Astronautics Radio Club, (herein after called The Club) and do enact this constitution as our governing law.
It shall be our purpose to facilitate the exchange of information and general cooperation between members, to promote radio knowledge, fraternalism and individual operating efficiency, to conduct Club programs and activities which will advance the general interest and welfare of amateur radio in the community, and perform such public service that is within the rules and regulations governing amateur radio.
ARTICLE I
Sec. 1 - All persons interested in amateur radio shall be eligible for membership. There shall be 3 types of membership, i.e., Member, Associate Member and Honorary Member.
Sec. 2 - Membership shall be by application, upon such terms as provided in the By-Laws.
Sec. 3 - Any member may withdraw his membership by submitting a letter of resignation to the Secretary.
Sec. 4 - Members may be removed from membership of the Club on motion by a three-fourths vote of the voting membership present at a regular business meeting. Cause for removal shall be as specified in the By-Laws.
ARTICLE II
Sec. 1 - The officers of this Club shall be as follows: President, Vice-President, Secretary, Treasurer and Activities Manager. Only employees and duly accredited retirees of the McDonnell Douglas Astronautics Company, who are members and posses a valid Amateur Radio License shall be eligible to hold office.
Sec. 2 - The officers of this Club shall be elected for a term of one year by ballot of the voting members present. The election shall be held at the December meeting provided there be a quorum. Notice of nominations and elections shall be sent prior to the regular meeting as stated in the By-Laws.
Sec. 3 - Vacancies occurring between elections must be filled by special ballot at the first regular meeting after the withdrawal or resignation is announced.
Sec. 4 - Officers may be removed on motion by a three-fourths vote of the voting membership present at a regular business meeting. Cause for removal shall be as specified in the By-Laws.
ARTICLE III
Sec. 1 - The President shall preside at all meetings of this Club, and conduct the same according to the rules adopted; he shall enforce due observance
of this Constitution and By-Laws, decide all questions of order, sign all official documents that are adopted by the Club, and none other, and perform all customary duties pertaining to the office of President.
Sec. 2 The Vice-President shall assume all the duties of the President in the absence of the latter, or the inability of the latter to perform his duties.
Sec. 3 The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, and submit applications for membership. The Secretary shall carry on all correspondence, read communications at each meeting, and mail written notices to each member of special meet-ings of the Club as stated in the By-Laws. It shall also be the duty of the Secretary to keep the Constitution and By-Laws of the Club and have same with him at every regular and special meeting. He shall cause all amendments, changes, and additions to be noted thereon and shall permit the same to be consulted by members upon request. He shall also keep a dated record of all motions passed and rejected by the membership. He shall, at the expiration of his term, turn over everything in his possession, belonging to the Club, to his successor.
Sec. 4 The Treasurer shall receive and account for all money paid to the Club;
he shall keep an accurate account of all money received and expended.
He shall pay no bills without proper authorization (by the Club or its officers constituting an Executive Committee). At the end of each quarter he shall submit an itemized statement of disbursements and receipts. He shall, at the expiration of his term, turn over everything in his pos-session belonging to the Club to his successor.
Sec. 5 The Activities Manager shall, in order to make the reputation of the Club and amateur radio activities in the community as outstanding as possible, organize Club member radio station activities to advance the general club interest and activity as may be approved by the Club. He shall maintain close liaison with the ARRL Emergency Coordinator or SEC to further the fullest possible Club participation in the Amateur Radio
Emergency Corps. He shall keep informed, by questionnaires or other means, of the equipment, normal operating frequencies and hours, and type of operation of such members who possess station equipment to facilitate emergency organization and to help in planning general interest activities. He shall encourage new stations in reporting activities to the Club
(bulletin) and to the elected Section Communications Official of the ARRL. He may appoint traffic committees or assistants to aid him in specific branches of activity.
ARTICLE IV
Sec. 1 The By-Laws shall provide for regular and special meetings.
Sec. 2 At special meetings, one-third of the voting membership, or a total of ten voting members, whichever number is least, shall constitute a quorum for the transaction of business.
Sec. 3 At regular meetings, the voting members present shall constitute a quorum for the transaction of business.
ARTICLE V
Sec. 1 The Club, by a two-thirds vote of the voting membership at any regular meeting (as defined in Article IV), may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization within its object as set forth in the preamble thereof. Non-payment of such dues or assessments within a six-month period shall be cause for sus-pension or expulsion from the Club.
Sec. 2 Expenditures for Club equipment and/or property shall be authorized by a two-thirds vote of the voting membership present at a regular meeting. Incidental expenditures (limited to $20.00 per month) shall be the only expenditures authorized by the Executive Committee.
ARTICLE VI
Sec. 1 The Club shall enact appropriate rules to minimize interference in operation between stations of its members; it shall formulate ade-quate plans for disposition of any cases of interference to other radio services where reported as caused by any member station. The Club will provide technical advice to Radio Amateurs concerning equipment design and operation, to assist in frequency observance, clean signals, uniform practice, and absence of spurious radiations from Club member-stations. The Club shall also maintain a program to foster and guide public relations in those channels favorable to amateur work.
ARTICLE VII
Sec. 1 This Constitution or the By-Laws may be amended by a two-thirds vote of the voting membership present at a notified meeting. Proposals
for amendments shall be submitted in writing at a regular meeting, and
may not be voted on until the members have been notified by mail as to the amendment and the meeting date.
ARTICLE VIII
Sec. 1 Robert's Rules shall govern proceedings.
