Sprite® Refreshing Films 2012 Phase 1
Official Rules
Program Overview: Sprite Refreshing Films is a nationwide competition that gives university students a chance to enter a short film script that will be judged by industry professionals (the “Qualified Judges”). A total of 6 scripts will be selected and each team of students will be provided with $15,000 to create the short film based on the winning script. There will be future phases of this promotion during which the winning film will be chosen through a combination of public voting and judging by Qualified Judges. These Phase 1 rules address only how to become one of the 6 finalists as more fully defined in Sections 6 and 7 below (“Finalist”). Separate rules will cover future phases.
1. Eligibility:Sprite Refreshing Films 2012 Phase 1(the "Contest") is open only to legal residents of the 50 United States (including D.C.) who are at least 18 years of age and are students in good standing at 1 of the following 13 schools (each a "School"):

Employees and non-employee workers of TheCocaColaCompany ("Company"), CocaColabottlers, ePrize, LLC, and their respective parents, subsidiaries, affiliates, and agents, and any agencies or other companies involved in the development or execution of the Contest or production or distribution of Contest materials, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such person at the time of entry are not eligible to enter the Contest. The Contest is subject to all applicable federal, state and local laws and regulations and isvoid where prohibited by law.
2. Sponsor:The Contest is sponsored by CocaColaNorthAmerica, a division of TheCocaColaCompany, One CocaCola Plaza, Atlanta, GA 30313. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.
3. Agreement to Official Rules: By participating in the Contest, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all matters related to the Contest. Whether an entrant wins a prize is contingent upon fulfilling allrequirements set forth herein.
4. Timing:The Contest begins on February 6, 2012 at 3:00 p.m. Eastern Time ("ET") and ends on February 25, 2012 at 11:59a.m. ET (the "Promotion Period"). Sponsor's computer is the official time-keeping device for thisContest.
5. How to Enter:
Script Author(s):Eligible students may write and submit scripts as an individual oras part of a team. Up to two eligible students may form a team ("Team"). You can be part of only 1 team. Eligible students may consult with their School administrators.
Important! You must decide before you submit your screenplay whether or not your entry will be an individual entry or a Team entry (“Team Entry”). If it is a Team Entry, both of the Teammembers (does not include those persons you retain) must be identified on the Official Entry Form that is submitted with the screenplay. (You can only enter the Contest once, either by yourself or as part of a Team Entry). Also, in deciding how to enter, keep in mind that you will not be allowed to use your school's equipment or facilities to produce your film unless you have satisfied the school's requirements for doing so. If you have not taken the necessary course prerequisites, you will probably want to form a Teamwith someone who has access to that equipment and facilities.
You will be provided with a list of films and will need to select one that inspired your work, (the "Inspiration Film"). The Inspiration Film is the film which the student was inspired by in some way, to integrate an idea or feeling into his or her film. Examples of “inspiration” could be set design, shoot style, editing, wardrobe, or lightning. Caution: Inspiration Film does NOT mean a re-make of the original film or story line.
Script Requirements:The entrant(s) must write an original film script (at least 2 pages, but not to exceed 4 pages in length, font size 12, Courier font strongly recommended) designed to create a 3 minute production film, appropriate to the Contest as follows:
Theme: To Be True to Self
Creative Idea/Lens: Intensity That Cannot Be Contained
Tone:Edgy, Youthful, Authentic, Inspiring
Genre:Action, Comedy, Drama, or Thriller
Sprite branding and placement is required. Your script should not be a Sprite commercial, but rather a story where Sprite is integrated in a way that supports the Theme and Creative Idea/Lens.
If your script contains or refers to any beverage, it must be Sprite. The product may be shown only in standard product packaging (for example, a 12 ounce can or 20 ounce plastic bottle) or in the current standard trademark Sprite cup, which is available upon request. No specially-designed or joint logo cups or containers are permitted. The script cannot ridicule, denigrate or embarrass The Coca-Cola Company or its employees or products.
Only adults may be seen holding or drinking a Sprite. Children of any age may be present, but should not hold or drink the brand/product.
The script must adhere to the following guidelines and restrictions:
- must be typewritten and not be less than or exceed the stated number of pages (2 - 4);
- must be in English;
- may only have live action characters (i.e., no animals or cartoons);
- must not contain any indecent, vulgar, obscene, or offensive material or any other material, including, but not limited to, material surrounding terrorism, guns, foul language, and/or adult content which would prevent the film from earning a G or PG rating once produced;
- must not contain brand names or trademarks other than those owned by Company, which entrant has a limited license to use to create and submit material for this Contest only;
- must not contain material which is (or promotes activities which are) sexually explicit or suggestive, obscene, pornographic, violent (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), discriminatory (based on race, sex, religion, national origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, harassing, defamatory, libelous, infringing or otherwise objectionable to Sponsor);
- must not ridicule, denigrate, or embarrass movie theater operators or their employees, or cast the movies or the movie-going experience in a bad light;
- Although “inspired by” your Inspiration Film, your screenplay must be your original work or, if a Team Entry, that of your Team member. Except for the Sprite limited license granted hereunder, you may not submit a screenplay in which any person other than yourself or your Team member owns any rights (including, but not limited to, rights as joint owner or joint author). Your screenplay may not be based in whole or in part on the work of any other person (including without limitation, any other fictional or non-fictional material, published or unpublished, produced or unproduced), unless it qualifies as a legitimate parody under U.S. copyright law. If you have adapted your screenplay, or any part of it, from another original work(s) created solely by you or by your Team member, you must prominently disclose that fact when you submit the screenplay. If the judges, in their sole discretion, determine that two or more screenplays are substantially similar to one another, all such screenplays will be disqualified. In addition, the judges will disqualify any screenplay that has been previously produced or released, in whole or in part; that has won any prize or award; or that the judges, in their sole discretion, determine is not completely original.
- Notwithstanding the Sprite limited license granted hereunder, your screenplay must not contain any elements that would violate third-party rights if used in a commercial film, and you may not obtain the right to use these materials by license, permit, consent, or otherwise. CAUTION: This means, among other things, that your screenplay will be disqualified if it contains, or suggests that the film will contain, such things as:
- Trademarks owned by others, including consumer brands, all props and venues must be generic;
- Copyrighted materials owned by others (including dialogue from existing movies, musical compositions, and sound recordings), unless the use would constitute a legitimate fair use parody under U.S. copyright law. CAUTION: The judges, in consultation with their legal advisers, will make this fair use/parody determination in their sole discretion. Therefore, you should understand that your attempt to include parody could result in the disqualification of your entry;
- The names, likenesses, voices, or other indicia identifying celebrities and other public figures, living or dead; or look-alikes or sound-alikes of celebrities or other public figures, living or dead.
- the script pages must be numbered;
- must contain a title page that ONLY includes the title;
- must NOT display the name(s) of the Team member(s), or the name of a School, and;
- Your screenplay must be for a film of 3 minutes that can be produced for $15,000 or less. CAUTION: The judges will disqualify a screenplay if, in their sole opinion, it cannot reasonably be produced into a film of 3 minutes.
Script Submission:To submit an eligible entry, Teams or individuals must include the following for each script (collectively, "Program Application Form"):
- Script,
- Script synopsis (maximum of 500 words),
- Name of Inspiration Film (from list provided),
- Why the Inspiration Film was chosen (max 250 words),
- How the script ties back into the “To Be True to Self” theme (max 250 words),
- Estimated Production Budget,
- A roster of the Team members (up to 2 script authors) and up to 5 crew members ("Crew"), each of whom must be at least 18 years old and a film school student in good standing at the same School (if picked, Crew members will be asked to sign waivers and begin the film production process),
- Copy of each Team member's and Crew's valid student ID, and
- Fully-completed Program Application Form, signed by film school administrator.
All Program Application Forms must be submitted via email to: . To be eligible, Program Application Forms must be received beforeFebruary 25, 2012at 11:59 a.m. ET. Limit: Each Team or individual may submit up to 5 Program Application Forms, all of which may be sent in the same email or separately. There is no limit to the number of Program Application Forms by students of a particular School.
Emailing a Program Application Form constitutes each entrant’s agreement to accept Sponsor’s grant of a limited, non-exclusive, non-transferable, royalty-free license to use Sprite branding and the Sprite logo (the “Sprite Limited License”) provided solely for purposes specifically indicated in these Official Rules. Additionally,Emailing a Program Application Form constitutes each entrant’s grant to Sponsor of a royalty-free, irrevocable, exclusive license to use, produce, reproduce, modify, publish, and display such Program Application Form(s) in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including, but not limited to, for promotional or marketing purposes. If requested, entrant agrees to sign documentation that may be required for Sponsor or its designees to make use of the exclusive rights entrant is granting to use the script. This exclusive license expires at the conclusion of Finalist Selection on or around February 25, 2012 (see Sections 6 and7 below).
After February 25, 2012, if your Program Application Form is not selected to move on as a Finalist, you may not use the Sprite logo, name, trademark or any other Sprite branding depicted in your Program Application Form except for purposes of seeking employment and/or with prior written permission from The Coca-Cola Company. You may choose to use your Program Application Form with all reference to Sprite completely redacted.
Notwithstanding any of the above, Company, its subsidiaries, affiliates, joint ventures, distributors and bottlers also have the right to the unlimited use and reuse in perpetuity of the Program Application Form or subsequent Film for historical, archival and/or documentary purposes in any public facility or any event owned or operated by Company, such as the World of Coca-Cola museum and traveling versions thereof.
By emailing your Program Application Form, you agree that it conforms to the guidelines and restrictions as outlined in these Official Rules and that Sponsor may disqualify you from the Contest if, in its sole discretion, it believes that your Program Application Form fails to conform to the Guidelines and Restrictions or does not meet any other criteria stated elsewhere in these Official Rules.
Any attempt by any participant to enter using multiple/different email addresses, identities, registrations, or any other methods will void that entrant’s/Team's Program Application Form and that entrant or Team, may be disqualified from this Contest and any of the Sponsor's other promotions.Use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, sweepstakes entry services) will void all entries by that entrant. Released Parties (as defined in Section 11, below) are not responsible for lost, late, stolen, damaged, corrupt, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Program Application Forms, all of which will be void.
In the event of a dispute regarding any Program Application Form, the authorized account holder of the email address used to register may be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each entrant may be required to show proof of being an authorized account holder.
6. Finalist Selection:6 Program Application Forms will be selected as Finalists, determined based on the process outlined below:
At the conclusion of Promotion Period, a panel of Qualified Judges, selected by Sponsor in its sole discretion, will judge the Program Application Forms and will select the 6 best based on the following criteria:
- Originality (40 Points);
- Creative Fit to Film Theme and Tone (40 Points); and
- Production Value (20 Points).
The entrant(s) who authored (or co-authored, if a Team entry) the 6 highest-scoring Program Application Form will be the potential Finalists. In the event of a tie, the entrant (or entrants) whose Program Application Form(s) received the highest score for Creative Fit to Film Theme and Tonewill be deemed the winner of the tie. Maximum number of Finalists per school is two (individuals, two Teams or a combination).
7.Finalist Requirements: Each potential Finalist winner will be notified on or around February 25, 2012, by email, mail or phone. Each potential Finalist Prize winner(parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return a Declaration of Compliance, Liability and Publicity Release ("Declaration") (along with any other forms deemed necessary by Sponsor, including but not limited to (i) exclusive license for Company to use Film(s) for 2 years and (ii) limited license to use Sprite® trademark), which must be received by Administrator within 5 business days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential Finalist Prize winner cannot be contacted, fails to sign and return the Declaration within the required time period, indicates that he/she or the Team will be unable to participate by creating the short production film, or is disqualified for any other reason, the potential winner forfeits the prize and the entrant or Team with the next highest score may be selected as a potential Finalist, time permitting, and in Sponsor's sole discretion. For a Program Application Form to be confirmed as a Finalist and for the entrant or Team members to receive the prize, all authors must return the documentation within the required time period, or the Program Application Form will be disqualified and none of the authors will receive any portion of the Finalist Prize.
8.Prizes and Film Creation:6 Finalist Prizes: Each entrant or Team of entrants that created a Finalist Program Application Form will receive $18,000 (if a Program Application Formwas submitted by a Team, $15,000 of that total amount must be shared among the winning Team members), and such same $15,000 must be used to create a production short film based on the winning Program Application Form before May 15, 2012 (“Film”). $3,000 is provided to assist with prize taxes, however, the Finalist may need to budget more to cover the full tax amount. Check with your tax advisor. Each screenwriter Finalist will also be awarded a trip to the CinemaCon convention in Las Vegas in April 2012 to participate in a filmmaking workshop. Trip value is estimated for 1 person. Transportation, Hotel, and Meals will be provided by Sponsor. Sponsor will provide additional details and requirements at the time of Finalist selection notification. If a screenwriter is offered the CinemaCon experience but is unable to attend, he or she may designate another person from his or her roster (subject to Eligibility) to attend instead. The entrant or Team must provide access to Sponsor and Sponsor's designees to the Film set for at least one whole day of shooting and must allow interviews of filmmakers and capturing of B roll film footage to be used to promote the viewing and voting phase at a later date. If an entrant or any member(s) of a Team fails to complete the Film or allow access to the Film set as specified above, he/she forfeits the prize and an alternate winner may be selected, time permitting. The Film must continue to adhere to the restrictions and guidelines stated in these rules. Approximate Retail Value of each prize: $19,500 for individual prize winners, or $10,500 for each Team member. No substitution, exchange or transfer of prize by any winner or Team member without Sponsor’s prior approval. Sponsor reserves the right to substitute a prize for one of equal or greater value. Each prize winner or Team member is responsible for all taxes and fees associated with his or her portion of the prize receipt and/or use. Limit: 1 prize per individual or Team.
