Board Representation Policy Statement

Whereas, it is necessary and appropriate for the Board of Directors of the Industrial Truck Association (ITA) to interpret its Bylaws to exercise its responsibility and provide guidance to its members and staff, and

Whereas, the Board of Directors is authorized to interpret such Bylaws pursuant to the laws of the District of Columbia:

Now, be it resolved that individuals appointed to represent regular member companies pursuant to Article III of the ITA Bylaws shall be employees of the member, or employees of a subsidiary or affiliated company owned or controlled by the member, and that the individual be authorized to speak and vote on behalf of the member, and, provided, however, the representative shall not be an employee of a dealer or distributor, unless the dealer or distributor is wholly owned by the Regular Member.

Be it further resolved that all business entities affiliated with, or owned or controlled by, a member which manufacture industrial trucks under a common brand name shall be included in a single membership; and

Resolved further that all business entities manufacturing industrial trucks under different brand names shall be eligible for separate memberships, and

Further resolved that the dues of an ITA regular member which owns or controls, or is affiliated with, a non-member manufacturer who is eligible to join ITA, shall be calculated as if such a non-member were a member of ITA.
