STRATEGIC RESOURCE PARTNER MEMORANDUM OF AGREEMENT BETWEEN THE

New Jersey Manufacturing Extension Program Inc. (NJMEP) AND

I.PARTIES

This document constitutes an agreement between the New Jersey Manufacturing Extension Program Inc. (NJMEP), and [RESOURCE NAME].

II. PURPOSE

Pursuant to this agreement, the parties will work together to increase awareness among the New Jersey business community, particularly small and medium-sized businesses, and the general public; cooperate and coordinate their promotion activities and programs; jointly promote greater awareness of the Made in New Jersey Campaign, the National Innovation Marketplace (NIM), the assistance NJMEP and all their resource partners provide, and educate businesses and the general public on the importance of manufacturing to their community. The goals of this joint awareness and education program are to ensure the general public is educated on the economic benefits of working with NJMEP and all their strategic resource partners; build public support for NJMEP’s programs and activities; create general awareness of our services and encourage those interested in growing their business to seek the assistance of NJMEP.

III.RESPONSIBILITIES OF THE PARTIES

A. NJMEP will perform the following activities to further its partnership with [RESOURCE NAME]:

(1) Provide use of the NJMEP logo in accordance with NJMEP’s logo use policy.

(2) Provide or coordinate training for [RESOURCE NAME]:

on all services available through NJMEP, on the importance of manufacturing to the economy and on the benefits to working with NJMEP and their strategic resource partners.

(3) Provide NJMEP created and publicly-available service sheets on any/all of NJMEP’s services and programs.

(4) Provide templates for power point presentations that include NJMEP logos for the resource to use when working with any NJMEP client.

(5) Provide NJMEP Polo shirts or lapel pins for all [RESOURCE NAME]staff to wear when presenting or working with NJMEP clients.

(6) Provide NJMEP-created and publicly-available promotion-related materials for delivery and/or presentation when meeting with business affiliates, state officials or NJMEP clients.

(7) Provide business cards for [RESOURCE NAME]for use, at a minimum, when visiting with NJMEP clients.

(8) Provide NJMEP staff to speak at [RESOURCE NAME]events when and if the opportunity arises.

(9) Compensate [RESOURCE NAME]for all leads and referrals given to NJMEP in accordance with NJMEP’s Resource referral Fee Program.

(10) Host quarterly meetings at NJMEP headquarters where [RESOURCE NAME]can network with NJMEP Account Managers and other Strategic Resource Partners to make all parties aware of [RESOURCE NAME]areas of expertise.

B. [RESOURCE NAME]will perform all of the following activities to further its joint work with NJMEP, as listed below:

(1) Use NJMEP’s logo on all presentation materials used at NJMEP Client sites.

(2) Permit NJMEP to list [RESOURCE NAME]on NJMEP’s website as a Strategic Resource Partner.

(3) Wear NJMEP provided Polo shirts and/or lapel pins with the NJMEP logo displayed when visiting or working with an NJMEP client.

(4) Attend at least 2 NJMEP Strategic Resource Partner meetings per year.

(5) Make manufacturers aware of the fee based services available through NJMEP and the valuable no cost services available through NJMEP i.e. Made in New Jersey, National Innovation Marketplace.

(6) Have on hand, display and/or distribute NJMEP promotional materials at meetings and/or events where NJMEP clients are in attendance and any other opportunity when applicable.

(7) Make [RESOURCE NAME]staff available to speak as subject matter experts at NJMEP events when feasible.

The parties agree that if there is a change regarding the information in this section, the party making the change will notify the other party in writing of such change.

V.PERIOD OF AGREEMENT, MODIFICATION, and OTHER PROVISIONS

This agreement will become effective when signed by all parties. The agreement will renew automatically on an annual basis on January 1steach year, but may be amended in writing at any time by mutual consent of the parties.

Any party may terminate this agreement by providing 30 days written notice to the other party. In the event this agreement is terminated, each party shall be solely responsible for the payment of any expenses it has incurred.

Should disagreement arise on the interpretation of the provisions of this agreement, or amendments and/or revisions thereto, that cannot be resolved at the operating level, the area(s) of disagreement shall be stated in writing by each party and presented to the other party for consideration. If agreement on interpretation is not reached within thirty days, the parties shall forward the written presentation of the disagreement to respective higher officials for appropriate resolution.
