GENERATION RESOURCE SPLITTING AGREEMENT

Thisagreement specifies how the control of a Generation Resource that is divided into two or more Split Generation Resourcesisto be allocated among each of the affected Resource Entities (REs). This agreement does not fulfill or otherwise affect each RE’s obligation to update the Resource registration form with accurate information as necessary, and ERCOT will not modifyany Resource registration form on account of the changes indicated in this agreement.However, in the event of any dispute arising out of any conflict between this agreement and the Resource registration form for the combined Generation Resource designated below, this agreement will control. This agreement must be signed by the Authorized Representative (AR), Backup AR or Officer of each associated registered RE listed herein, as appropriate.The completed, executed agreementmust be sent to ERCOT via email to (pdf version) or via mail to Market Participant Registration, 7620 Metro Center Drive, Austin, Texas 78744. By executing this agreement, the undersigned parties hereby confirm and represent as follows:

  1. The undersigned REshave agreed to apportion the ownership of the below-indicated combined Generation Resource among the indicated REs according to the percentage shares indicated below;
  1. The undersigned REsagree and represent to ERCOT that the RE designated below as “Master Owner”shall be responsible for ensuring the accurate and timely communication and submission of all information required to be communicated and submitted to ERCOT on behalf of the combined Generation Resource, including the combined Generation Resource’s Resource registration form, emergency operations plans and updates, weatherization plans and updates, and Declarations of Completion of Generation Resource Weatherization Preparations, and that the below-designated Master Ownerhas been designated as the Master Owner on the Resource registration form for the below-designated combined Generation Resource;
  1. The undersigned parties agree and represent to ERCOT that the Master Qualified Scheduling Entity (QSE) designated below shall bethe registered QSE for the RE designated below as the Master Owner and that the below-designated Master QSE shall be responsible for communicating with ERCOT and providing to ERCOT on behalf of the combined Generation Resource designated below all data that QSEs are required by ERCOT Protocols or other standards to provide to ERCOT; and
  1. This agreement is effective upon the effective date of the Network Operations Model change associated with the changes in ownership and/or control reflected in this agreement.
