ADHESION FORM TO

AMEC STEWARDSHIP CODE

[SIGNATORY] (“Signatory”), headquartered at [ADRESS] and hereby represented by [REPRESENTATIVE] duly empowered in the terms of its bylaws, hereby commits to observe and implement the principles and duties established in the Amec Stewardship Code (“Code”).

The Signatory confirms that he/she knows the full contents of the code, as well as the duties that stem from it, committing to act in accordance with the Code.

As a consequence of his/her adhesion to the Code, the Signatory is granted the following rights and obligations:

Signatory Rights

  • To use and include in his/her marketing materials the Stewardship Code Signatory Seal (“Seal”);
  • To withdraw from his/her adhesion to the Code, observing a 3-month advance notice period;

Signatory Obligations

  • To observe and implement all of the Code’s principles, in all of his/her applicable activities;
  • To produce and publish reports, at least on an annual basis, explaining its compliance with the Code’s principles and duties. The annual report should be published and sent to Amec no later than 30 days after the end of each Calendar Year.
  • The production and publication of the report will be mandatory as of 2017, with the respective report being published and made available to Amec until the end of the first quarter of 2018.
  • Starting at the reports related to year 2020, the submission of the report automatically authorizes Amec to (1) publicly disclose its evaluation thereof; (2) include the report in the contest that will determine the best reports in relation to compliance with the Code.
  • In case of amendments to the Code, the Signatory Will be subject to its new terms, which will only become effective 180 (one hundred and eighty) days after its approval by Amec’s Board of Directors. Signatories will be allowed to exert the rights to withdraw from the Code as established above.

After Calendar Year 2021, if a Signatory disregards its obligations related to the Code, his/her conduct Will be analyzed by a 3-member committee summoned by Amec’s Management Board. After analyzing the conduct – which may include action or inaction – the committee may determine (a) private censure; (b) public sensure; (c) suspension of the right to use the Seal; or (d) removal from the condition of Signatory and the right to use the Seal.

Notwithstanding the foregoing, no Signatory shall be obligated to report, publish or permit publication of, any content, material or information that could be construed to violate any rule, regulation or regulatory regime with jurisdiction over such Signatory or lose its registration or offering status or its ability to rely on any exemptions therefrom.
