The Reports provided to you in connection with the referenced transaction is for informational purposes only andAgent does not make any representations or warranties as to the accuracy or truth of any information contained therein. It is expressly understood and agreed that nothing contained in the Reports shall be deemed to impose any obligations to Recipient on the part of Agent or its agents and that the use of any information contained in the Reports shall be at Recipient’s sole risk, without recourse to Agent.
By countersigning this letter below, you agree on behalf of Recipient to treat all information contained in the Reports and communicated to you in connection with the Reports (including this letter) as strictly confidential. As such, you will not disclose or produce any such information to any third party without Agent’s prior written consent unless compelled to do so by a court of competent jurisdiction. In the event that you should become subject to a court order to disclose any such materials or information, you agree to notify Agent in writing upon receipt of any such order. Finally, upon request of Agent, you agree to promptly return the Reports to Agent, unless otherwise agreed by Agent in any subsequent agreement relating to the sale of the subject property.
