This[MS2][MS3]isaContractbetweenVi r gini aCommuni t yCol l egeSystem( “VCCS”)andManagement Applications,Inc, (“MAI”or“ Contractor”) fortheprovisionofgoodsandservicesoutlinedherein, pursuanttotheVCCS’sRequestFor Proposal#VCCS-ITS-16-080(the"RFP")andtheContractor'sSolution,assetforthintheContractor’s proposal datedMarch24, 2016 inresponsethereto, and modified through anynegotiated agreements.

I.SCOPE[MS4]OFCONTRACT

Allrequirements proposed fortheprovisionofnon-professionalservices tomanage,monitor andalertonoutlined equipmentforapproximatelyforty(40)statewidecampus locations.

AllrequirementsstatedintheRFP#VCCS-WDS-16-076,SectionIII,entitled“StatementofNeeds”;andthe Solution, includingallgoodsand services, and integralproducts to theSolution,asapplicableandasdelineatedin Contractor'sproposal,submittedinresponsethereto,inaccordancewiththefollowing,orasotherwisestipulated in anyModification to thisContract.

II.TERM[MS5]

TheContractshallbeeffectivefromJuly1,2016throughJune30,2018.Allordersandrelateddocumentsshall survivetheperiodofperformancestatedinthissectionuntilsuchtimeasallorders(executedpriortothe expirationdate ofthe Contract) have been completelyperformed.

TheContractmayberenewedatthesolediscretionoftheCommonwealth,foruptofour(4)additionalone(1) yearsuccessiveperiodsunderthetermsandconditionsoftheoriginalcontractanduponmutualwritten agreementbetweentheparties.WrittennoticeoftheCommonwealth’sintentiontorenewshallbegiven approximatelyninety(90) daysprior totheexpiration dateofeachcontractperiod,oftheCommonwealth’s intent to renewthe Contract.

III.INTERPRETATION[MS6]OF CONTRACT

ThedocumentscomprisingthisContract,andtheirorderofprecedenceincaseofconflict,are:(1)thisContract, consistingoftermsandconditionsincludedherein,includingallAttachmentshereto;(2)allexecutedordersand AttachmentsreferencingtheContract(3)theRFP#VCCS-ITS-16-080;and(4)theContractor'sSolution,asset outintheContractor’sproposalsubmittedinresponsetotheRFP,andmodifiedthroughanynegotiated agreements.TheforegoingdocumentsrepresentthecompleteandfinalContractofthepartieswithrespecttothe subjectmatterofthisContract.

IfanytermorconditionofthisContractisfoundtobeillegalorunenforceable,itshallbesevered,andthe validityoftheremainingtermsandconditionsshallnotbeaffected.NothinginthisContractshallbeconstrued asanexpressorimpliedwaiveroftheCommonwealth'ssovereignorEleventhAmendmentimmunity,orasa pledge ofits fullfaith and credit.

IV.TERMS [MS7]ANDCONDITIONS

1.VENDORS MANUAL:Thiscontractissubjecttotheprovisions ofthe Commonwealth ofVirginiaVendors Manualandanychangesorrevisionsthereto,whichareherebyincorporatedintothiscontractintheir entirety. The procedure forfilingcontractualclaims is in section 7.19of theVendorsManual. Acopyof the manualisnormally available for reviewatthepurchasing office and is accessible on theInternetat “Vendors Manual” onthevendors tab.

2.PRICEESCALATION-DE-ESCALATION:Discountsaretobeconsideredtheminimumfortheentireterm oftheresultingcontract.Priceadjustmentsand/ordiscountadjustmentsmaybepermittedforchangesinthe contractor’scostofmaterials,servicesandotheritemsthatmaynotaffecttheprice.TheConsumerPrice Index and the ProducerPrice Index ofthe United States Departmentof Labor, Bureauof Labor Statistics will beusedbytheCommonwealthasaguideinreviewinganyRate/Priceincreaserequests.Priceescalation maybe authorized annuallyonlyatthe time ofcontractrenewaland onlywhere verifiedto the satisfaction of thepurchasingoffice.However,“acrosstheboard”pricedecreasesaresubjecttoimplementationatany time and shallbeimmediatelyconveyed to the Commonwealth.

Thecontractorshalldocumenttheamountofanygeneralchangeinthepriceofmaterials.Documentation shallbesuppliedwiththecontractor’srequestforincreasewhichwill:(1)verifythattherequestedprice increaseisgeneralinscopeandnotapplicablejusttotheCommonwealthofVirginia;and(2)verifythe amountor percentage ofincrease which is beingpassed on to the contractor bythe contractor’s suppliers. All changesinthepricesand/ordiscountsapplicabletotheCommonwealthmustbeapprovedinwritingprior toimplementationbythecontractor(s). Thecontractorshallfillallpurchaseordersreceivedpriortothe effectivedateofthepriceadjustmentattheoldcontractprices.Thecontractorisfurtheradvisedthat decreaseswhichaffectthecostofmaterialsarerequiredtobecommunicatedimmediatelytothepurchasing office.

3.CANCELLATIONOFCONTRACT:Thepurchasingagencyreservestherighttocancelandterminatethis contract,inpartorinwhole,withoutpenalty,upon60dayswrittennoticetotheContractor.Intheeventthe initialcontractperiodisformorethan12months,theresultingcontractmaybeterminatedbyeitherparty, withoutpenalty,aftertheinitial12monthsofthecontractperiodupon60dayswrittennoticetotheother party.AnycontractcancellationnoticeshallnotrelievetheContractoroftheobligationtodeliverand/or performon alloutstandingordersissued prior tothe effective date of cancellation.

4.APPLICABLELAWSANDCOURTS:Thiscontractandanyresultingmodificationsshallbegovernedin allrespectsbythelawsoftheCommonwealthofVirginiaandanylitigationwithrespecttheretoshallbe broughtinthecourtsoftheCommonwealth.TheagencyandtheContractorareencouragedtoresolveany issuesincontroversyarisingfromtheawardofthecontractoranycontractualdisputeusingAlternative DisputeResolution(ADR)procedures(CodeofVirginia,§2.2-4366).ADRproceduresaredescribedin Chapter9oftheVendorsManual.TheContractorshallcomplywithallapplicablefederal,stateandlocal laws,rules and regulations.

5.ANTI-DISCRIMINATION:ContractorcertifiestotheCommonwealththattheywillconformtothe provisionsoftheFederalCivilRightsActof1964,asamended,aswellastheVirginiaFairEmployment ContractingActof1975,asamended,whereapplicable,theVirginiansWithDisabilitiesAct,theAmericans WithDisabilitiesActand§2.2-4311oftheVirginiaPublicProcurementAct(VPPA).Iftheawardismade toafaith-basedorganization,theorganizationshallnotdiscriminateagainstanyrecipientofgoods,services, ordisbursementsmadepursuanttothecontractonthebasisoftherecipient'sreligion,religiousbelief, refusaltoparticipateinareligiouspractice,oronthebasisofrace,age,color,genderornationaloriginand shallbesubjecttothesamerulesasotherorganizationsthatcontractwithpublicbodiestoaccountforthe useofthefundsprovided;however,ifthefaith-basedorganizationsegregatespublicfundsintoseparate

accounts,onlytheaccountsandprogramsfundedwithpublicfundsshallbesubjecttoauditbythepublic body. (Code ofVirginia, §2.2-4343.1E).

In everycontractover$10,000 the provisions in1. and2. belowapply:

1.Duringtheperformance ofthis contract, the Contractoragrees as follows:

a.TheContractorwillnotdiscriminateagainstanyemployeeorapplicantforemploymentbecauseof race,religion,color,sex,nationalorigin,age,disability,oranyotherbasisprohibitedbystatelaw relatingtodiscrimination inemployment,exceptwherethereisabonafideoccupationalqualification reasonablynecessarytothenormaloperationoftheContractor.TheContractoragreestopostin conspicuousplaces,availabletoemployeesandapplicantsforemployment,noticessettingforththe provisions of thisnondiscrimination clause.

b.TheContractor,inallsolicitationsoradvertisementsforemployeesplacedbyoronbehalfofthe Contractor, willstate that such Contractoris anequalopportunityemployer.

c.Notices,advertisementsandsolicitationsplacedinaccordancewithfederallaw,ruleorregulation shallbedeemed sufficient for the purpose ofmeetingtheserequirements.

2.TheContractorwillincludetheprovisionsof1.aboveineverysubcontractorpurchaseorderover

$10,000,so thattheprovisions willbe bindinguponeachsubcontractoror vendor.

6.AUDIT:The contractor shallretain allbooks, records,and otherdocumentsrelative to this contractfor five

(5) yearsafter finalpayment, oruntilaudited bythe Commonwealth ofVirginia, whicheverissooner.The agency, its authorizedagents, and/orstateauditorsshallhave fullaccess to andtherightto examineanyof

saidmaterialsduringsaid period.

7.AVAILABILITYOFFUNDS:Itisunderstoodandagreedbetweenthepartieshereinthattheagencyshall be bound hereunderonlyto the extentof the funds available orwhich mayhereafterbecome availablefor the purpose ofthis agreement.

8.ETHICSINPUBLICCONTRACTING:Byenteringintothiscontract,Contractorcertifiesthattheir participationintheprocurementprocessismadewithoutcollusionorfraudandthattheyhavenotofferedor receivedanykickbacksorinducementsfromanyotherofferor,supplier,manufacturerorsubcontractorin connectionwiththeirproposal,andthattheyhavenotconferredonanypublicemployeehavingofficial responsibilityforthisprocurementtransactionanypayment,loan,subscription,advance,depositofmoney, servicesoranythingofmorethannominalvalue,presentorpromised,unlessconsiderationofsubstantially equalor greater value wasexchanged.

9.IMMIGRATIONREFORMANDCONTROLACTOF1986:Byenteringintoawrittencontractwiththe CommonwealthofVirginia,theContractorcertifiesthattheContractordoesnot,andshallnotduringthe performanceofthecontractforgoodsandservicesintheCommonwealth,knowinglyemployan unauthorized alienas defined inthefederalImmigration Reformand ControlActof 1986.

10.ANTITRUST:Byenteringintoacontract,theContractorconveys,sells,assigns,andtransferstothe CommonwealthofVirginiaallrights,titleandinterestinandtoallcausesofactionitmaynowhaveor hereafter acquireunderthe antitrustlaws oftheUnited Statesand theCommonwealthof Virginia,relatingto the particular goods or servicespurchased or acquiredbythe Commonwealth ofVirginiaunder saidcontract.

11.PAYMENT:To PrimeContractor:

a.Invoicesforitemsordered,deliveredandacceptedshallbesubmittedbytheContractor directlytothepaymentaddressshownonthepurchaseorder/contract.Allinvoicesshall showthestatecontractnumberand/orpurchaseordernumber;socialsecuritynumber(for individualContractors)orthefederalemployeridentificationnumber(forproprietorships, partnerships, and corporations).

b.Anypaymenttermsrequiringpaymentinlessthan30dayswillberegardedasrequiring payment30daysafterinvoice or delivery,whicheveroccurs last. This shallnotaffectoffers of discountsfor paymentinless than 30 days, however.

c.Allgoodsorservicesprovidedunderthiscontractorpurchaseorder,thataretobepaidfor withpublicfunds,shallbebilledbytheContractoratthecontractprice,regardlessofwhich public agencyisbeingbilled.

d.Thefollowingshallbedeemedtobethedateofpayment:thedateofpostmarkinallcases wherepaymentismadebymail,orthedateofoffsetwhenoffsetproceedingshavebeen instituted asauthorized undertheVirginia DebtCollection Act.

e.UnreasonableCharges.Undercertainemergencyprocurementsandformosttimeand materialpurchases,finaljobcostscannotbeaccuratelydeterminedatthetimeordersare placed.Insuchcases,Contractorsshouldbeputonnoticethatfinalpaymentinfullis contingentonadeterminationofreasonablenesswithrespecttoallinvoicedcharges. Chargeswhich appearto beunreasonablewillbe researchedandchallenged, and that portionof theinvoiceheldinabeyanceuntilasettlementcanbe reached.Upondetermining thatinvoicedchargesarenotreasonable,theCommonwealthshallpromptlynotifythe Contractor,inwriting,astothosechargeswhichitconsidersunreasonableandthebasisfor thedetermination.AContractormaynotinstitutelegalactionunlessasettlementcannotbe reachedwithinthirty(30)daysofnotification.Theprovisionsofthissectiondonotrelieve anagencyofitspromptpaymentobligationswithrespecttothosechargeswhicharenotin dispute(Code ofVirginia,§ 2.2-4363).

2.To Subcontractors:

a.Contractoris herebyobligated:

(1)Topaythesubcontractor(s)withinseven(7)daysoftheContractor’sreceiptof paymentfromtheCommonwealthfortheproportionateshareofthepayment received for workperformed bythesubcontractor(s)underthecontract;or

(2)Tonotifytheagencyandthesubcontractor(s),inwriting,oftheContractor’s intentionto withhold paymentand the reason.

b.TheContractorisobligatedtopaythesubcontractor(s)interestattherateofonepercentper month(unlessotherwiseprovidedunderthetermsofthecontract)onallamountsowedby theContractorthatremainunpaidseven(7)daysfollowingreceiptofpaymentfromthe Commonwealth,exceptforamountswithheldasstatedin(2)above.Thedateofmailingof anypaymentbyU.S.Mailisdeemedtobepaymenttotheaddressee. Theseprovisions applytoeachsub-tierContractorperformingundertheprimarycontract.AContractor’s obligationtopayaninterestchargetoasubcontractormaynotbeconstruedtobean obligation ofthe Commonwealth.

3.EachprimeContractorwhowinsanawardinwhichprovisionofaSWAMprocurementplanisa conditiontotheaward,shalldelivertothecontractingagencyorinstitution,onorbeforerequestfor finalpayment,evidenceandcertificationofcompliance(subjectonlytoinsubstantialshortfallsand toshortfallsarisingfromsubcontractordefault)withtheSWAMprocurementplan.Finalpayment underthecontractinquestionmaybewithhelduntilsuchcertificationisdeliveredand,ifnecessary, confirmedbytheagencyorinstitution,orotherappropriatepenaltiesmaybeassessedinlieuof withholdingsuch payment.

4.TheCommonwealthofVirginiaencouragesContractorsandsubcontractorstoacceptelectronicand creditcard payments.

12.TESTINGANDINSPECTION:TheCommonwealthreservestherighttoconductanytest/inspectionitmay deemadvisabletoassure goods and servicesconformto the specifications.

13.EXESSIVE DOWNTIME:Services provided underthe contractshallbe availableforcontinuous operation.

Shouldtheequipment, software, or services become inoperablefor a period of more than 24hours, the contractoragreesto pro-rate maintenancecharges to accountfor eachfulldayof in-operability.The period of in-operabilityshallcommence upon initialnotification. In the eventtheserviceis unavailable for more than 2consecutive calendardays, thecontractor shallpromptlyresolve theissue atno charge uponrequestof the procuringagency.

14.MAINTENANCE:Upon expiration of the specified warrantyperiodand atthe Commonwealth’soption,the contractorshallprovideupto additionalone-year periods ofon-site maintenance (includinglabor, parts, and travel) atthe prices setforth inthe pricingschedule.Maintenance shallnotinclude externalelectricalwork, providingsupplies,and addingor removingaccessories notprovidedfor inthe contract.Maintenance shall alsonotinclude repairs of damage resultingfrom:actsof God,transportation between state locations, negligence bystatepersonnel, or othercauses notrelated to ordinaryuse inthe productionenvironmentin whichinstalled. Eachsuccessive year of maintenancemaybe ordered bythe Commonwealth inwritingat leastdays priorto expiration of the existingmaintenance period.

15.SERVICEPERIOD(EXTENDED):Duetothecriticalityoftheapplicationsforwhichservicesare purchased,thecontractorshallprovide24hoursaday,7daysaweek,maintenancesupport,includingstate holidays.On-siteresponsetimeshallbewithinhoursfollowinginitialnotification.Allnecessaryrepairsor corrections shallbecompleted within hours of theinitialnotification

16.SERVICE PERIOD(ROUTINE):Contractorshallprovide 24 hour toll-freephone supportwithan hour returncallresponsetime. On-site maintenanceservicesshallcarryan hourresponse time followinginitial notificationand be available duringthe normalworkinghours of8A.M.to 5 P.M.Mondaythrough Friday, excludingstate holidays. Allnecessaryrepairs or corrections shallbe completed within hoursoftheinitial notification.

17.THIRDPARTY ACQUISITION OF SOFTWARE: The contractor shallnotifythe procuringagencyin writingshould the intellectualproperty, associated business, orallof its assetsbeacquiredbya third party. Thecontractorfurther agrees thatthecontract’sterms and conditions, includinganyand all licenserights and relatedservices,shallnotbeaffected bythe acquisition. Priorto completion of the acquisition,the contractorshallobtain,for the Commonwealth’s benefitand deliverthereto,the assignee’s agreementto fullyhonortheterms ofthecontract.

18.ASSIGNMENTOFCONTRACT:AcontractshallnotbeassignablebytheContractorinwholeorinpart withoutthe writtenconsentof the Commonwealth.

19.CHANGESTOTHE CONTRACT:Changes canbe made to the contractinanyofthefollowingways:

1.Thepartiesmayagreeinwritingtomodifythescopeofthecontract.Anincrease ordecreaseintheprice ofthecontractresultingfromsuchmodificationshallbeagreedtobythepartiesasapartoftheirwritten agreementto modifythescope ofthecontract.

2.The PurchasingAgencymayorderchanges within the generalscope ofthe contractatanytime by written noticetotheContractor.Changeswithinthescopeofthecontractinclude,butarenotlimitedto,things suchasservicestobeperformed,themethodofpackingorshipment,andtheplaceofdeliveryor installation.TheContractorshallcomplywiththenoticeuponreceipt.TheContractorshallbe compensatedforanyadditionalcostsincurredastheresultofsuchorderandshallgivethePurchasing Agencyacreditforanysavings.Saidcompensationshallbedeterminedbyoneofthefollowing methods:

a.Bymutualagreementbetween the parties in writing;or

b.Byagreeinguponaunitpriceorusingaunitpricesetforthinthecontract,iftheworktobedonecan beexpressedinunits,andtheContractoraccountsforthenumberofunitsofworkperformed,subject tothePurchasingAgency’srighttoaudittheContractor’srecordsand/ortodeterminethecorrect numberof unitsindependently;or

c.ByorderingtheContractortoproceedwiththeworkandkeeparecordofallcostsincurredand savingsrealized.Amarkupforoverheadandprofitmaybeallowedifprovidedbythecontract.The samemarkupshallbeusedfordeterminingadecreaseinpriceastheresultofsavingsrealized.The ContractorshallpresentthePurchasingAgencywithallvouchersandrecordsofexpensesincurred andsavingsrealized.ThePurchasingAgencyshallhavetherighttoaudittherecords of the Contractorasitdeemsnecessarytodeterminecostsorsavings.Anyclaimforanadjustmentinprice underthisprovisionmustbeassertedbywrittennoticetothePurchasingAgencywithinthirty(30) daysfromthedateofreceiptofthewrittenorderfromthePurchasingAgency.Ifthepartiesfailto agreeonanamountofadjustment,thequestionofanincreaseordecreaseinthecontractpriceortime forperformanceshallberesolvedinaccordancewiththeproceduresforresolvingdisputesprovided bytheDisputesClauseofthiscontractor,ifthereisnone,inaccordancewiththedisputesprovisions oftheCommonwealthofVirginiaVendorsManual.Neithertheexistenceofaclaimnoradispute resolutionprocess,litigationoranyotherprovisionofthiscontractshallexcusetheContractorfrom promptlycomplyingwiththechangesorderedbythePurchasingAgencyorwiththeperformanceof the contractgenerally.

20.QUANTITIES:Quantitiessetforthinthissolicitationareestimatesonly,andthecontractorshallsupplyat proposedpricesactualquantitiesasordered,regardlessofwhethersuchtotalquantitiesaremoreorlessthan thoseshown.

21.DEFAULT:Incaseoffailuretodelivergoodsorservicesinaccordancewiththecontracttermsand conditions,theCommonwealth,afterdueoralorwrittennotice,mayprocurethemfromothersourcesand holdtheContractorresponsibleforanyresultingadditionalpurchaseandadministrativecosts.Thisremedy shallbeinaddition to anyotherremedies which the Commonwealth mayhave.

22.INSURANCE:Bysigningandsubmittingabidor proposalunderthissolicitation,the offerorcertifies thatif awardedthecontract,itwillhavethefollowinginsurancecoverageatthetimethecontractisawarded.For constructioncontracts,ifany subcontractorsare involved,thesubcontractorwill have workers’ compensationinsuranceinaccordancewith§§2.2-4332and65.2-800etseq.oftheCodeofVirginia.The offerorfurthercertifiesthatthecontractorandanysubcontractorswillmaintaintheseinsurancecoverage

during the entire termof the contract and that all insurance coverage will be provided byinsurance companies authorizedto sellinsuranceinVirginia by the Virginia State Corporation Commission.

MINIMUMINSURANCE COVERAGESANDLIMITS REQUIREDFORMOSTCONTRACTS:

1.Workers’ Compensation-Statutoryrequirements andbenefits. Coverage is compulsoryfor employers ofthreeormoreemployees,toincludetheemployer.Contractorswhofailtonotifythe Commonwealthofincreasesinthenumberofemployeesthatchangetheirworkers’compensation requirementsundertheCodeofVirginiaduringthecourseofthecontractshallbeinnoncompliance withthe contract.

2.Employer’s Liability-$100,000.

3.Commercial General Liability - $1,000,000 per occurrence and $2,000,000 in the aggregate.

CommercialGeneralLiabilityistoincludebodilyinjuryandpropertydamage,personalinjuryand advertisinginjury,products andcompleted operations coverage. The CommonwealthofVirginiamust

be named as anadditional insured andso endorsed onthe policy.

4.AutomobileLiability-$1,000,000combined single limit.(Required onlyif amotorvehiclenotowned bytheCommonwealthistobeusedinthecontract.Contractormustassurethattherequiredcoverage is maintained bythe Contractor(or third partyownerof such motor vehicle.)

23.DRUG-FREEWORKPLACE:Duringthe performance ofthis contract, theContractoragrees to (i) providea drug-freeworkplacefortheContractor'semployees;(ii)postinconspicuousplaces,availabletoemployees andapplicantsforemployment,astatementnotifyingemployeesthattheunlawfulmanufacture,sale, distribution,dispensation,possession,oruseofacontrolledsubstanceormarijuanaisprohibitedinthe Contractor'sworkplaceandspecifyingtheactionsthatwillbetakenagainstemployeesforviolationsofsuch prohibition;(iii)stateinallsolicitationsoradvertisementsforemployeesplacedbyoronbehalfofthe ContractorthattheContractormaintainsadrug-freeworkplace;and(iv)includetheprovisionsofthe foregoingclausesineverysubcontractorpurchaseorderofover$10,000,sothattheprovisionswillbe bindingupon eachsubcontractoror vendor.

Forthepurposesofthissection,“drug-freeworkplace”meansasitefortheperformanceofworkdonein connectionwithaspecificcontractawardedtoaContractor,theemployeesofwhomareprohibitedfrom engagingintheunlawfulmanufacture,sale,distribution,dispensation,possessionoruseofanycontrolled substance ormarijuana duringthe performance ofthe contract.

Vendortransactionfeesaredeterminedbythedatetheoriginalpurchaseorderisissuedandthecurrentfees are as follows:

27.SMALLBUSINESS SUBCONTRACTING ANDEVIDENCE OF COMPLIANCE:

1.ItisthegoaloftheCommonwealththat42%ofitspurchasesbemadefromsmallbusinesses. This includesdiscretionaryspendinginprimecontractsandsubcontracts. Allbidders/offerorsarerequiredto

submitaSmallBusinessSubcontractingPlan.Unlessthebidder/offerorisregisteredasaDSBSD-certified smallbusinessandwhereitisnotpracticableforanyportionoftheawardedcontracttobesubcontractedto othersuppliers,thecontractorisencouragedtooffersuchsubcontractingopportunitiestoDSBSD-certified smallbusinesses.ThisshallincludeDSBSD-certifiedwomen-ownedandminority-ownedbusinesseswhen theyhavereceivedDSBSDsmallbusinesscertification.Nobidder/offerororsubcontractorshallbe consideredasmallbusinessunlesscertifiedassuchbytheDepartmentofSmallBusinessandSupplier Diversity(DSBSD)bytheduedateforreceiptofbidsorproposals.Ifsmallbusinesssubcontractorsare used,theprime contractor agrees to reporttheuseofsmallbusinesssubcontractorsbyprovidingthe purchasingofficeataminimumthefollowinginformation:nameofsmallbusinesswiththeDSBSD certificationnumber,phone number,totaldollaramountsubcontracted,categorytype(small,women-owned, or minority-owned), andtype ofproduct/service provided.

28.PRIMECONTRACTORRESPONSIBILITIES:Thecontractorshallberesponsibleforcompletely supervisinganddirectingtheworkunderthiscontractandallsubcontractorsthathemayutilize,usinghis bestskillandattention.Subcontractorswhoperformworkunderthiscontractshallberesponsibletothe primecontractor.Thecontractoragreesthatheisasfullyresponsiblefortheactsandomissionsofhis subcontractorsand of persons employedbythemas heis fortheacts andomissions ofhis ownemployees.

29.SUBCONTRACTS:IftheContractorintendstosubcontractworkaspartofitsperformanceunderthis contract, theContractorshallinclude inthe proposalaplan to subcontractto small, women-owned,minority- owned, andservice disabled veteran-owned businesses.

30.AUTHORIZATIONTOCONDUCTBUSINESSIN THE COMMONWEALTH: A Contractororganized as astock ornonstock corporation, limitedliabilitycompany,businesstrust,orlimitedpartnershiporregistered asa registered limited liabilitypartnershipshallbe authorized to transactbusinessintheCommonwealthasa domesticorforeignbusinessentityifsorequiredbyTitle13.1orTitle50oftheCodeofVirginiaoras otherwiserequired by law. 31.CONFIDENTIALITYOFPERSONALLYIDENTIFIABLEINFORMATION:Thecontractorassuresthat informationanddataobtainedastopersonalfactsandcircumstancesrelatedtopatientsorclientswillbe collectedandheldconfidential,duringandfollowingthetermofthisagreement,andunlessdisclosureis requiredpursuanttocourtorder,subpoenaorotherregulatoryauthority,willnotbedivulgedwithoutthe individual’sandtheagency’swrittenconsentandonlyinaccordancewithfederallawortheCodeof Virginia.Contractorswhoutilize,access,orstorepersonallyidentifiableinformationaspartofthe performanceofacontractarerequiredtosafeguardthisinformationandimmediatelynotifytheagencyof anybreachorsuspectedbreachinthesecurityofsuchinformation.Contractorsshallallowtheagencyto bothparticipateintheinvestigationofincidentsandexercisecontroloverdecisionsregardingexternal reporting.Contractorsandtheiremployeesworkingonthisprojectmayberequiredtosignaconfidentiality statement.

32.E-VERIFYPROGRAM:EFFECTIVE12/1/13.PursuanttoCodeofVirginia,§2.2-4308.2.,anyemployer withmorethananaverageof50employeesfortheprevious12monthsenteringintoacontractinexcessof

$50,000withanyagencyoftheCommonwealthtoperformworkorprovideservicespursuanttosuch

contractshallregisterandparticipateintheE-Verifyprogramtoverifyinformationandworkauthorization ofitsnewlyhiredemployeesperformingworkpursuanttosuchpubliccontract.Anysuchemployerwho failstocomplywiththeseprovisionsshallbedebarredfromcontractingwithanyagencyofthe Commonwealthforaperioduptooneyear.Suchdebarmentshallceaseupontheemployer’sregistration andparticipationintheE-Verifyprogram.Ifrequested,theemployershallpresentacopyoftheirMaintain Companypage fromE-Verifyto prove thattheyareenrolledin E-Verify.

33.OWNERSHIPOFINTELLECTUALPROPERTY:Allcopyrightandpatentrightstoallpapers,reports, forms,materials,creations,orinventionscreatedordevelopedintheperformanceofthiscontractshall becomethesolepropertyoftheCommonwealth.Onrequest,thecontractorshallpromptlyprovidean acknowledgmentorassignmentinatangible formsatisfactory to theCommonwealthto evidencethe Commonwealth’ssoleownershipofspecificallyidentifiedintellectualpropertycreatedordevelopedinthe performance of the contract.

V.REPORTING[MS8]INSTRUCTIONS

1.NetworkPerformanceReports will beshared weeklyand include at a minimum anydowntimeas well as utilization rates and peaks. Thereports will also identifythe top trafficgeneratingsites and types of service. Access to areportingportalwith live reports is preferred.

2.QuarterlyHealth Checkof all managedequipment to includeareviewof anyproblems during the last cycle andanychanges in how theywill be addressed in thefuture.

3.At the completion of anymaintenanceand/or servicecall, the Contractor shall provide the agencywith a signed servicereport that includes,at a minimum: general statement of the problem, action taken,anymaterials and/or parts furnished or used, the numberof hours required to completethe repairs.

4.Contractor will provide a monthlyServiceLevelCompliance and Credit Report for thoseservice levels proposed bythe Supplier. Thereport should detail the actual performancefor each service level metricversus theservicelevel metricguaranteed bythe Supplierin theeproposaland any negotiated changes.

5.Contractor shall deliver on an annual basis, evidenceof compliancewith thesmall business subcontractingplan submitted with theproposal.

VI.METHOD[MS9]OFPAYMENT

PaymentsforanyresultingcontractwillbemadebyVCCSinAccordancewithArticle4oftheVirginiaPublic ProcurementAct,Article4“PromptPayment”(CodeofVirginia§2.2-4347et.seq.).Contractorshallsubmit proper invoicestothe billingaddressindicatedon the eVApurchase order.

Tier1.Monitoringand Alerts

Tier2servicesincludetheTier1services(i.e.thesoftwareplatform).Thistierwillalsoinclude allnetworksupport,escalation,andtroubleshootingservices(i.e.notifications,internal organizationescalation,changemanagement,exceptionreporting,responsetrackingand recording,andnetworksupportthroughtheNOC).MAIwillprovideescalationinteractionwith customerpersonnelviatheagreedescalationprocedures.Cooperativeengineeringsupportis included,meaningVCCSwillhavefullaccesstotheirinfrastructureandequipmenttomake changesasneeded,inadditiontoMAIhavingaccess.MAIwillmonitortheexisting infrastructurebut willnotcompleteanydesignwork.Thistieralsodoesnotincludethe requirementtocallcarriersorservicevendorsontheVCCS’sbehalf.

Tier3.FullRemoteManagement

AsaTier3providerMAI will act as an Agent of Record. MAI will assist in design andengineeringsupportofthenetworkinfrastructure.MAIwillprovideescalationinteraction withcustomerpersonnelviatheagreedescalationprocedures.Cooperativeengineering supportisincluded,meaningVCCSwillhavefullaccesstotheirinfrastructureand equipmenttomakechangesasneeded,inadditiontoMAIhavingaccess.Thistierincludes carrierandvendorremediationand/ormaintenancesupport.MAIwillalsosupport configurationmanagementincludingbackupandrecoverysupportaswellaschange managementservices.
