The Scott County Board of Education met at Great Crossing Office Complex at 5:30 o'clock P.M. on the 11th day of September , 20 12, with the following members present:

REGULAR BOARD MEETING
(Meeting #14)
1. CALL TO ORDER: The meeting was called to order by Chair Phyllis Young.
2. WELCOME: On behalf of the Board, Ms. Young welcomed all guests and staff and a special welcome to students and parents.
3. VISION STATEMENT: Board Vice-Chair Rebecca Sams shared, “we exist to ensure the best education for every student in Scott County Schools and to create a collaborative culture to ensure student learning”.
4. APPROVE AGENDA: Upon the recommendation of the Superintendent, it was moved by Ms. Sams and seconded by Mr. Mason that the Board approve the agenda as presented.
Motion carried unanimously.
5. FINANCIAL STATEMENT: Randy Cutright gave a brief overview.
6. APPROVAL OF CURRENT BILLS: Upon the recommendation of the Superintendent, it was moved by Ms. Sams and seconded by Mr. Mason that the current bills be paid as listed below.

7. SPOTLIGHT – Recognition of School Board Member; Project Lead The Way Grant for Elkhorn Crossing School and Scott County Middle School; Recognition of HOSA students; Recognition of 2012 Governor’s Scholars and Governor’s School for the Arts; Recognition from Retired Teachers
Superintendent Putty recognized Board Chair Phyllis Young. Ms. Putty read a letter from Governor Steven Beshear. Phyllis Young has been, “Duly reappointed and commissioned as a member of the School Curriculum Assessment and Accountability Council for the term expiring April 30, 2014”. It is a great honor to present this certificate to one of our own board members, Phyllis Young, and this is an honor for Scott County.
On behalf of the employees of Lockheed Martin, Mr. Mark Guseman presented a $45,000 check to Scott County Public Schools. Lockheed Martin’s Engineers in the Classroom (EITC) is their education outreach initiative designed to identify, develop and motivate students toward entering careers that have their foundation in Science, Technology, Engineering and Mathematics (STEM) courses. Lockheed Martin supplements the curriculum by supporting hands-on extracurricular activities, which encourage teamwork and supply relevance for the engineering principles learned in the classroom. ECS Principal Michelle Nichols and SCMS Principal Jennifer Sutton will be sharing the money for their Project Lead the Way students. Superintendent Putty thanked Lockheed Martin for the money and working with us.
Health Occupation Students of America (HOSA) – The mission of HOSA is to enhance the delivery of compassionate, quality health care by providing opportunities for knowledge, skill and leadership development of all health science technology education students, therefore, helping students to meet the needs of the health care community. Ellen Osborn, Teacher at ECS introduced students that represented Scott County at HOSA National Competition - Abby Plummer, Emily Vinson, and Ashton Ogel. There were 16 students competing in the National HOSA Leadership Conference and five students placed. The students shared experiences in their classes and in HOSA competition at Nationals. The students thanked the board for their financial support. Ms. Putty expressed appreciation of their hard work and congratulated the students with certificates.
Superintendent Putty recognized Governor’s School for the Arts students. We are proud of our students. There are very stringent guidelines and we have a number of students selected to participate. Ms. Putty asked the students to share where they went, what they did and what was the best experience. Kyle Reihmer, Brittany McGlamery and Jonathon Barrett shared their experiences.
A certificate of recognition was given to each of our 2012 Governor’s Scholars – Brooklynn Alcorn, Haley Andes, Shaina Cook, James Crum, Chloe Golding, Natalie Hewlett, Madeline McElroy, Emily Metcalfe, Spring Miles, Katelyn Miller, Nathaniel Richey, and Holly Ubellacker. The students shared some of their experiences and friendships they made. Superintendent Putty added we have outstanding men and women and this experience teaches our kids so much in learning self-confidence and they come away with more self-esteem and they are not afraid to express who they are. Congratulations to each one of our students. We want to thank the parents, the first and most important teacher in their lives and thanks for letting us have them a few hours a day.
Recognition from the Retired Teachers – Ken Wright thanked the Board for their support and for the Board’s work. Mr. Wright introduced Virginia Pratt, former president of Retired Teachers and business teacher at SCHS, and Ruthie Stevens, former president of Retired Teachers and principal of Stamping Ground Elementary School. The Scott County Retired Teachers Association wants to recognize Superintendent Patricia Putty with a certificate for being named the 2012 Community Leader and Friend of the Scott County Retired Teachers Association. Mrs. Putty is “A Valued Educator and Leader of our Community”. We want to thank her for her support and dedication. Superintendent Putty thanked Mr. Wright and the Retired Teachers Association for this award and for their work and dedication through the years, they were trailblazers.

9. FISCAL 2012 AUDIT PRESENTATION: Director of Business and Finance Randy Cutright introduced Brian Woosley, CPA, representing Stiles, Carter & Associates, P.S.C. Mr. Woosley thanked the Board for giving them the opportunity to work on the FY2012 audit for Scott County Schools. Mr. Woosley thanked Mr. Cutright and his staff for their help.
Upon the recommendation of the Superintendent, it was moved by Mr. Conway and seconded by Ms. Sams that the Board accept the FY 2012 audit as presented.
Motion carried unanimously.
10. APPROVE ENTERING INTO CONTRACT WITH SCHOOL DISTRICT FINANCE CORPORATION TO FACILITATE BUILDING REFUNDING REVENUE BONDS, SERIES OF 2004:
Resolution of the board of education of Scott County (Kentucky), Initiating the REfinancing Process in order to REFUND AND RETIRE CERTAIN OF THE OUTSTANDING SCOTT COUNTY SCHOOL DISTRICT FINANCE CORPORATION SCHOOL BUILDING REVENUE BONDS, SECOND SERIES OF 2004 ORIGINALLY ISSUED TO FINANCE THE PROJECT; AUTHORIZING AND APPROVING THE EXECUTION OF A LEASE AGREEMENT WITH THE SCOTT COUNTY SCHOOL DISTRICT FINANCE CORPORATION AND ANY FURTHER NECESSARY INSTRUMENTS; AND APPROVING THE PLAN OF REFINANCING SAID PROJECT GENERALLY.
After said instruments had been fully considered, a motion was made by Dr. Ward and seconded by Mr. Mason, and unanimously approved Resolution be adopted.
11. SPECIAL CALLED MEETING OF THE SCHOOL DISTRICT FINANCE CORPORATION: It was moved by Ms. Sams and seconded by Dr. Ward that the regular meeting of the Scott County Board of Education be briefly recessed in order to hold a special meeting of the Scott County School District Finance Corporation.

A Special Meeting of Scott County School District Finance Corporation (the “Corporation”) was held at the regular meeting place of the Board of Education of Scott County (the “Board”) in Georgetown, Kentucky September 11, 2012 at 5:30 p.m., D.X.G., pursuant to notification of such meeting issued by the Secretary of the Corporation. There were present the following Members-Directors: Phyllis Young, Rebecca Sams, Luther Mason, Haley Conway and Dr. Roger Ward. There were also present: Patricia Putty, Superintendent and Secretary, and Glenn Brashear, representative of Ross, Sinclaire & Associates, Inc.

Thereupon, a motion was made by Mr. Mason and seconded by Dr. Ward, and unanimously approved that the following Resolution be passed and adopted.
A Resolution of the board of directors of the scott county school district finance corporation, providing for the issuance of $3,010,000 principal amount (which may be increased or decreased of $300,000) of school building refunding revenue bonds, series of 2012, date October 1, 2012 (the refunding bonds) in accordance with sections 162.120 through 162.300, 162.385 58.180 of the Kentucky revised statutes, for the purpose of retiring prior to their respective maturities certain of the outstanding Scott County School District Finance corporation school building revenue bonds, second series of 2004, dated June 1, 2004 (the “prior Issue”) through the deposit and investment in escrow of the net proceeds of the refunding bonds; providing for the payment of principal of and interest on the bonds of said prior issue by redemption prior to maturity, providing for the creation of certain funds to effect the defeasement of the rights of the owners of certain of the bonds of the prior issue and the transfers of certain amounts into certain funds; providing for the payment of said refunding bonds and the interest thereon, providing for the rights of the registered owners of said refunding bonds and the enforcement thereof; and providing for an advertised public competitive sale of said refunding bonds.
