BYLAWS

(OrganizationTitle)

The following Bylaws are setforth forthenormal operation and administrationof the Associationand willbedirected on and aguide forassociationofficersand members.

ARTICLEIDUTIESOFOFFICERS

1.President:

a.Responsibleforenforcement ofthe Constitution,Bylaws,andstandingrules of theAssociationandensuringtheAssociationisgoverned by suchrulesand regulations.

b.Presides at allmeetings of the Association.

c.Ex-officiomember of allcommittees except theNominationCommittee.

d.Appointsspecial committeesas deemednecessary.

e.Signsall minutes of the Association

f.Authorized to approvefor payment by thetreasureanybills, not includedin the budget, for theAssociation operation,not toexceed$50.00or thebal-ance, whichever is lesser.

g.Appoint anominatingcommitteepriortoeachelection.

h.Mayco-signchecks.

i.Willnotify BaseCommander in writing of intent to dissolve the Associa-tion.Theintentletter willincludea time-phasedaction plan IAWAFI34-223paragraph 12.3.

2.Vice President:

a.Assumes the duties of the Presidentinhis/herabsence.

b.Insures theaccounts of the Association areaudited priortobeingturnedoverto theincomingTreasure.

c.Mayco-signchecks.

3.Recorder:

a.Recordsproceedings of eachmeeting of theAssociationandExecutivecommittee

b.Maintains a copyoftheConstitution,Bylaws, and currentstanding ruleswhichwill be available tothe membership.

c.Acts as Chairpersoninabsence of both thePresidentand Vice President.

d.Forwardsapprovedminutes of eachmeeting to the groupcommander,seniorenlistedadvisor, FSS commander,andmembers.

e.Maintains a correspondencefile.

f.Mayco-signchecks.

4.Treasurer:

a.Receivesanddisperses fundsbelonging to the Associationasdirected bythe generalmembership or theExecutiveCommittee.

b.The custodian of allAssociationfunds.

c.Will maintain all authenticatedreceipts on allfundtransactions.

d.Provides a financial statement at eachmonthlymeeting. The statementwill containthestatus of all financial transactionsand thecurrent financialbalance.

e.Providesanannual financial statement to Base FSS ResourceManagementFlight.

f.Mayco-signchecks.

ARTICLEIIELECTIONSANDVOTING

1.Officersshall be elected atthe Septembermeeting. Officerswillholdofficefor one-year termstartingon the firstday of thefiscal year.

2.Nominationsshallbe submitted attheAugustmeeting.Nominations mayincludea briefresume about thenominee.

3.A simplemajorityvote(via secretballotor trackedemail) ofthe generalshall be required toelect an officer.

4.ThePresidentmay requestthe resignation of anofficerat a special meeting.An officermayalso be voted outofoffice by a majorityvote at a specialorgeneralmembershipmeeting.Ineither situation, theofficerconcernedmust benotified inwriting of thependingaction andgiven theopportunity to presenthis/herappealbeforethe generalmembership.Voluntaryresignationmust besubmitted to thepresident inwriting atleastone month prior to vacating office.

5.FillingVacancies:

a.All vacanciescreated by removal or resignationwill be filled by specialelectionfor theremainingtermof office.

b.ThePresidentmay fill a vacancy by aninterimappointment until anelec-tioncan be held.

ARTICLEIIISTANDINGCOMMITTEES

1.ExecutiveCommittee:

a.Chargedwithensuringcompliance with the ConstitutionandBylaws.

b.Willreviewallproposed constitutional changes.

c.Will annuallyreviewtheConstitutionandBylaws.The Executive Committee willmeet as required.

2.Ways andMeansCommittee:

a.Shall bethe fiscal and monetaryguidance forthe Association.

b.Chairperson oftheWays and MeansCommittee shallbe responsible forthe purchaseof suppliesandequipment of anyfundraisingactivities.

c.The committeewill be composed of atleasttwo volunteersfromthe Asso-ciationgeneralmembership.

d.Thecommittee shall meet as requiredandthefollowing activitiesshall beongoing functions:

i.Themembershipwill bebriefed monthly bythe Chairperson of thiscommittee.

ii.. Estimate yearlyexpenditures onfiscal year basis.

iii.. Plan and suggestactivities to meet estimatedyearlyexpenditures for generalmembershipapproval.

iv.Takesuggestions fromthe general membership on possiblefundraisingactivities.

ARTICLEIVINSURANCECOVERAGE

1.ThePresidentwillrequestthe installationcommander to waivethe liabilityinsurancerequired in accordance withAFI 34-223.Therequestforwavier willdescribe indetailthenature of theAssociation’sactivities.

2.If the requestisdenied,liabilitycoverage against personal injury and prop-erty damage,with a coveragelimit as specified by the installationcommander,naming theU.S. Air Force asan additional insured,shallbe obtainedand keptin forceuntilthisAssociationisdissolved.

3.If the requestisgranted asto generalcoverage, thePresident will notifytheinstallationcommander of plannedspecialeventsand obtaincoverage as re-quired.

ARTICLEV

MEETINGS,QUORUMS,ANDDUTIES

SECTION I:

Generalmembershipmeetingsnormallywill be third or fourthMonday ofeachmonth.

SECTION II:

No quorumof themembership is requiredto bepresent toconduct business ata general membershipmeeting.

A quorumof not less than75percent of theExecutiveCommitteemust be pre-sent in ordertoconduct business.

SECTIONIII:

Members arehighlyencouraged topayduesin the amount of $1per month or

$10 peryear, dues are,however, not mandatory.
